Name of Fund: Everyday Capital, LLC a Delaware Limited Liability Company (“Fund”).
Manager: Clear the Way, Inc a New York S Corporation (“Manager”).
Management Company: Clear the Way, Inc is the primary operating company that will make all decisions with respects to all
acquisitions, management of properties and underwriting of commercial real estate loans.
Class A Shares - Investors
Class B Shares - Everyday Capital Management, LLC
Equity Class A Shares
5 years with (2) 1-year options
$50,000,000
$25,000 in increments of $1,000 which may be adjusted in the sole discretion of the Manager.
Investors must be “Accredited Investors” as defined by Rule 501 of the Securities Act of 1933.
The Fund is open to both U.S. and Foreign Investors.
7-12% for the Fund with a 5% Preferred rate of return and performance bonus for Class A
member investors.
After the Management fee and preferred rate of return are met, Class A investors will recieve 70% of net
cash flow. Class B investors will revieve 30% of net cash flow.
1% of assets under management paid to the Manager quarterly.
36 Months-transfer allowed with management approval.
Quarterly, except for first year, annually.
The company employs a dual strategy of real estate investing focusing on equity purchasing with
capital improvements and lending to experienced real estate investors.
The management team of the fund has combined 45 years of investing in real estate and
originating commercial loans. The company has a past track record for the last seven years of
17.28% APR.
