Licensing changes for SQL Server 2012
This table provides an overview of the licensing changes for SQL Server 2012 editions, and some very basic rules of thumb to illustrate the fundamental pricing changes.
Standard Edition will continue to be available through both Server/CAL and core-based licensing. The price of a SQL Server 2008 R2 Standard Edition processor license will be worth 4 cores when purchasing the new version. There will be no change to the price of a Standard Edition server license. CAL pricing will increase.
BI Edition will be available exclusively through Server/CAL licensing. This will be available for the same price as a SQL Server 2008 R2 server license.
Enterprise Edition will now only be available through capacity-based licensing, which will now be measured using cores, not processors. Enterprise Edition server licenses will no longer be available for new purchases. The price of a SQL Server 2008 R2 Enterprise Edition processor license will be worth 4 cores when purchasing the new version. (Note that cores will be sold in two-packs.)

Licensing by cores provides your customers a way to pay for the power they need, with a predictable, consistent measure of hardware capacity.
Capacity-based licensing, which is available for Enterprise and Standard Editions, is appropriate for database and data warehouse workloads and situations in which users are not easily counted.
Why cores?
Cores are more precise than processors for measuring compute power. They are a more fair method of measurement. And they are more easily translated and migrated to cloud or hosted deployments.
How does licensing by hardware capacity work?
For physical server licensing, licensing is based on the physical cores in use on the hardware. Processors covered under Software Assurance can upgrade to SQL 2012 at no additional cost.
For virtual machine licensing, you can help your customers license individual virtual machines, licensing virtual cores through License Mobility with Software Assurance. Unlimited virtualization is also available with Enterprise Edition.
Licensing by user or device provides a predictable and consistent measure of capacity.
Server/CAL licensing, available with BI and Standard Editions, is appropriate for business intelligence workloads and scenarios in which users can be counted accurately.
Server/CAL licenses are an easier way to deploy BI solutions, and they provide alignment to SharePoint and Office.
Physical server licenses are based on each individual server. Enterprise Edition servers covered under Software Assurance can be upgraded to SQL Server 2012 at no cost. Enterprise Edition units upgraded to SQL Server 2012 or bought after April 1st will have a 20 core maximum limit for the server. SQL Server 2012 edition CALs are also required for access.
Through License Mobility with Software Assurance, your customers can also license individual virtual machines based on virtual processors.
