and implementation of good governance
has a significant impact on the way
companies are perceived to be conducting their
business. Research has proven that investors will
pay a premium for shares in companies that has
sound governance frameworks in place. Good corporate
governance goes beyond the conduct and responsibility of
the board and directors, but focuses on the alignment of
people, processes and technology. Understandably, businesses
in Zimbabwe are undergoing a transformation process that will
affect the way we do business within the global economy. The recent
launch of the National Code of Governance in Zimbabwe looks to address
regulatory reformation in organisations. Effective strategic implementation
management and compliance is the first step towards establishing better

Mervyn King is a Senior Counsel and former
Judge of the Supreme Court of South Africa.
He is Professor Extraordinaire at the University of South
Africa on Corporate Citizenship, Honorary Professor at
the University of Pretoria and Visiting Professor at
Rhodes University. He has an honorary Doctor of Laws
from the University of the Witwatersrand and Leeds
Metropolitan University, is Chairman of the King
Committee on Corporate Governance in South Africa,
which produced King I, II and III, and First Vice President
oftheInstituteofDirectorsSouthernAfrica.
He is Chairman of the International Integrated Reporting
Council(IIRC)inLondon,ChairmanEmeritusofthe
Global Reporting Initiative (GRI) in Amsterdam, a
member of the Private Sector Advisory Group to the
World
Bank in Washington and Chairman of the Asian Centre
forCorporateGovernanceinMumbai.Hechairedthe
United Nations Committee on Governance and
Oversight, was President of the Advertising Standards
Authority for 15 years and the South African
representative on the International Chamber of
CommerceCourtofArbitrationinParisfor9years.
He has been a chairman, director and chief executive of
several companies listed on the London, Luxembourg
and Johannesburg Stock Exchanges. He has consulted,
advised and spoken on legal, business, advertising,
sustainability and corporate governance issues in 53
countries and has received many awards internationally.
He is the author of three books on governance,
sustainability and corporate reporting and sits as an
arbitratorandmediatorlocallyandinternationally.
Professor King is currently working on the final Draft of
theKingIVscheduledtobereleasedinFebruary2016.

Canaan is a lawyer and corporate leader. He is a former
President of the Law Society of Zimbabwe, a former Councilor of
the Commonwealth Lawyers Association and a former External
Examiner for Procedural Law at the Law Faculty of the University
of Zimbabwe. Currently Canaan is Council Chairman of the
Midlands State University, Chairman of Delta Corporation Ltd
and a director of several companies listed on the Zimbabwe
Stock Exchange, including Barclays Bank of Zimbabwe Ltd,
Edgars Stores Ltd and Bata Zimbabwe Ltd to name just a few. Canaan holds an
LLB (Hons) (Unilag); LLB (UZ); and MBA (MSU) degrees. Canaan also has
started his PhD studies the title to his doctoral thesis is “Corporate Governance
Effectiveness in Zimbabwe, a Pie in the Sky”. Canaan has written a book
entitled “Corporate Governance Non- Executive Director’s Independence– Fact
or Fiction” (2008) and the National Code on Corporate Governance in
Zimbabwe(2014).
Tsitsi Mutasa:Director- ZIMLEF
As Head of the Zimbabwe National Code of Corporate
Governance Secretariat, Tsitsi was responsible for the overall
coordination and management of the various thematic area
activities, project management and research teams’ .An
established professional with solid work experience in
Corporate and HR Governance, Programme Management and
institutional capacity building, training and research. She has
presented numerous papers on Corporate Governance to a
wide range of audiences across Zimbabwe, Zambia and Nigeria. These
include:- The Institute of Chartered Accountants Zimbabwe (ICAZ), Association
of Certified Chartered Accountants (ACCA), Chartered Institute of Management
Accountants (CIMA), Local Authorities Pension Fund, Zimbabwe Association of
Pension Funds, Institute of Internal Auditors Zimbabwe (IIA), and Africa CEO
Round-table and Conference on Corporate Sustainability & Responsibility (AR-
CSR™), Nigeria.
Edward Siwela Executive Director of the Instituteof Directors
Zimbabwe
Edward Siwela is a holder of an MBA with a dissertation on
Strategic Management from the University of Zimbabwe and a
BSc Honours degree in Politics and Administration from the
same university. He is currently the Executive Director of the
Institute of Directors Zimbabwe, where he has been a chief
facilitator of numerous workshops in corporate governance,
board induction and in-house Board orientation since May
2009.As a Global Corporate Governance Forum certified trainer in corporate
governance and director development he is currently serving as Acting
Chairman of the Sports and Recreation Commission- a government Parastatals
and is the chairperson of the Finance, Administration and Marketing
Committee. Edward was a member of the National Code of Corporate
Governance of Zimbabwe (2014) Development Committee, he is also member
of the Executive Committee of the African Corporate Governance Network and
chairs its Capacity Building and Membership Sub-Committee. He received a
Mega fest Award as one of the Top 20 Outstanding Men in Business for the year
2014.
Arthur Manase Company Secretary Reserve Bank Of
Zimbabwe
Arthur Manase holds a BL (Hons) LLB, UZ LLM Can tab and is a
registered Legal Practitioner with 27 years experience in legal
practice. He is currently the Bank Secretary, Director, Legal
Services & Corporate Affairs at the Reserve Bank of Zimbabwe
and sits on Panel of Arbitrators. Arthur has represented
Zimbabwe at Permanent Court of Arbitration at The Hague and
isaFormerExecutiveDeanofLawattheUniversity ofZimbabwe.

Christopher Takunda Mugaga- CEO: Zimbabwe National
ChamberofCommerce[ZNCC].
A prominent economist within the region who is a columnist for a
number of publications both within and outside Zimbabwe. He
pursued different qualifications which include, BSc Economics
with the University of Zimbabwe and Master of Science in
Finance. Chris has also attained other post grad finance
qualifications in Treasury Management, Risk Management and
Investment Analysis and Portfolio Management. Chris Mugaga
is a Christian who also preaches the word of God in different platforms, before
joining ZNCC; he was the Head of Research for a regional finance and
economics research firm, Econometer Global Capital which is based in
JOHANNESBURG.
RichardMbaiwa:CEO-ZimbabweInvestmentAuthority
Richard Mbaiwa is the Chief Executive Officer of Zimbabwe
Investment Authority, which is Zimbabwe’s Investment
Promotion Agency (IPA), with the mandate to promote, facilitate
and co-ordinate investment by both domestic and foreign
investors in Zimbabwe. He has over 25 years of service in the
public, private and quasi-government sector in Zimbabwe
specializing in the areas of Trade and Investment Promotion.
After completing his BSc Honors (Economics) degree from the
University of Zimbabwe in 1985, Richard Mbaiwa joined the Zimbabwe Ministry
of Industry and International Trade in 1986 as a Trade Policy Officer
responsible for multilateral trade negotiations. In 1992 Mr. Mbaiwa joined the
Confederation of Zimbabwe Industries (CZI) as a Trade Development Executive
and Economist. In 1994 he joined the newly formed Zimbabwe Investment
Promotion Agency then known as Zimbabwe Investment Centre (ZIC), which
later merged with the Zimbabwe Export Processing Zones Authority (ZEPZA)
into Zimbabwe Investment Authority (ZIA) in 2007.Having risen through the
ranks in ZIC, he was appointed as the first Chief Executive Officer of ZIA in 2007.
Richard obtained a Masters of Business Administration (MBA) degree from
University of Zimbabwe in 2002. He has presented papers on investing in
Zimbabweatvariouslocal,regionalandinternationalfora.
Stuart Comberbach Permanent Secretary Office of the
PresidentandCabinet
Having graduated at the Wits University in 1974, joined the
Government Service the same year and worked under the
Ministry of Foreign Affairs and served in Gabon from 1975 to
1979. He became the Head of Zimbabwe Trade Mission in South
Africa from the year 1987 to 1994, he was also an Ambassador
of Zimbabwe to Italy and Permanent Representative of
Zimbabwe to the UN Food and Agricultural Organization 1994-
1999.Stuart became Permanent Secretary for the Ministry of Industry and
International Trade 1999-2002 and Ambassador of Zimbabwe to Japan and
the Republic of Korea 2003-2014. Currently he is the Permanent Secretary for
Corporate Governance, State Enterprises and Service Unit for the Office of the
PresidentandCabinet.
DR Eve Christine Gadzikwa: Director General of The
Standards Association of Zimbabwe, Board Chairman of the
ZimbabweStock ExchangeandInstituteofDirectors
Eve has been instrumental in developing the National Code on
Corporate Governance, the first of its kind for corporate
Zimbabwe. She sat as Vice Chairperson on a Steering
Committee that developed this document over a period of four
years. Once launched, this document will help to promote and
foster good corporate governance in Zimbabwe. Eve worked for
more than twenty years monitoring the quality of tests in medical laboratories.
Ten of these years were spent in a senior management position. Her launch
pad into business was a Marketing Graduate Diploma she studied as well as an
MBA she acquired in 2004. Because of her determination, perseverance,
passion for business ethics and as a result of her active involvement in the
Institute of Directors Zimbabwe where she was elected Chairperson of the
Boardin2012.
