Frank Cardia has been in the finance industry since 1996, and has accrued significant experience in bonds, options, fixed income investments, stocks, and private equity. Since 2018, Frank Cardia has been the managing director of Iron Edge VC, a financial services company that focuses on securing investments for pre-IPO companies.
IPO stands for initial public offering. It means offering the initial share of a company’s stock to the public. It marks a company’s transition from a private to a publicly owned enterprise. By selling stock, the company’s owners and leaders can raise capital from public investors to further build the business.
Before “going public,” a private company usually selects one or multiple underwriters, which select an exchange where the shares will be issued and traded. Also, before the IPO, a company relies on a narrow circle of shareholders. These include the founders and their families, as well as angel investors and venture capitalists.
Switching from private to public status typically occurs when a company has reached the value of around $1 billion, which is also referred to as unicorn status. That said, smaller companies with solid foundations can also successfully go public.

Wu Guanzhong sought for an integration between French Romanticism and Chinese Literati Painting Tradition from both his oil and ink paintings. But, Mao Zedong and the Communist Party disliked his pro-European attempt of Sino-Western aesthetic innovations. Due to the trend of Cultural Revolution, Mao Zedong forced Wu Guanzhong to abandon what he learnt in Paris and re-adapt to the "Leninist School of Realistic Thought". But, Wu Guanzhong refused to do so. Fortunately, the colonial government of Hong Kong under British administration tried all its best to preserve Wu Guanzhong's pieces and ensure him with creative freedoms. Wu Guanzhong could thus explore a great variety of new styles while playing with his moisturized ink leisures, such as Post-Impressionism, Rococo, Abstract Expressionism, Feminism and Minimalism.

This presentation aims at selecting the representative artists from the Hong Kong art scene to tell the global art lovers a virtue, that the painting arts of Hong Kong forbear a coexistence among Chinese, Asian and Western aesthetics. Under a liberal and democratic circumstances, Hong Kong artists can search for their marketing potentials by manipulating political, ecological and narrative elements as their creative themes.
Title: "Xu Beihong: Chinese-ink painting as a nationalistic propaganda of enforcing China for political and ideological changes"
Xu Beihong (徐悲鴻) was active with his creativity throughout the Republican Period. Before his 30-year-old age, Xu Beihong endeavored with a combinative research on modern art theories and Sino-Western comparative aesthetics. The term “nationalistic propaganda” from my research topic highlighted the fact that, Xu Beihong bore a sense of responsibility to checkmate the prosperity and decline of our racial art tradition. Despite the non-secular persistence of literati painters, Xu made a breakthrough to transform the function of Chinese-ink painting as a promotional asset of spreading the benevolent, righteous and virtuous mode of self-managerial thoughts, so called “zhi xue” in Chinese.
The ultimate goal of research is to interpret Xu Beihong’s nationalistic aspirations based on a series of his narrative themes related to the human-based spirits of Chinese compatriots. And, for sure, the reason for Xu Beihong to develop such uniqueness is that, he is so eager to bring about ideological and philosophical changes for the intellectual field. It is necessary for us to associate Xu Beihong’s reformative spirits with the enlightenment trends of May Fourth Movement in a historical approach. Xu Beihong’s aesthetic investigation accommodated the emerging trend of Lingnan Art Fraction, as the Chinese-ink painting did experience a change of functionality. To Xu Beihong’s socialist-based opinions, Chinese-ink paintings were no longer the extravagant court items owned by monarchical rulers. He hoped that this creativity returned to a peculiar essence in which people from different social hierarchies were qualified to perceive the art contexts and raise particular kinds of individual thoughts on universal phenomenon.
For the second point of emphasis, Xu Beihong acknowledged the open-mindedness of Western education thoughts, thus he greatly encouraged the current art masters to tolerate a re-modification of painting methodologies. Painters could spend their adolescence on a consolidation of craftsmanship and description techniques, then their Masters should guide them to seek alternative ways for a development of unique art styles.
For the third point of emphasis, it is advised to explore the implications from the messages delivered by Xu Beihong’s art, as we all know that, he was good at boosting up the morale of Chinese art lovers to participate, cherish and support the anti-Japanese defense. Through some iconographical and narrative contents as metaphors, Xu Beihong silently highlighted his critical reflection on the corruption and disunity of Kuomingtang governance.

"Red Star Over China" recorded how the proletariat ideal of Communist Party was prospered as the mainstreamed ruling ideology in 20th-century China - from Menshevism of Chen Duxiu to Bolshevism of Mao Zedong.
Vincent Lee Kwun-leung (李冠良), the speaker of this academic talk, received the education of Prof. Cindy Chu Yik-yi (朱益宜教授) during her "Sino-American Relations" course at HKBU History Department in early 2009. Prof. Cindy Chu requested Vincent Lee and other students to do a "History Book Review" on "Red Star Over China" to analyze how an American journalist observed Communism in China.
Prof. Cindy Chu Yik-yi obtained a Ph-D qualification in University of Hawaii at Manoa. Her BA and M-Phil qualifications were from the University of Hong Kong. Prof. Chu is an alumnus of Maryknoll Convent School, and her Catholic growing background enables her to devote to the research on Maryknoll Sisters' missionary and charitable services in Hong Kong. Now, Prof. Chu is the Associate Director of HKBU David C. Lam Institute for East-West Studies.

I am going to be one of the participating artists in this art fair between 19 and 20 March 2016, in which I am going to have a booth at Sai Kung Promenade Park and have two pieces of Chinese-ink paintings being selected for the "Gallery Walk" session. I have to do creative demonstrations and prepare for a seminar to present my creative experiences.
This slideshare covers my fruits of Chinese-ink explorations in various units - such as my two secondary schools, Oil Street, HERMES and Cheung Chau Pier. Most of the works are "project-based", but you can still see how creative I am in terms of coping with the ever-changing aesthetic demands.
This slide was made for the in-class presentation of "Elements in Visual Arts and Approach to Art Criticism" course at HKBU Academy of Visual Arts, which was taught by Dr. Daniel Lau Chak-kwong in 2007. The topic is "Happenings", which I apply the performance-art creations by Kwok Mang-ho, Ching Chin-wai and Pak Sheung-chuen as examples.
William Kentridge is a rarely-found contemporary fine artist from the 21st century who insists to create charcoal and pastel drawings as his cored creative mediums despite of the emergence of installation and multimedia arts. His works are widely adopted by the press media to convey ironic messages against the socio-political absurdities, whereas they remain a certain kind of movie temperaments. The brushstrokes you can see from his sketchy compositions provide a good example for art lovers to understand how Expressionism should be like - a trust on subconscious mind.

Intellectual Property Considerations in M&A TransactionsRiveles Wahab LLP
M&A transactions often live or die on the basis of well thought out and executed legal due diligence. Indeed, due diligence often shapes core deal terms, transaction structure, and whether the deal itself even moves forward. For traditional businesses with physical assets, due diligence may come with reasonably obvious do’s and don’ts. However, in M&A deals where intellectual property (“IP”) is the key or sole asset, due diligence becomes even more critical yet far less obvious in terms of best practices.
In such deals, often unique and powerful transaction structure and drafting considerations come into play that are unfortunately overlooked as practitioners often make unwarranted assumptions regarding IP ownership and/or curing defects. Moreover, there are often misconceptions about the applicability of ordinary representations, warranties, and other M&A provisions to IP as a “one-size-fits-all” solution to the often unique array of defects and other “wrinkles” attached to the IP. In these cases, valuing and structuring the transaction can be adversely affected, the post transaction operations of the target business can be compromised, and the rights of both purchaser and seller can be significantly undermined.

"Lifting the Corporate Veil" is a legal concept that refers to the judicial act of disregarding the separate legal personality of a corporation or limited liability company (LLC). Normally, a corporation is considered a legal entity separate from its shareholders or members, meaning that the personal assets of shareholders or members are protected from the liabilities of the corporation. However, there are certain situations where courts may decide to "pierce" or "lift" the corporate veil, holding shareholders or members personally liable for the debts or actions of the corporation.
Here are some common scenarios in which courts might lift the corporate veil:
Fraud or Illegality: If shareholders or members use the corporate structure to perpetrate fraud, evade legal obligations, or engage in illegal activities, courts may disregard the corporate entity and hold those individuals personally liable.
Undercapitalization: If a corporation is formed with insufficient capital to conduct its intended business and meet its foreseeable liabilities, and this lack of capitalization results in harm to creditors or other parties, courts may lift the corporate veil to hold shareholders or members liable.
