"Lifting the Corporate Veil" is a legal concept that refers to the judicial act of disregarding the separate legal personality of a corporation or limited liability company (LLC). Normally, a corporation is considered a legal entity separate from its shareholders or members, meaning that the personal assets of shareholders or members are protected from the liabilities of the corporation. However, there are certain situations where courts may decide to "pierce" or "lift" the corporate veil, holding shareholders or members personally liable for the debts or actions of the corporation.
Here are some common scenarios in which courts might lift the corporate veil:
Fraud or Illegality: If shareholders or members use the corporate structure to perpetrate fraud, evade legal obligations, or engage in illegal activities, courts may disregard the corporate entity and hold those individuals personally liable.

Treatment of battle for redemption (1)
1. Title: Battle For Redemption
Running time: This film will run for approximately 90 minutes because in the
UK and action movie will usually run for this long as the budget isn’t high enough
to be able to implement enough action to exceed this time.
Genre: My film will be based in the action movie genre and is inspired by films
such as ‘dead or alive, the last samurai, Green Street or any fighting film from
which it requires two foes going against one another in a fight to the death. This
film is hard and gritty with a lot of blood-shedding combat. If you want to see a
film that depicts combat in this way you have to take a look at Green Street
(2005), which has tough characters go up against other tough characters and up
until the end of each fight you never know who’s going to win. The film shows
Britain a devastating state in a time where crime is at an all time high.
Narrative: In a dark place in time, a group of Gangsters, Criminals and Street
Combat masters are invited to a fighting contest “Battle for Redemption” on the
Isle of Arren away from society and are given the chance to win a staggering
£1000 000. Among the competitors are ‘Stee’ a former SS Spec OP Soldier turned
criminal who wants to gain the respect of his family back (he once got into a
street fight, which ended with his wife getting shot), ‘Rogue’ a Street Combat
Master who is secretly after Stee (his brother was killed by Stee on the night of
the shooting). The rest of the contestant’s are: Liz (love interest), Lex (Gangster),
Hercules (Criminal), Max (Gangster), Leon (Street Combat Master) Victor
(Criminal). The Equilibrium of the film is that all the characters come from
violent backgrounds and that’s all they’ve ever known. So the disruption in the
film is when Stee and the other competitors get called up to “Battle for
Redemption”. Upon arrival, the Island’s supervisor ‘Finn Balor’ monitors them,
who aided by Egghead Harry is gathering (using Nano-sensors) from the fights
for some mysterious project. To add to the situation ‘Rogue’ is hatching up plan
to draw Stee in one of the rounds and kill him to avenge his brother’s demise.
The Recognition stage in my film begins when The Contest begins, with multiple
contestants fighting and being defeated (including Hercules, Max, Leon, Lex),
until only Stee, Liz , Victor and Rogue are left. Leon and Rogue form a plan to
steal the fortune stowed away in a hidden vault. During Kasumi and Rogues fight
Rogue discovers that the key to opening the vault is written around Finn’s wrist
and upon realisation he forfeits the fight leaving everyone confused (indicating
he’s going for the money on his own). Also Stee begins to fall for Liz and reveals
to her the real reason why he is here that is to rekindle his relationship with his
family by claiming the prize money. Stee goes on to Beat Victor in the second
semi-final and sets up a nervy final against Liz. Now in an attempt to repair the
problems in the film Stee see’s Rogue sneaking across the battle field heading
towards the high tower where the vault is and realises what his plan is and
follows him leading to a confrontation between the two where all the past
secrets are revealed about Rogue’s brother and Stee, but just as rogue is about to
finish Stee he is stopped by Finn. Finn discovers the plan to steal the vault and
puts security on high alert preventing everyone from accessing it. The final
conflict in the film takes place on the final day of the tournament where Stee is
2. going up against Liz and their romance is put on hold for the chance to claim the
huge prize, as Rogue looks on he decides to scrap the rules and goes on rampage
destroying everyone around him and heads to the vault where Finn and Harry
wait for the tournament to conclude. Stee beats Kasumi and amongst the
celebration all hell breaks looks and the news sweeps across that Rogue has
killed Finn and Harry and has taken the money leading to a final battle between
the two in which Stee wins by a small margin as he releases Finn’s pet T-Rex on
Rogue killing him. Finally Finn has claimed the money and has fallen in Love and
he finally realises it wasn’t about gaining is families respect it was about getting
his life back on track, which he now can with the money and the girl of his
dreams.
Character List:
Tom Hardy - Stee (Former SS Spec OP Soldier) I feel that Tom Hardy is a
suitable candidate to play the role of the bad ass protagonist as he has
good experience in playing action heroes (Mad Max) plus he fits into my
needs of having a cast consisting of predominantly British actors. So he
would be able to the character Stee with ease as he has portrayed much
tougher and vicious characters in other films.
Chiwetel Ejioter - Rogue (street Martial Artist) He is fitting for this role as
he’s known for playing tough characters. And this role requires a person
to have played such a role in previous works in order to understand, plus
he is also British.
Emma Watson – Liz - (Love interest/ Martial artist) she might have
ejected herself from the Wizarding world but there’s only one word that
perfectly captures Emma: Magic that is what Kasumi’s character is as she
shows magical grace in her fighting style and I feel this role could open
Emma to a new format in her acting career.
3. Tom Hiddleston - Victor (criminal) victor is mischievous characacter so
that is why Tom Hiddleston fits the role. Since he is widely fun turn as
Loki in Thor saw him missed Chief his way to prominence burning him
avengers MVP status and convincing me why he’s the right man to be in
my film.
Idris Elba - Lex (Gangster) I thought that Idris Elba fitted this role
perfectly as he has a fan base that admire him for his style of play in
several gang films.
Dwayne Johnson - Hercules (Criminal) The needed an American Star and
Dwayne Johnson fits the bill indeed due to his high statue it was a no
brainier to choose him to play Hercules especially as this character has a
background in American Wrestling, which Dwayne use to specialise in. He
is in a cameo role so we won't have to worry about paying him big money
because he will only feature in a fight scene in which he loses and is
eliminated from the tournament.
4. Danny Dyer - Max (Gangster) Dyer is a fan favourite in the UK known for
his stints in Low budget grit movies and soap star appeal in Eastenders so
it was easy choice for me to cast him as Max the Gangster because with
his Hackney accent it's an instant attraction for the casual audience.
Jet Li - Leon (Street Combat Master) Jet Li is someone who can bring a
sense of originality to this role as he has background of doing his own
stunts not requiring a stunt man to do for him, which on the expense side
is good for the movie.
Finn Balor (wrestler) - Finn Balor (super visor) Even though Finn Balor
has never done a feature film before he would be good attraction for
WWE fans who want to see him go in the same direction as the likes of
Dwayne Johnson and pursuit a movie career. That is why I've given him
the low key role of Finn who coincidentally holds the same name, who is
the supervisor for the tournament. So I feel his Irish accent will best
appeal to this character and to the Irish audiences who follow Balor.
5. Will Poulter - Harry (assistant to Finn) Poulter is a young and up and
coming actor, it seems as if he's been around for ages featuring in small
budget films such as Son of Rambo and We’re the Millers gaining him
recognition with a teenage audience. That's why I feel he fits playing this
slap stick assistant to Finn considering he played a vulnerable adolescent
in The Revenant (2015).
Key Scenes:
Introduction to the tournament where all the characters finally find out
what they really have to do in order to come out victorious and questions
start to be asked about the Finn and Harry as they have had everyone
tagged.
The fights commence leading to the elimination of four competitors
leaving only Stee, Rogue, Kasumi and Victor left to fight in the Semi-Final
Rogue and Victor hatch a plan to steal the money that is locked away in
the vault up in the High Tower.
Stee and Kasumi romantic walk this the only scene in the film where it is
calm and we get to see two characters interacting with one another.
Stee vs. Rogue 0.1- Stee finds out that Rogue was about to steal the money
Rogue kills Finn and Harry- Rogue goes crazy and destroys everything in
sight.
Stee vs. Rogue 0.2 Finale this will go down as probably the most intense
fight in action movie history as the audience don't have a clear idea on
who will be the victor in this fight.
Ending montage- reflects on the journey that everyone has taken up until
this point in the film.

Social Class- E
This group of people will most likely be people who are fans of the Dead
or Alive/ Mortal Combat game franchise as this film depicts some of the
aspects that these games present. Also this might be relatable in a sense
to people that were once leading a life of crime and changed for the
better. The sex appeal will be to males as there will be some bikini
wearing females throughout the film so that might also attract certain
teen’s.
6. Representation: In this film society is presented as being very dark and
mystical. The crime rate in Britain is at an all time high it requires a ‘Kill or Get
Killed’ mentality. That is why when people are chosen to take part in Battle for
Redemption they take it seriously and do not make friends, their only goal being
to kill any one who stands in their way. To add this world is very negative and
there is not one single character that is positive minded despite Stee, which is
questionable because he only does so at the very end.
UK film aspects: The film brings back the old dirty a gritty style of a British
action film taking up the fighting Style of Green Street showing a bloody story in
the form of Soldier turned criminal lifestyle, which quite typical of a British film.
The film also consists of a predominantly British cast with a few Hollywood
names splashed in there to make up the numbers. For example I casted Tom
Hardy as the lead because the British public is aware of what a talented actor he
is from his role in The Revenant and Mad Max. Due to the current trend of Anime
and Comic Con being so popular with the British public this opens up a whole
new window, which is why my movie tries to emulate some aspects of anime and
comic, which will explain the anime style fight sequences and weird transitions
from scene to scene.
Legal and Ethical: Due to the gruesome and intense fight scenes we must make
sure that all actors and staff are safe at all times from discrimination and things
such as sexism, age and homophobia because even though this is a film we are
still in a working environment. Also due to the high level of the cast we must
keep all personal information private and work them for only a certain number
of hours before it's considered hard labour and breaking the ‘Working Time
Directive 1999’ (act).
Classification: This film will be most likely given a certificate 18 rating due to its
intense gory violence and high level of combat with some scenes featuring
women in bikinis, which may be taken as scenes of a sexual nature and strong
language might feature. However, if we maybe cut down the level of violence it
might sneak back down to a 15 certificate.
Funding: The film is production by studio Canal and most likely Universal will
help fund the majority films budget due partnership the two companies have and
sheer star appeal my film presents with the Likes of Dwayne Johnson and Jet Li
featuring. Another source of funding might be the UK film Council turned BFI
who give out funding to films with no obligation of having to pay back the
money.
