1. Terms of Strategic Alliance Agreement

PURPOSE
The purpose of this document is to specify, clarify and record the terms of a Strategic Alliance
Agreement, prior to any legally binding documents, between Derman.ca and a Strategic Ally, “

INTRODUCTION: DERMAN.CA
Derman.ca is a relocation services provider for international students, providing a variety of
services to prospective students before arriving at their respective location. We help students
determine what they need before they get to Canada, and set it up from the comfort of their home
so everything is ready. In addition to the number of schools we offer, Derman.ca helps set up
housing, airport pickup, bank accounts, cellphone plans, and provides lifestyle integration
support once a student arrives.
TERMS
Derman.ca offers the following and will commit to the following terms:
1. School selection from website
We will commit to the following:
a. Begin process of all orders with chosen academic facility within the next business
day
b. Require students to have a direct referral from a Strategic Ally to register, with a
passcode direct from our Strategic Ally for sales tracking purposes
c. Fairly and accurately represent content direct from each school
d. Post expected dates relating to acceptance to students and our strategic partners
e. Post expected payout date and amount to our strategic partners
f. Maintain contact with school to ensure process proceeds to completion
g. Pay 70% of commissions obtained from successful placement to each school, for
each successful registrant using passcode
2. Bank Account setup
We will commit to the following:
a. Consult students on selection of a convenient bank account
b. Select a bank account that offers optimized plans for students

We will commit to the following:
a. Consult students on selection of a house to rent a room in
b. Post pictures of rooms, houses, prices, etc
c. Ensure all houses are inspected and approved by Derman.ca staff as suitable for
living, including CO emission inspection and cleanliness report
d. Offer to select room and finalize contract before arriving at the chosen destination
e. Ensure room is clean and ready for move in
4. Cell phone service
We will commit to the following:
a. Provide option to purchase cellphone and cellphone plan from home
b. Provide shipping option to deliver registered cellphone to international address
before arriving in Canada
5. Airport Pickup
We will commit to the following:
a. Provide option to order airport pickup service to drive student to their residence
b. Ensure airport taxi service is able to contact student directly if purchased
cellphone and plan
c. Ensure airport taxi is already paid
d. Ensure airport taxi is previously aware of the destination
6. Furniture
We will commit to the following:
a. Provide option to purchase furniture for room if needed
b. Pay 30% of commissions received by Derman.ca from sale of furniture
In return, Derman.ca would be interested in the following arrangement:
1. Agency markets Derman.ca services to students
With commitment to the following
a. Direct prospective students to Derman.ca, with encouragement to register
b. Provide secure password to students via email for registration with Derman.ca
c. Agree to not distribute password unless represented as “ “, or to parties

d. Maintain contact with student until application has been approved and accepted

3. The below signatures represent general acceptance of the above terms. This document is meant
only as an agreement of general terms of business between the respective parties, and does not
represent the entire of the relationship between Derman.ca and “ “. Signature of this
document represents an agreement to pursue a course of business, and not necessarily that all
terms be included in the final revision. Any additional revisions, terms of responsibility, etc,
should be clarified in the revisions of this document, and will be added to the final legally
binding version.
