sunoco Compensation Committee

The Compensation Committee of Sunoco, Inc. is responsible for overseeing executive compensation, reviewing employee benefit plans, and producing reports on executive compensation. The Committee must consist of at least three independent directors appointed by the Board. It determines compensation for the CEO and reviews compensation of other executives. The Committee engages consultants, conducts annual self-evaluations, and meets at least five times per year.
