UAP Investments Ltd is licensed as a Fund Manager by both the Capital Markets Authority
(CMA) and the Retirement Benefits Authority (RBA).We believe that UAP Investments Ltd
is uniquely positioned to provide the required fund management and investment

team with relevant international and local experience and expertise in structuring and

1.1 THE UAP GROUP
UAP Holdings Limited (UAP or UAP Group) is a pan-African Financial Services Group with
interests in Insurance, Investment Management, Property Development and Investments,
Securities Brokerage and related financial services. Currently, UAP has 12 businesses
operating in 6 countries including Kenya, Uganda, South Sudan, Rwanda, Democratic
Republic of Congo (DRC) and Tanzania.

UAP INVESTMENT SERVICES Our focus on world-class investment and comprehensive,
tailored solutions to both individual and institutional investors is reflected in our

1.2 UAP MONEY MARKET FUND
I. The Fund’s investment objective
The investment objective of the UAP Money Market Fund is to maximize the level of total
return to investors by generating a reasonable level of current income and maximum
stability for the capital invested, whilst minimizing the volatility of the portfolio.
To achieve this, the Fund will invest in a diversified portfolio consisting principally of
short-term fixed income securities that offer comparative yields versus what the individual
client would be able to achieve through direct investment in an interest bearing current
or savings account, as well the attendant liquidity benefits.
II. The Funds principal investment strategies
The Fund would primarily invest in fixed income securities including Government Treasury
bills, short-term Treasury bonds, Fixed Deposits, commercial papers (“CPs”), and any other
fixed income securities with suitable characteristics.
The basis of the Funds management will focus on maintaining an acceptable average interest
rate sensitivity of the assets within the Fund, or duration . This will be done by considering
the Funds constituents on the basis of the prevailing yield curve.
III. Target Client.
The Fund is suited to clients with a conservative risk profile due to its low-risk nature.
It is suited to individual clients who are typically seeking a higher return than what they
would otherwise be able to attain from a normal bank/savings account.
The Fund would also be suited to corporate clients with surplus liquidity from which they
would wish earn competitive interest rates prior to deployment.
The recommended investment horizon is 3 to 12 months in order for clients to be able to
appreciate the effect of the returns on their invested capital
THE KEY BENEFITS OF THE MONEY MARKET FUND
• Capital Stability: The funds rates of returns aim to outperform the prevailing inflation rate.
• Liquidity: The funds are highly liquid since the Capital Markets Act (Cap. 485A), requires Unit
Trust Fund managers to buy back all the Units that Unit-Holders wish to off-load at any time.
• Cash Withdrawal Facility: This allows the investor to make regular withdrawals from the
British-American Unit Trust Funds without penalty (subject to rules).
• Low Risk: The Money Market Fund is a low-risk investment vehicle since the dominant assets
in the portfolio are government backed securities. This portfolio comprises of securities of the
same class issued at different times, thus ensuring diversification.
• Potentially Superior Returns: Because your funds are invested together with those of other
investors, unit trusts provide returns that are potentially superior to those offered by fixed
deposits over the longer term, thus providing investors with the opportunity to build real
wealth.
• Income distribution: Returns generated from the Money Market Fund are distributed
monthly, though we recommend reinvestment to achieve an even higher return through
compounding.
• Safe and Transparent: The Capital Markets Act provides the foundation for the regulations
that apply to the Unit Trust Fund industry. These regulations require fund managers to
disclose information on the performance and movement of their fund prices on a daily basis
in the daily newspapers.
• Value for money: Pooling of money is cost efficient as it lowers the dealing and
administration costs per investor. In other words, you access expert advice at very low costs.

2.2 UAP HIGH YIELD BOND FUND
I. The Fund’s investment objective
The investment objective of the UAP High Yield Bond Fund is to maximize the level of total
return to investors by generating a reasonable level of current income and maximum stability
for the capital invested, whilst minimizing the volatility of the portfolio. To achieve this, the
Fund will invest in a diversified portfolio consisting principally of high yielding fixed income
securities.
II. The Funds principal investment strategies
The Fund would primarily invest in fixed income securities including Government Treasury
bonds, high-yielding Fixed Deposits, Commercial papers (“CPs”) of various tenors, and any
other fixed income securities with suitable characteristics.
III. Target Client
The Fund is designed for investors who want to participate in the fixed income markets so as
to enjoy income and capital appreciation on their investments. The Fund is suited to clients
that require a high level of income from their capital investment with relatively low risk.
The recommended investment horizon is 2 to 4 years or longer in case the client such as an
institution is seeking a strategic exposure to the fixed income asset class in order to diversify
the risk within their overall investment portfolios.

3.2 UAP DIVIDEND MAXIMIZER FUND
I. Fund’s investment objective
The investment objective of the UAP Dividend Maximizer Fund is to offer investors long term
capital growth by primarily offering exposure to high dividend yielding stocks, as well as the
additional upside form potential capital appreciation. This would be achieved by investing in
a diversified selection of high yielding stock securities exhibiting reasonable risk-return
fundamentals over the medium to long term.
II. The Fund investment strategy
The Fund will seek to give investors diverse exposure to stocks by investing in value stocks
within sectors the Fund Manager believes have positive economic growth prospects. The
stock selection process will interrogate the fair value of the available stock universe, against
the intrinsic value of the companies to determine the existence of a value proposition.
A host of other valuation related factors including dividend yields, liquidity & the market
environment will also be taken into account in the stock selection process. The success of the
Fund’s investment strategy depends largely on the Fund Manager’s skill in assessing the
potential for appreciation in value of the securities in which the Fund invests. The Fund may
also invest in short term Treasury securities in periods where equity market volatility is judged
to be too high as well as modest short term cash deposits as suitable investment
opportunities are assessed.

The Fund is suited to clients with a long investment horizon – 3 to 5 year – as well as a high
risk tolerance.

4.2 UAP ENHANCED INCOME FUND
I. The Fund’s investment objective
The investment objective of the UAP Enhanced Income Fund is to achieve a high level of
current income and offer investors long term capital growth, as well as the additional upside
form potential capital appreciation exposure afforded by high yielding stock exposures. This
would be achieved by investing in a diversified selection of medium to long term fixed
income securities at yields typically higher than the market weighted average yield to
maturity, as well as investments across stocks with high yields and reasonable risk-return
fundamentals over the medium to long term.
II. The Fund investment strategy
The Fund will seek to give investors diverse exposure to stocks by investing in value stocks
within sectors perceived to have positive economic growth prospects. The stock selection
process will interrogate the fair value or market price of the available stock universe, against
the intrinsic value of the company to determine the existence of a value proposition. The
Fund will also invest in fixed income securities which offer steadier returns, thereby lowering
the risk profile of the Fund.
The fund’s asset allocation will typically depend on the prevailing market climate as observed
by the Fund Manager, within the context of a target optimal asset allocation given the Fund’s
risk profile. The success of the Fund’s investment strategy depends largely on the Fund
Manager’s skill in assessing the potential for appreciation in vale of the securities in which the
Fund invests, given the prevailing and expected market & economic conditions.

The Fund is suited to clients with medium to long-term – 3 to 5 year- investment horizon and
a medium risk tolerance.

Management structure of the Funds
Best practice entails that the Fund’s assets are held by a Custodian, to protect clients’
investments.
The Trustee to the Fund will provide oversight on the Fund management practices on behalf
of the clients ensuring the Fund Manager stays true to the guidelines as stated within each
product’s Trust Deed.
The Fund Manager - UAP Investments Limited - will be in charge of managing the clients’
investment funds with a view to fulfilling the specific Fund’s investment objectives as
outlined above.

1.3 UAP CASH MAX SERVICES
The UAP CashMax service is a comprehensive investment solution that provides personalized
portfolio management services to clients who would like an opportunity to invest at an
agreed and guaranteed rate of return over a specified period of time.
The defining features of CashMax Service include:
• The product is structured around the client’s cash needs and requirements taking into
consideration the client’s risk and return profile
• Consistently competitive interest rates on invested cash at all times by consolidating cash
from various investors. The consolidation of investments allows for the negotiations of higher
rates on invested cash
• Access to in-house fixed income analysis from the fund management fixed income team
who provide market intelligence.
• Investor capital is preserved
• Investment of cash over an agreed period of time ranging from 1,3,6 and 12 months
• Cash flow management of hard currency investment
• Special maturities can be structured based on clients need for high volume clients.
2.3 PRODUCT OBJECTIVE
The investment objective of the CashMax service is to offer investors a reasonable rate of
return on surplus cash invested over a period of 3-12 months. The returns would arise from
investments in the fixed income asset class, seeking high yields on cash invested as well as
favorable yields at primary and secondary auctions.

Duration Minimum of 1 month with period ranging from 1, 3, 6 and
12 months. On Maturity funds may be withdrawn, rolled
over at a new rate or switched to any of UAP Unit Trust funds
Rate of return Rates will be communicated at the beginning of the week
and shall be applicable to all funds reaching our account and
compiled by Thursday of the same week
Fees Cash Max service does not attract any fees

  • 11. 1.2 UAP MONEY MARKET FUND I. The Fund’s investment objective The investment objective of the UAP Money Market Fund is to maximize the level of total return to investors by generating a reasonable level of current income and maximum stability for the capital invested, whilst minimizing the volatility of the portfolio. To achieve this, the Fund will invest in a diversified portfolio consisting principally of short-term fixed income securities that offer comparative yields versus what the individual client would be able to achieve through direct investment in an interest bearing current or savings account, as well the attendant liquidity benefits. II. The Funds principal investment strategies The Fund would primarily invest in fixed income securities including Government Treasury bills, short-term Treasury bonds, Fixed Deposits, commercial papers (“CPs”), and any other fixed income securities with suitable characteristics. The basis of the Funds management will focus on maintaining an acceptable average interest rate sensitivity of the assets within the Fund, or duration . This will be done by considering the Funds constituents on the basis of the prevailing yield curve. III. Target Client. The Fund is suited to clients with a conservative risk profile due to its low-risk nature. It is suited to individual clients who are typically seeking a higher return than what they would otherwise be able to attain from a normal bank/savings account. The Fund would also be suited to corporate clients with surplus liquidity from which they would wish earn competitive interest rates prior to deployment. The recommended investment horizon is 3 to 12 months in order for clients to be able to appreciate the effect of the returns on their invested capital

THE KEY BENEFITS OF THE MONEY MARKET FUND • Capital Stability: The funds rates of returns aim to outperform the prevailing inflation rate. • Liquidity: The funds are highly liquid since the Capital Markets Act (Cap. 485A), requires Unit Trust Fund managers to buy back all the Units that Unit-Holders wish to off-load at any time. • Cash Withdrawal Facility: This allows the investor to make regular withdrawals from the British-American Unit Trust Funds without penalty (subject to rules). • Low Risk: The Money Market Fund is a low-risk investment vehicle since the dominant assets in the portfolio are government backed securities. This portfolio comprises of securities of the same class issued at different times, thus ensuring diversification. • Potentially Superior Returns: Because your funds are invested together with those of other investors, unit trusts provide returns that are potentially superior to those offered by fixed deposits over the longer term, thus providing investors with the opportunity to build real wealth. • Income distribution: Returns generated from the Money Market Fund are distributed monthly, though we recommend reinvestment to achieve an even higher return through compounding. • Safe and Transparent: The Capital Markets Act provides the foundation for the regulations that apply to the Unit Trust Fund industry. These regulations require fund managers to disclose information on the performance and movement of their fund prices on a daily basis in the daily newspapers. • Value for money: Pooling of money is cost efficient as it lowers the dealing and administration costs per investor. The Fund’s investment objective The investment objective of the UAP High Yield Bond Fund is to maximize the level of total return to investors by generating a reasonable level of current income and maximum stability for the capital invested, whilst minimizing the volatility of the portfolio. To achieve this, the Fund will invest in a diversified portfolio consisting principally of high yielding fixed income securities. II. The Funds principal investment strategies The Fund would primarily invest in fixed income securities including Government Treasury bonds, high-yielding Fixed Deposits, Commercial papers (“CPs”) of various tenors, and any other fixed income securities with suitable characteristics. III. Target Client The Fund is designed for investors who want to participate in the fixed income markets so as to enjoy income and capital appreciation on their investments. The Fund is suited to clients that require a high level of income from their capital investment with relatively low risk. The recommended investment horizon is 2 to 4 years or longer in case the client such as an institution is seeking a strategic exposure to the fixed income asset class in order to diversify the risk within their overall investment portfolios.

Fund’s investment objective The investment objective of the UAP Dividend Maximizer Fund is to offer investors long term capital growth by primarily offering exposure to high dividend yielding stocks, as well as the additional upside form potential capital appreciation. This would be achieved by investing in a diversified selection of high yielding stock securities exhibiting reasonable risk-return fundamentals over the medium to long term. II. The Fund investment strategy The Fund will seek to give investors diverse exposure to stocks by investing in value stocks within sectors the Fund Manager believes have positive economic growth prospects. The stock selection process will interrogate the fair value of the available stock universe, against the intrinsic value of the companies to determine the existence of a value proposition. A host of other valuation related factors including dividend yields, liquidity & the market environment will also be taken into account in the stock selection process. The success of the Fund’s investment strategy depends largely on the Fund Manager’s skill in assessing the potential for appreciation in value of the securities in which the Fund invests. The Fund may also invest in short term Treasury securities in periods where equity market volatility is judged to be too high as well as modest short term cash deposits as suitable investment opportunities are assessed.

The Fund’s investment objective The investment objective of the UAP Enhanced Income Fund is to achieve a high level of current income and offer investors long term capital growth, as well as the additional upside form potential capital appreciation exposure afforded by high yielding stock exposures. This would be achieved by investing in a diversified selection of medium to long term fixed income securities at yields typically higher than the market weighted average yield to maturity, as well as investments across stocks with high yields and reasonable risk-return fundamentals over the medium to long term. II. The Fund investment strategy The Fund will seek to give investors diverse exposure to stocks by investing in value stocks within sectors perceived to have positive economic growth prospects. The stock selection process will interrogate the fair value or market price of the available stock universe, against the intrinsic value of the company to determine the existence of a value proposition. The Fund will also invest in fixed income securities which offer steadier returns, thereby lowering the risk profile of the Fund.

The fund’s asset allocation will typically depend on the prevailing market climate as observed by the Fund Manager, within the context of a target optimal asset allocation given the Fund’s risk profile. The success of the Fund’s investment strategy depends largely on the Fund Manager’s skill in assessing the potential for appreciation in vale of the securities in which the Fund invests, given the prevailing and expected market & economic conditions. III. Target Client The Fund is suited to clients with medium to long-term – 3 to 5 year- investment horizon and a medium risk tolerance. Enhanced Income Fund Overview Minimum Initial Investment KES 250,000 Investment Plan KES 50,000 lump sum with monthly payment of KES 12,500 for 12 to 18 months there after Initial Fee 5.0% Management Fee 2.0% Management structure of the Funds Best practice entails that the Fund’s assets are held by a Custodian, to protect clients’ investments. The Trustee to the Fund will provide oversight on the Fund management practices on behalf of the clients ensuring the Fund Manager stays true to the guidelines as stated within each product’s Trust Deed. The Fund Manager - UAP Investments Limited - will be in charge of managing the clients’ investment funds with a view to fulfilling the specific Fund’s investment objectives as outlined above.

  • 19. 1.3 UAP CASH MAX SERVICES The UAP CashMax service is a comprehensive investment solution that provides personalized portfolio management services to clients who would like an opportunity to invest at an agreed and guaranteed rate of return over a specified period of time. The defining features of CashMax Service include: • The product is structured around the client’s cash needs and requirements taking into consideration the client’s risk and return profile • Consistently competitive interest rates on invested cash at all times by consolidating cash from various investors. The consolidation of investments allows for the negotiations of higher rates on invested cash • Access to in-house fixed income analysis from the fund management fixed income team who provide market intelligence. • Investor capital is preserved • Investment of cash over an agreed period of time ranging from 1,3,6 and 12 months • Cash flow management of hard currency investment • Special maturities can be structured based on clients need for high volume clients. 2.3 PRODUCT OBJECTIVE The investment objective of the CashMax service is to offer investors a reasonable rate of return on surplus cash invested over a period of 3-12 months. The returns would arise from investments in the fixed income asset class, seeking high yields on cash invested as well as favorable yields at primary and secondary auctions.
