The Consolidated financial statements and the Separate financial
statements of the Company were audited by Deloitte & Touche S.p.A..
Under Italian company law, the auditor is appointed and its remuneration is
resolved every three years by the shareholders in a general meeting of the
Company, on the basis of a proposal from the Board of statutory auditors.
