With many pension funds starting to follow the UN’s PRIs, and the signatories representing $70 trillion. ESG factor-based investing cannot be ignored, regardless of the participant's principles. The divestitures we are seeing by major players such as GPIF, Norwegian Oil Fund, CalSTRS as well as many smaller endowment funds.
Has this led to an increase in PE activity in the affected sectors, the driver is that the –what can be seen as forced- selling leading to said companies trading at a discount in public markets. Which leads to the question: through ESG conscious funds investing inline with their principles, do they end up bounding their returns (in the case of tobacco divestment) and arguably making the companies who are deemed poor on the E and S vector less transparent and accountable.

Introduction: The new law making CSR expenditure and reporting mandatory for certain companies is a new chapter in the Indian corporate world and has provided a necessary boost to the status of companies’ responsibility towards the stakeholders, and transparency and accountability of their actions. Need: The mandatory 2% spending of profits on CSR activities got mixed reaction from corporate executives. To ensure that the enforcement of the law isn’t limited to the term “cheque-book CSR”, regular exploration of the companies’ CSR expenditures and their consequent outcomes is absolutely essential. Objective: The paper aims to assess the outcome of Section 135 of the Companies Act, 2013, in the first year of its implementation among the BSE-SENSEX companies. Research methodology: Secondary sources were utilized for collecting profits and CSR expenditure figures of the selected 30 companies for conducting an ex-post analysis for the year 2014-15. Key findings of the study: Less than 15% of the BSE-SENSEX companies had spent on CSR activities an amount that is equal to or greater than the stipulated 2% of the average profits of the preceding 3 years as per Section 135 of Companies Act, 2013. Implications: Immediate attention of regulatory bodies is desired towards companies failing to dispense the funds earmarked for CSR as stipulated by the law to ensure compliance.

This project report is the result of the learnings and techniques adopted by Abi Augustine during his winter project program which is a subject of Mumbai University MMS Semester IV.
The inspiration for this project titled “A Case Study On The Corporate Social Responsibility Of The Selected Indian Companies’’ is to study about the Corporate social responsibility of the selected Indian Companies and to make a highlight of the activities done by them in 2019 and also to make a comparison between the two.
Corporate Social Responsibility prevailed in India for a long time but it was considered as a part of philanthropy or charity. With the advent of Corporate Social Responsibility provisions, it has got the legal framework and is become a duty of the corporates to give back from the profits to the society, for the betterment and improvement of the society. With due consideration to the fact that “profitability” is the primary force and motivation for all the development on this front. Due to this the cut-throat competition increased between business and to then differentiate themselves companies are using the Corporate Social Responsibility provision to create a brand image and to gain loyal customers by putting light on the initiatives taken by them and how they are giving back to the society. Companies cannot rule out the fact that they survive because of the society and therefore equivalent importance should be given to the society as they do to their businesses. Thus the study has revealed that companies use their Corporate Social Responsibility policy to increase their profits.

Ministry of Corporate affairs is encouraging the companies to have some CSR activities. The companies are taking some Social Welfare activities to show that they have CSR activities. However a proper CSR policy should not merely some social welfare activities but a holistic responsibility of business organization towards its shareholders, employees, consumers, related communities and environment however it’s sometime neglected. Companies may have sound HR, Marketing, Operation policies etc. but somehow they are confused regarding their CSR policies. They are sometime depending on some social welfare organizations who have very limited knowledge toward the need and responsibility of business organizations. Unoptimized CSR Activities is not creating any value addition to the company as well as to the society in true sense. A proper structure for CSR policy is required to be developed so that companies can exercise its responsibility towards 3P’s (Profit, People and planet) effectively.
This study is done by combining primary data with secondary data related to CSR Activity of some major companies, in order to move forward in designing road map for future CSR activities.
CSR Activities of Companies having manufacturing Infrastructure like SAIL, Indian Oil, Power Sectors like NTPC, Adani Power, Tata Power etc. focused on defensive CSR Activities such as, Activities related to Environment, Care and Development of local community. Companies of Service Sector like Banking Sector like SBI, IDBI, HDFC etc are not focused to any fixed area.
Despite of some limitations the study addressed a scientific approach in this aspect.

Vedanta Resources, the mining company routinely
criticized for its performance on human rights, the
environment and safety, has been attacked by a top
City investor for allowing its poor sustainability record
to depress its share price. At its annual meeting in
central London on Thursday, which also heard from
human right campaigners including the former model
Bianca Jagger and Peter Frankental from Amnesty
International, Stephanie Maier, head of corporate
responsibility at Aviva Investors, said Vedanta's
shares had underperformed mining peers
by 29% since 2010
She added that, while the miner had made improvements, its independent directors were too weak to
push through significant change. "This cultural change should be driven by the board, and an
appropriately skilled and experienced board is therefore crucial. We are
disappointed, therefore, to see another director [Deepak Parekh, who joined the
board last month] appointed without a credible track record in mining or
sustainability issues and we withhold support for all non-executive directors as we do
not consider that there is sufficiently robust and independent challenge and oversight at board level.

• Corporate Social Responsibility (CSR) has, for the first
time, been recognized under Company Law.
• Clause 135 (under Chapter IX – Accounts of Companies) of

What happens if my company’s current initiative is not in the list?
The list in schedule VIII to the Companies Act 2013 while specifying activities
under CSR states- ‘activities which may be included by companies in their
Corporate Social Responsibility Policies’.
The listed activities are largely as specified in UN Millennium Development
Goals.
So the list does not appear to be not binding but suggestive in nature.

According to industry estimates, the mandatory CSR
rules would apply to close to 9,000-10,000
companies.
"This money would not come to the government of India. It is the companies'
money and they can spend as per the decision taken by the CSR committee of
their board. But they must report the same," Pilot said. "Our assessment is that
if every company that is qualified for doing the CSR does so, then
Rs 15,000-20,000 crore would be spent in a year in various projects
such as environment, skill development, water, sanitation etc. We have left the
canvas very wide as we thought it would not be proper to make it restrictive."

Most companies in India engage with local communities near their area of
operations, and the beneficiaries of CSR activities are generally the local
population.
•
Most firms have adopted the same sectors for CSR (e.g., healthcare, or
education), and then they spend CSR budgets on a project to project basis -doing
some health camps, adopting a village, building a road, maintaining a facility, and
so on.
•
Such project to project variations in CSR initiatives is seemingly devoid of a
strategy , and also shows a lack of synergy with business operations.
An attempt to align the business strategy with CSR strategy will help firms to leverage
their CSR expenditures . A directional change in perspective of Indian corporations is
required in the planning and strategizing of their CSR operations .

lives affected due to the nature of the CSR activity and based on the needs
of the Targeted Beneficiary ( in terms of increase in awareness in
social, economic, health, environment, education, political, and other

• Economic impact index= Net improvement in
incomes, wealth, savings, and assets, and number of lives affected, due to
the nature of the CSR activity, and based on the needs of the Targeted
Beneficiary( in terms of economic value created, income-generating assets
created etc).
• ROI = (Net Social Value created for TB +Net Economic Value created for
TB)/Financial Investment of the firm.
ROI be calculated by external auditing firms every 6 months after the
beginning of the project, until at least after 5 years of the completion of the
activities to ensure that the impact is sustainable, and was not short-lived.

five crore or more during any financial year shall
constitute a Corporate Social Responsibility Committee of
the Board consisting of three or more directors, out
