This memorandum of understanding establishes a partnership between Ojaswi Marbles & Granites Pvt. Ltd. and Geetanjali Institute of Technical Studies to collaborate on consultancy, training, internships, and student placement. Key aspects of the agreement include Ojaswi utilizing GITS faculty expertise for market research and consultancy. GITS will provide market surveys, marketing strategies, and placement/internship opportunities for its students at Ojaswi in exchange for compensation and facilities from Ojaswi. Memorandum of Understanding
This Memorandum of Understanding is entered on the ___________ day of the month of
__________________ at Udaipur by the authorised signatories of Ojaswi Marbles &
Granites Pvt. Ltd. and Geetanjali Institute of Technical Studies for consultancy and
internship/ placement .
The Geetanjali Institute of Technical Studies (hereinafter called GITS) situated at Dabok,
Udaipur (Rajasthan), an educational Institute established by Geetanjali Education Society in
the year 2002-2003, Approved by All India Council for Technical Education (AICTE), &
Affiliated to Rajasthan Technical University (RTU), Kota, to provide offering Technical and
Professional education in undergraduate, Post Graduate and Management Courses; as party of
the First Part
And
Ojaswi Marbles & Granites Pvt. Ltd. and Geetanjali Education Society, Udaipur, as party of
the Second Part.
Ojaswi Marbles & Granites Pvt. Ltd. (hereinafter called OMGPL) established in 1999
under the leadership of Mr. J.P. Agarwal, Chairman, Pacific Industries, Udaipur. Ojaswi
Marbles is one of the biggest quarry owner and processor of Beige Colour Marble excavated
and processed at Katni, Madhya Pradesh.
Ojaswi Marbles & Granites Pvt. Ltd. and GITS are hereafter referred to individually as
"Party" and collectively as "Parties".
1. PREAMBLE
WHEREAS, Ojaswi Marbles & Granites Pvt. Ltd. is one of the biggest quarry owner and
processor of Beige Colour Marble excavated and processed at Katni, Madhya Pradesh.

WHEREAS, GITS is a leading educational Institute affiliated to and approved by AICTE,
India.
WHEREAS, in the meeting with its Chairman Shri J. P. Agarwal, the services and facilities
of GITS were offered to the OMGPL, the management of OMGPL decided to avail the offer
for enhancing the productivity, setting the process after technical &

2. scientific studies and training of its manpower in technical aspects of processes and
operations. OMGPL intends to utilize the services of the Department of Management Studies
to conduct marketing research activities and conduct market surveys.
2. PURPOSE OF AGREEMENT
Henceforth, OMGPL and its management have decided to collaborate to avail the expertise of
marketing faculty at GITS for conducting marketing research activities to conduct market
surveys, marketing research, suggest marketing and advertising tools to improve market
reach and explore new markets.
The parties desire to collaborate for utilizing the expertise of the GITS faculty as well as
student- interns for which the management of OMGPL will suitably compensate for services
and also extend its facilities to the GITS in decided manner.
NOW THEREFORE in consideration of the foregoing and the mutual covenants and
promises contained herein and other good and valuable consideration the receipt and
adequacy of which is hereby acknowledged, the Parties intending to be bound legally and
agree as follows:
 It is agreed between the parties that OMGPL and GITS shall collaborate for the
consultancy and training programmes mentioned hereof.
 The management of the OMGPL will suitably compensate for services and also
extend its facilities to the GITS in decided manner.
 The above MoU will be effective from January 1, 2019 to June 30, 2020.
 Terms, roles and responsibilities of each party will be as under:
The Pacific Industries in turn will extend following facilities and compensation to the GITS
for the service offered:
a. Provide opportunity to GITS students for their placement in OMGPL, provided they
meet the job requirements and qualify the selection process.
b. Allow the students to take up Summer Internship in OMGPL, as per academic rules of
GITS following the rules of the OMGPL.

c. The Faculty of the Management Education will conduct the market survey and collect
the feedback on its product at a cost of Rs. ______________ lakh over a period of one
year.

3. d. The faculty of Management will provide consultancy in effective marketing of the
products at the cost of Rs. _______________ lakh including development of video
clips, marketing stories and publicity material.
Now, in view of the above agreement, the Geetanjali Institute of Technical Studies will
offer following services to the PI:
a. The Management Education Faculty of GITS will provide Consultancy and Market
Research for Marketing of the product and also taking feedback on the product to
increase market share and outreach.
b. The faculty of Management will provide consultancy in effective marketing of the
products at the cost of Rs. ______________ lakh including development of video
clips, marketing stories and publicity material.
3. GENERAL CLAUSES
Third Party Right: No person who is not a party to this MoU shall have any right to enforce
any terms of this MoU.
Notice and Communications: Notices and other communications required or permitted
pursuant to this MoU, shall be in writing and shall be delivered personally, or by prepaid
registers mail, or by use of professional overnight courier service, at the addresses set forth
above.
Amendments: No amendments or modifications to this MoU shall be effective unless made in
writing and signed by authorized representatives of the parties.

Duration of the MoU:
This MoU shall take effect from the date it is signed by representatives of both the parties,
viz. GITS and OMGPL. This MoU may be amended, renewed and terminated by a mutual
written agreement of the party and GITS at any time.
IN WITNESS WHEREOF, the Parties hereto, each acting under due and proper authority,
have executed this MOU as of the date written above.
