Oil & Gas Programs
This session is a follow up to the introduction to private oil and gas investments given last October. The focus will be on recent Reg. D activity in leases, drilling, and royalty acquisitions. Discussion will also include opinions as to how this asset class differs from other alternatives and how it continues to deliver competitive economic benefits for investors. Additional topics include: Recent trends/opportunities, how to separate the excellent companies from the chaff, how to evaluate opportunities and implement due diligence best practices, liquidity considerations and exit plan strategies.
Moderator: Brad Updike, Mick & Associates
Panelists: Brett Evans, Hull, Evans, Kob LLP; Shawn Smith, FactRight LLC; Gail Schneck, Buttonwood Investment Services
Law firm Harrington, Hoppe & Mitchell have issued a memo with some great tips for landowners--things to mull over as you think about whether or not to re-lease, and if you do, under what conditions.
The International Accounting Standards Board (IASB) and the Financial Accounting Standards Board (FASB) are currently finalizing the accounting regulations for leases, expecting to issue the new standards before the end of 2015. The new regulations will require organizations to capitalize many of their operating leases and record them in their balance sheets as assets and obligations.
With high volumes of complex lease contracts for drilling, equipment and joint operations, oil and gas operators are one of the groups that are most affected by the upcoming lease accounting standards. To ensure that they have the IT systems, applications, processes and controls ready to comply and to allow for potentially lengthy lead times, experts strongly recommend organizations to start considering today how technology can help them prepare, long before adopting the standard.
A list of contracts issued by the Pennsylvania Dept. of Conservation and Natural Resources (DCNR) issued, as of February 2015, to allow Marcellus and Utica Shale drilling under what PA calls publicly-owned waterways--everything from large rivers to small/nameless creeks. The state receives $4,000 per acre as a signing bonus and a 20% royalty.

Invest in Oil Shale
http://www.profitableinvestingtips.com/investing-tips/invest-in-oil-shale
Over a year ago we suggested that one look at investment in sustainable fracking technology. Recovery of petroleum from oil shale deposits has allowed the USA to reduce its reliance on foreign oil to the lowest level in more than twenty years. Today the USA imports forty percent of its oil, down from sixty percent just a few years ago. If predictions hold true the USA will continue to increase oil and gas production from fields in both the South and North of the country. All of this is possible because of the technology that allows oil and gas extraction from oil shale deposits. Before you decide to invest in oil shale consider just how to do it. There are exploration companies, drilling companies, big oil companies that refine and sell petroleum products, oil cleanup crews, and companies that make the robots that work a mile down in the sea to fix things. In short there are lots of ways to invest in oil shale and lots of profits to be made along the way. Let us look at a few figures.
Oil Shale Reserves
The largest known oil shale deposits in the world are in the geological formations of the USA. The sum total of known reserves as of today comes to just under $5 Trillion barrels. By comparison the known reserves of the top oil producing nations come to around 1.3 Trillion barrels. Invest in oil shale deposits, finding them, the technology for sustainable fracking, and delivery to the market and prosper. The fundamental analysis of the subjects tells us that if you invest in oil shale you will be investing in the largest petroleum energy resource on the planet.

Federal Court Rules that Assignment of Oil/Gas Lease May Not Extinguish Liabi...Robert Burnett
Landowners are often alarmed and angered when they receive word that the oil/gas lease
they executed several years ago, after months of intense and personal negotiations, has
been assigned to an unknown, unfamiliar gas operator. This anxiety is amplified when the landowner’s phone calls or letters go unanswered, the royalty checks are late or are not made at all and the once well-maintained well pad site is now overgrown and in a state of disrepair. Can the landowner seek redress against the original gas operator? A federal court in Pittsburgh recently addressed this issue and suggested that the assignment of an oil/gas lease may not relieve the original gas operator from liability.

Topics discussed included the following:
1. Recent developments in Clean Water Act, Endangered Species Act, and Greenhouse Gas Regulation
2. Coordinating NEPA among multiple federal permitting agencies
3. Mitigating effects of new rulemakings during lengthy permitting processes
NARO-PA Support for HB 1684 to Ensure Minimum Royalties for LandownersMarcellus Drilling News
The Pennsylvania chapter of the National Association of Royalty Owners has reaffirmed their strong support for House Bill (HB) 1684 which would plug a loophole and ensure landowners will receive a minimum 12.5% royalties regardless of post-production processing expenses. The bill comes in response to allegations that Chesapeake Energy is screwing landowners by deducting expenses not originally foreseen in contracts signed by landowners, resulting in very small royalty checks.

This was a group project I completed in Autumn of 2008, for a class on Resolving Social Conflict about environmental issues. My team conducted a stakeholder and conflict analysis covering an Environmental Impact Statement submitted by NiSource Columbia Gas in 2007, which included a request for a 50-year Incidental Take Permit.
This analysis included the interests, frames, goals, and concerns of NiSource, the Ohio EPA, environmentalist groups, local landowners, the US Fish and Wildlife Service, and other state and local agencies. We also addressed the permitting process, as well as legal issues related to the Endangered Species Act and the National Environmental Policy Act (NEPA). This SlideShare presents our analysis and recommendations for conflict prevention.

Implicitly or explicitly all competing businesses employ a strategy to select a mix
of marketing resources. Formulating such competitive strategies fundamentally
involves recognizing relationships between elements of the marketing mix (e.g.,
price and product quality), as well as assessing competitive and market conditions
(i.e., industry structure in the language of economics).

We publish two of the three leading national treatises on oil and gas law, Williams & Meyers and Kuntz, Law of Oil & Gas. While West publishes the third well-known title ( Summers ), it is shorter than Williams & Meyers and lacks some of the topical coverage available in our books. Williams & Meyers is the most authoritative and comprehensive treatise on the law relating to oil and gas. Topical coverage includes oil and gas conveyancing, leasing, pooling, unitization, and operating problems. Frequently cited by the courts and highly regarded by oil and gas attorneys, the treatise monitors changes to the law as well as new and developing areas. We also publish the Williams & Meyers Manual of Oil and Gas Terms, a one-volume handy softbound desk reference that defines the words, phrases and acronyms most useful to lawyers, accountants, and others in the great variety of occupations related to the lucrative oil and gas industry. It includes, where appropriate, references to statutes, cases, books and law review articles. Kuntz provides full treatment of oil and gas law issues, including coverage of the rights of owners of various types of interests in oil and gas, with an emphasis on conveyancing; analysis of the oil and gas lease and the rights and duties that arise from such a lease as well as the various transactions that stem from the lease; and government regulations and taxation. Separate volumes contain relevant state oil and gas statutes and a variety of sample forms.
Energy Law & Transactions is the perfect reference and transactional resource for anyone interested in knowing the legal and business-related aspects of energy transactions. It covers the energy industry, all traditional energy sources, such as oil, gas, electricity, and coal, as well as nontraditional energy technologies and sources, such as hydroelectricity, solar, nuclear, biomass, and cogeneration. These energy sources and technologies are discussed from cradle to grave: from exploration and production through transmission, distribution, and final consumption by the end user. We also have publications on specialized topics that are not matched by West (e.g., oil and gas leasing, pooling and unitization), and a handy Manual of Oil and Gas Terms. For Texas, both LexisNexis and West have a treatise devoted to Texas oil and gas law.
