Green Partner Business Policy

1. Location of Operations
Green Partner must follow basic etiquettes as
mentioned below while interacting with poten-
tial Customers:
Be honest and truthful to the Customers.
Do not make negative statements about com
petitors.
Do not over sell and only offer what is in the
best interest of the Customer.
Green Partner must carry Fenice Energy’s
presentation and its product brochure(s).
2. Green Partner Operating Manual
2.2 Customer Onboarding and Sales
2.1 Approaching Potential Customers
i) If a customer is interested in the offerings,
then the Green Partner must create a Contact
and subsequently as lead on Fenice Energy’s
Customer Relationship Management software
(“CRM”).
ii) The Contact / Lead status must be record-
ed/updated on the CRM after every interaction/
touch point with the Customers.
iii) If the Customer is interested the Lead is
updated as Deal.
iv) After creating a Deal on the CRM, the Green
Partner shall conduct a Site Survey using the
Site Survey Manual and then record the status.
v) Fenice Energy will populate the data from
CRM.
vi) Based on the data, Fenice Energy’s design
team will provide preliminary designs.
[All Green Partners will be provided a Statement of
Purpose to use the CRM and Fenice Energy will also
provide appropriate trainings during the on-boarding
process]
This Business Policy forms an integral part of the
Green Partner Agreement executed between the
Parties.
i) Fenice Energy will issue the Rate Card to
Green Partners from time to time.
ii) The Margin for the Green partner is the differ-
ence between the SPP and MSP/ the Order
Value (the Price at which the Green Partner
has sold in the market)
iii) The Green Partner will use the Consumer
Proposal (template shared with them) with the
Customer.
iv) If the Customer agrees to go ahead with the
proposal, then Green Partner shall collect the
order in his/her firm’s name (“PO”). Fenice
Energy shall share an order format which will
contain all the terms and conditions. including
Payment Terms, as given below.
v) The Green partner shall then place an order on
Fenice Energy at the SPP price of the Rate
Card. This applicable only to Free Market.
vi) For Tender market and MNRE orders, the Cus-
tomer has to directly pay the Order value in the
name of Business Entity name suggested by
the Fenice Energy. In these cases the Margin of
the sale (order value minus the SPP of the rate
card) will be given as Commissions to the
Green partner by the Fenice Energy.
2.3 For Projects upto 150 KW Commercial/
Consumer (Threshold Capacity)

We are pleased to have you as our Green Partner
and as part of the Fenice Energy family.
Green Partners can operate within 100 kms from
the Location (as mentioned in the Green Partner
Certificate)

2.4 For Projects > 150 kW (Threshold Capacity)
i) Fenice Energy’s EA ( Energy Advisor) will take
care of the Proposal, Pricing, and Invoicing.
ii) The Green Partner will be eligible for Commis-
sions on sale above 150 kW capacity as per the
following Commission Structure:
a) For Projects 150 kW to 500 kW, the maximum
Commission will be 1.5% of the project value.
b) For Projects above 500 kW, maximum Commis-
sion will be 1%.
On receipt of advance from the Customer,
Fenice Energy will release 50% (fifty percent)
of the due commission to the Green Partner
and the balance will be released only after
receipt of full payment from the Customer.

3. Payment Terms
All payments from the Customer will be collect-
ed by the Green Partner in tranches and the
Green Partner will pay to Fenice Energy in the
following tranches:

The Green Partner will raise a Commission
Claim and the Invoice to Fenice in the format
shared by Fenice Energy as soon as he collects
the Advance from the customer. The same will
be Processed once the customer pays 100% of
the project value.
Fenice Energy shall deliver materials to the
Customer Location as mentioned in the Order
Form.
Fenice Energy will carry out the installation of
the Project.

3.2 For Projects > 10 kW (Threshold Capacity)
Fenice Energy will not process any payment
due and payable to the Green Partner till the
time the Green Partner Agreement is execut-
ed between the Parties.
4. Payment Process
i) Through cheque/demand draft (DD) in favour
of SILRES ENERGY SOLUTIONS PRIVATE LIM-
ITED.
ii) RTGS/NEFT/IMPS to the following Bank
Account:

The Green Partner is eligible for a 15% margin
on ARKA’s Rate Card
3.1 For Projects < 10 kW (Threshold Capacity)-
Applicable for Consumer & ARKA projects
The payment terms for each Project will be
mutually agreed between Fenice Energy and the
Customer.

All payments to Fenice Energy are to be paid in the

All payments should be supported with the relevant
Payment Receipt and with details of Invoices against
which payment is made.
In case the payments are made through cheques/
DD, these are to be handed over only to
Fenice Energy’s authorized employees or couriered
to Fenice Energy’s registered office in Chennai.
Please note that Fenice Energy employees are not
authorized to handle or accept cash payments.
5. Target Setting for Green Partners
i) Fenice Energy will set a monthly/quarterly/
annual target for the Green Partners. The
performance of Green Partners against those
targets shall be reviewed on a weekly basis by
the Energy Advisor assigned to each such Green
Partner.
ii) The Green Partners shall be categorized under
various Bands based on their Quarterly perfor-
mance and achievements.
iii) Fenice Energy may initiate other special short
term incentive schemes for Green Partners from
time to time. The details of the same will be
shared by the Central GP team and the respec-
tive EAs with the Green Partners. Fenice Energy
will also conduct annual rewards and recogni-
tion programs for the Green Partners.
6. Green Partners Communications
i) Any Communication from the company regard-
ing The Business Policy (amended or Updated)
to the GPs will be shared Only through the
Digital Medium (Via Email from Central Email id
- Greenpartner@feniceenergy.com) to the
registered email address of the GP.
ii) Any Schemes (Monthly or Quarterly ) operated
will be sent from the Central Email Id - Green-
partner@feniceenergy.com to the registered
email address of the GP.
iii) Any Scheme or Communication given Verbally
will be termed as invalid.
7. Support Warranty Claim
Fenice Energy will support Warranty claims only for
the products which will be within the Warranty
Period. Warranty claims from the Customers will
be communicated to Fenice Energy along with the
supporting documents and details such as time,
stamped photos and other tamper proof evidence
by the Green Partners.
The Green Partners will not act on the Warranty
claims without the prior written consent from
Fenice Energy.
8. Training & Trained Personnel
Green Partners shall ensure that they have at least
1 Trained Person to manage the Fenice Energy
business.
The Green partner must attend the 2 day Technical
training program conducted by the company with
in 30days of Onboarding.
9. Refundable Deposit :
The Green Partners onboarded after 1st June 2023
will be charged a Nominal fee - Refundable Deposit
(Interest free) of INR 25000. The amount shall be
payable by New Green Partners in full at the time of
onboarding. Partners already onboarded on or
before the 1st of June 2023 shall be paying the
refundable deposit from 1st January 2024.
Refund:
The Refundable Deposit(Interest Free) of
Rs.25000/ collected from the Green Partner will
be refunded to the Respective Green at the time of
Disengaging with the Company.

10. Change of ownership of a Green Partner
In case of change of ownership of your business, the
same should be informed within 7 (seven) days along
with documentary proofs such as MOA/AOA/ Part-
nership Deed etc. The Green Partners shall submit
their revised documents of tax registrations and
execute a new Green Partner Business Policy.
11. Verbal Commitments
i) The Green Partners should not accept / act upon
any verbal commitments whether on price, sales,
promotions, support, claims etc. from any repre-
sentative of Fenice Energy, and any action based on
such verbal commitments will be at the sole risk
and consequences of the Green Partners for which
Fenice Energy will not be liable and responsible.
ii) The Green Partners are advised to obtain written
clarifications from the National Sales Head / Clus-
ter Heads for all such verbal commitments, before
acting upon such verbal commitments.
12. Branding Material of Fenice Energy
As a part of Fenice Energy’s branding activity, Fenice
Energy will provide branding material for example,
Green Partner boards, promotional materials,
banners, standees etc. It would be the Green Partner’s
responsibility to protect and maintain such material.
All such material should be handed over to Fenice
Energy at the time of termination and/or expiry of the
Green Partner Agreement.
13. Fenice Energy reserves the right to change
any of the terms and conditions mentioned above
in this Business Policy without prior information
to the Green Partners.
14. All capitalized words and expressions defined
by inclusion in the Green Partner Agreement
and/or anywhere in this Business Policy shall
have the same meaning as ascribed to such
words and expressions.
15. Any grievances against any Fenice Energy
employee or any other matter should be brought to
notice as per below escalation matrix:

Every activity in the value chain is monitored closely to ensure that the
highest standards of quality are me for the delivered systems.
All Green Partners are provided classroom training (in-person) on the
Technology, Products, Processes and value proposition of Fenice Energy
over 2 days.
Green Partners will have access to Fenice Energy online leaning
Management system (App) which has a large number of modules on various
techno- commercial subjects to choose from. Green Partners can access it
anytime and continue the process of learning.
A dedicated energy advisor to support the Green Partner for all day to day
issue and sales
CRM (Hubspot) access to enter leads and manage the sales pipeline
effectively.
Green Partners will have access to the financing portal for customers
developed by Fenice Energy. The financing portal gives customers a quick
summary of the financing options available to them based on their credit
profile and also processes their application with the financing partner of
their choice.
Fenice Energy strong marketing team will provide local marketing support to
Greeen Partner. Fenice Energy shall also provide a yearlymarketing budget to
each Green Partner for conducting local marketing activities.
Special incentive schemes for all Green partners for achieving monthly
quarterly sales.

ACKNOWLEDGEMENT
A. You hereby covenant that all the representations made, and details disclosed to Fenice Energy under
Green Partner Agreement and Business Policy are true, accurate and complete.
B. You hereby acknowledge, agree, and accept:
i) To have read, understood and agreed to be bound by the Business Policy.
ii) To perform all obligations contained here.
iii) To have entered into the Green Partner Agreement and the Business Policy voluntarily and without
any pressure.

Green Partner Marketing Policy
Hi Green Partner,
This Marketing Policy forms an integral part of the
Green Partner Agreement executed between the
Parties.
Purpose:
To detail the marketing policy for all Green Partners
(GP) which will include the Processes, Support, Activ-
ities, Cost, Co-sharing, etc. with the objective of
increasing local marketing activities and lead genera-
tion through GPs.
Overview:
Marketing and Promotion of the Fenice Energy prod-
ucts and Services by GPs within their assigned loca-
tion is a key component of the business activities that
the GPs are expected to conduct. This policy will guide
all GPs in conducting all Marketing related activities.
Some of the topics addressed by the policy are:
1. Marketing support and Budget for GPs
2. Collaterals
3. BTL activities
Marketing Support and Budget:
All GPs shall be assigned an Energy Advisor who
will be the single point of contact for all Market-
ing requests. The Energy Advisor will coordinate
with the Central Marketing team of Fenice Energy
to ensure that the requests are fulfilled.

All GPs are allocated a budget of INR 20,000 per
GP from Fenice Energy as Marketing Support. The
GPs are free to choose the activity on which to
spend this budget, however they have to contribute
50% of the expense for every individual activity that
they plan to conduct. It is to be noted that the max-
imum amount spent by Fenice Energy shall not
exceed INR 20,000 per GP in the entire year.
To avail this budget support the GP shall submit
the Marketing Requisition form in Annexure – 1 to
their assigned Energy Advisor.

Lead generation by Fenice Energy and sharing with Green Partners:
Fenice Energy generates leads on an ongoing basis through digital marketing
campaigns on Google/ Facebook /etc. and also through various events and
BTL activities. Leads generated through these sources are qualified by Fenice
Energy and shared with Green Partners on a case-to-case basis on HubSpot.
The number of leads may vary from location to location and Fenice Energy
doesn’t commit a fixed number of minimum leads to any partners.

Monthly Marketing Plan:
All GPs shall submit a monthly marketing plan to their respective EAs in a prescribed format by the 15th of
the earlier month (for e.g., for July the plan has to be submitted by 15th of Jun). They should outline the
activities that they will do, and the support required from Fenice Energy.
Fenice Energy marketing team shall connect with the GP and provide all necessary Support to maximize the
effectiveness of each activity.

  • 3. Green Partner Business Policy 1 1. Location of Operations Green Partner must follow basic etiquettes as mentioned below while interacting with poten- tial Customers: Be honest and truthful to the Customers. Do not make negative statements about com petitors. Do not over sell and only offer what is in the best interest of the Customer. Green Partner must carry Fenice Energy’s presentation and its product brochure(s). 2. Green Partner Operating Manual 2.2 Customer Onboarding and Sales 2.1 Approaching Potential Customers i) If a customer is interested in the offerings, then the Green Partner must create a Contact and subsequently as lead on Fenice Energy’s Customer Relationship Management software (“CRM”). ii) The Contact / Lead status must be record- ed/updated on the CRM after every interaction/ touch point with the Customers. iii) If the Customer is interested the Lead is updated as Deal. iv) After creating a Deal on the CRM, the Green Partner shall conduct a Site Survey using the Site Survey Manual and then record the status. v) Fenice Energy will populate the data from CRM. vi) Based on the data, Fenice Energy’s design team will provide preliminary designs. [All Green Partners will be provided a Statement of Purpose to use the CRM and Fenice Energy will also provide appropriate trainings during the on-boarding process] This Business Policy forms an integral part of the Green Partner Agreement executed between the Parties. i) Fenice Energy will issue the Rate Card to Green Partners from time to time. ii) The Margin for the Green partner is the differ- ence between the SPP and MSP/ the Order Value (the Price at which the Green Partner has sold in the market) iii) The Green Partner will use the Consumer Proposal (template shared with them) with the Customer. iv) If the Customer agrees to go ahead with the proposal, then Green Partner shall collect the order in his/her firm’s name (“PO”). Fenice Energy shall share an order format which will contain all the terms and conditions. including Payment Terms, as given below. v) The Green partner shall then place an order on Fenice Energy at the SPP price of the Rate Card. This applicable only to Free Market. vi) For Tender market and MNRE orders, the Cus- tomer has to directly pay the Order value in the name of Business Entity name suggested by the Fenice Energy. In these cases the Margin of the sale (order value minus the SPP of the rate card) will be given as Commissions to the Green partner by the Fenice Energy. 2.3 For Projects upto 150 KW Commercial/ Consumer (Threshold Capacity) Dear Green Partner, Green Partner Induction Manual We are pleased to have you as our Green Partner and as part of the Fenice Energy family. Green Partners can operate within 100 kms from the Location (as mentioned in the Green Partner Certificate) i) a) b) c) ii)

Green Partner Induction Manual 2.4 For Projects > 150 kW (Threshold Capacity) i) Fenice Energy’s EA ( Energy Advisor) will take care of the Proposal, Pricing, and Invoicing. ii) The Green Partner will be eligible for Commis- sions on sale above 150 kW capacity as per the following Commission Structure: a) For Projects 150 kW to 500 kW, the maximum Commission will be 1.5% of the project value. b) For Projects above 500 kW, maximum Commis- sion will be 1%. On receipt of advance from the Customer, Fenice Energy will release 50% (fifty percent) of the due commission to the Green Partner and the balance will be released only after receipt of full payment from the Customer. 2.5 2.6 ARKA Projects 3. Payment Terms All payments from the Customer will be collect- ed by the Green Partner in tranches and the Green Partner will pay to Fenice Energy in the following tranches: MILESTONES PAYMENT IN PERCENTAGE (%) The Green Partner will raise a Commission Claim and the Invoice to Fenice in the format shared by Fenice Energy as soon as he collects the Advance from the customer. The same will be Processed once the customer pays 100% of the project value. Fenice Energy shall deliver materials to the Customer Location as mentioned in the Order Form. Fenice Energy will carry out the installation of the Project. On Order Booking 25000 INR Before Dispatch of Material Balance Amount of Project Value 3.2 For Projects > 10 kW (Threshold Capacity) Fenice Energy will not process any payment due and payable to the Green Partner till the time the Green Partner Agreement is execut- ed between the Parties. 4. Payment Process i) Through cheque/demand draft (DD) in favour of SILRES ENERGY SOLUTIONS PRIVATE LIM- ITED. ii) RTGS/NEFT/IMPS to the following Bank Account: ix) viii) vii) The Green Partner is eligible for a 15% margin on ARKA’s Rate Card 3.1 For Projects < 10 kW (Threshold Capacity)- Applicable for Consumer & ARKA projects The payment terms for each Project will be mutually agreed between Fenice Energy and the Customer. 3.3 All payments to Fenice Energy are to be paid in the following manner: Account Holder Name SILERS ENERGY SOLUTIONS PRIVATE LIMITED Account Number 50200063968810 Bank Name Branch Name IFSC Code MICR HDFC Bank R A Puram, Chennai - 600028 HDFC0000141 600240012 2
  • 5. 3 Green Partner Induction Manual All payments should be supported with the relevant Payment Receipt and with details of Invoices against which payment is made. In case the payments are made through cheques/ DD, these are to be handed over only to Fenice Energy’s authorized employees or couriered to Fenice Energy’s registered office in Chennai. Please note that Fenice Energy employees are not authorized to handle or accept cash payments. 5. Target Setting for Green Partners i) Fenice Energy will set a monthly/quarterly/ annual target for the Green Partners. The performance of Green Partners against those targets shall be reviewed on a weekly basis by the Energy Advisor assigned to each such Green Partner. ii) The Green Partners shall be categorized under various Bands based on their Quarterly perfor- mance and achievements. iii) Fenice Energy may initiate other special short term incentive schemes for Green Partners from time to time. The details of the same will be shared by the Central GP team and the respec- tive EAs with the Green Partners. Fenice Energy will also conduct annual rewards and recogni- tion programs for the Green Partners. 6. Green Partners Communications i) Any Communication from the company regard- ing The Business Policy (amended or Updated) to the GPs will be shared Only through the Digital Medium (Via Email from Central Email id - Greenpartner@feniceenergy.com) to the registered email address of the GP. ii) Any Schemes (Monthly or Quarterly ) operated will be sent from the Central Email Id - Green- partner@feniceenergy.com to the registered email address of the GP. iii) Any Scheme or Communication given Verbally will be termed as invalid. 7. Support Warranty Claim Fenice Energy will support Warranty claims only for the products which will be within the Warranty Period. Warranty claims from the Customers will be communicated to Fenice Energy along with the supporting documents and details such as time, stamped photos and other tamper proof evidence by the Green Partners. The Green Partners will not act on the Warranty claims without the prior written consent from Fenice Energy. 8. Training & Trained Personnel Green Partners shall ensure that they have at least 1 Trained Person to manage the Fenice Energy business. The Green partner must attend the 2 day Technical training program conducted by the company with in 30days of Onboarding. 9. Refundable Deposit : The Green Partners onboarded after 1st June 2023 will be charged a Nominal fee - Refundable Deposit (Interest free) of INR 25000. The amount shall be payable by New Green Partners in full at the time of onboarding. Partners already onboarded on or before the 1st of June 2023 shall be paying the refundable deposit from 1st January 2024. Refund: The Refundable Deposit(Interest Free) of Rs.25000/ collected from the Green Partner will be refunded to the Respective Green at the time of Disengaging with the Company.

Change of ownership of a Green Partner In case of change of ownership of your business, the same should be informed within 7 (seven) days along with documentary proofs such as MOA/AOA/ Part- nership Deed etc. The Green Partners shall submit their revised documents of tax registrations and execute a new Green Partner Business Policy. 11. Verbal Commitments i) The Green Partners should not accept / act upon any verbal commitments whether on price, sales, promotions, support, claims etc. from any repre- sentative of Fenice Energy, and any action based on such verbal commitments will be at the sole risk and consequences of the Green Partners for which Fenice Energy will not be liable and responsible. ii) The Green Partners are advised to obtain written clarifications from the National Sales Head / Clus- ter Heads for all such verbal commitments, before acting upon such verbal commitments. 12. Branding Material of Fenice Energy As a part of Fenice Energy’s branding activity, Fenice Energy will provide branding material for example, Green Partner boards, promotional materials, banners, standees etc. It would be the Green Partner’s responsibility to protect and maintain such material. All such material should be handed over to Fenice Energy at the time of termination and/or expiry of the Green Partner Agreement. 13. Fenice Energy reserves the right to change any of the terms and conditions mentioned above in this Business Policy without prior information to the Green Partners. 14. All capitalized words and expressions defined by inclusion in the Green Partner Agreement and/or anywhere in this Business Policy shall have the same meaning as ascribed to such words and expressions. 15. Every activity in the value chain is monitored closely to ensure that the highest standards of quality are me for the delivered systems. All Green Partners are provided classroom training (in-person) on the Technology, Products, Processes and value proposition of Fenice Energy over 2 days. Green Partners will have access to Fenice Energy online leaning Management system (App) which has a large number of modules on various techno- commercial subjects to choose from. Green Partners can access it anytime and continue the process of learning. A dedicated energy advisor to support the Green Partner for all day to day issue and sales CRM (Hubspot) access to enter leads and manage the sales pipeline effectively. Green Partners will have access to the financing portal for customers developed by Fenice Energy. The financing portal gives customers a quick summary of the financing options available to them based on their credit profile and also processes their application with the financing partner of their choice. Fenice Energy strong marketing team will provide local marketing support to Greeen Partner. Fenice Energy shall also provide a yearlymarketing budget to each Green Partner for conducting local marketing activities. You hereby covenant that all the representations made, and details disclosed to Fenice Energy under Green Partner Agreement and Business Policy are true, accurate and complete. B. You hereby acknowledge, agree, and accept: i) To have read, understood and agreed to be bound by the Business Policy. ii) To perform all obligations contained here. iii) To have entered into the Green Partner Agreement and the Business Policy voluntarily and without any pressure.   • 9. 7 Green Partner Marketing Policy Hi Green Partner, This Marketing Policy forms an integral part of the Green Partner Agreement executed between the Parties. Purpose: To detail the marketing policy for all Green Partners (GP) which will include the Processes, Support, Activ- ities, Cost, Co-sharing, etc. with the objective of increasing local marketing activities and lead genera- tion through GPs. Overview: Marketing and Promotion of the Fenice Energy prod- ucts and Services by GPs within their assigned loca- tion is a key component of the business activities that the GPs are expected to conduct. This policy will guide all GPs in conducting all Marketing related activities. Some of the topics addressed by the policy are: 1. Marketing support and Budget for GPs 2. Collaterals 3. BTL activities Marketing Support and Budget: All GPs shall be assigned an Energy Advisor who will be the single point of contact for all Market- ing requests. The Energy Advisor will coordinate with the Central Marketing team of Fenice Energy to ensure that the requests are fulfilled. 2. It is to be noted that the max- imum amount spent by Fenice Energy shall not exceed INR 20,000 per GP in the entire year. The number of leads may vary from location to location and Fenice Energy doesn’t commit a fixed number of minimum leads to any partners.   • 11. 9 Monthly Marketing Plan: All GPs shall submit a monthly marketing plan to their respective EAs in a prescribed format by the 15th of the earlier month (for e.g., for July the plan has to be submitted by 15th of Jun). They should outline the activities that they will do, and the support required from Fenice Energy. Fenice Energy marketing team shall connect with the GP and provide all necessary Support to maximize the effectiveness of each activity.
