 The Common Seal is the signature of a corporate
entity.
 The method of use and the persons vested with
authority to attest the Common Seal
 The M & A of a Company and the Article on the use
of Common Seal
 Drafting a Board Resolution for approval and for
the use of the Common Seal
Affidavit
 What is an Affidavit? An affidavit is a formal sworn
statement of fact, signed by the declarant (who is called the
affiant) and witnessed (as to the veracity of the affiant's
signature) by a taker of oaths, such as a Commissioner of
Oaths / Justice of Peace.
 Affidavits are needed : 1) to allow evidence to be gathered
from witnesses or participants that may not be available to
testify in person before the court. 2) when there are
discrepancies in personal documents 3) when documents are
lost or misplaced
 The giving of an oath in an Affidavit differs based on the
religion of the Affiant.(i.e. Buddhist, Christian and Muslim )
Notarial Attestation
 Main elements of a Notarial Attestation:
 Instrument read by the executants
 Parties known to the Notary
 Parties present together, at the same time and place
 Instrument signed in the presence of each other
 Main provisions of the Notaries Ordinance
 Duties of a Notary and Notarial procedure
 Attestation of rectifications in a Deed
