This document defines contracts and their key elements. A contract is a legally binding agreement between two or more parties, either orally or in writing. The essential elements of a contract are: offer, acceptance, consideration, capacity, legality, and intention to create a legal relationship. An offer is a proposal to enter a contract. Acceptance must not change the offer's terms. Consideration refers to the value each party provides. Intention to create a legal relationship is assumed when consideration is exchanged. Capacity refers to a party's legal ability to enter a contract. The document provides examples and cases to illustrate these contract elements.

or the formation of a contract, an offer must be made and accepted. The contract is deemed to be complete only when the acceptance of such offer is expressly or impliedly communicated to the offeror. The earlier laws regarding contracts did not envisage the formation of contracts through instantaneous modes of Communication such as telephone, which facilitate the formation of a contract between parties in different territories instantaneously. Therein, the question of the place of formation of contract arises, which was decided in this case.
Facts
On July 22nd 1959, Kedia Ginning Factory and Oil Mills (appellant) of Khamgaon entered into a contract over the telephone to supply cottonseed cakes to M/s. Girdharilal Parshottamdas and Co. (respondents) of Ahmedabad. The respondents commenced an action against the appellant in the City Civil Court of Ahmedabad for failing to supply cottonseed cakes as per the agreement above. The respondents contended that the cause of action for the suit arose at Ahmedabad as the appellantโs offer to sell was accepted at Ahmedabad, and the appellant was to be paid for the goods through a bank in Ahmedabad. The appellant contended that the respondentsโ offer to purchase was accepted at Khamgaon; the delivery and payment of the goods were also agreed to be made in Khamgaon, and the City Civil Court of Ahmedabad did not have jurisdiction to try the suit. The City Civil Court of Ahmedabad held that it had jurisdiction as the acceptance of the offer was intimated to the offeree at Ahmedabad, and that is where the contract was made. The appellants filed a revision application in the High Court of Gujarat, which was rejected. Then, the appellants preferred an appeal to the Supreme Court with special leave.
Arguments
Contentions of appellant:
In the case of a contract by telephone, only the court within whose territorial jurisdiction the acceptance of an offer is spoken into telephone has jurisdiction to try any suit regarding the contract.
Sections 3 and 4 of the Indian Contract Act (1872) are applicable in determining the place where a contract is made and not the decisions of UK courts.
Contentions of respondents:
The making of an offer is a part of the cause of action in a suit for damages for breach of contract. Hence, the court in whose territorial jurisdiction such offer was made can try such suit.
The contract is formed where the acceptance of an offer is intimated to the offeree. Hence, the court in whose territorial jurisdiction such acceptance of the offer was intimated can try such a suit.
Judgment:
Majority judgment:
A contract comes into existence when an offer is accepted, and the acceptance of the offer is intimated through an external manifestation by speech, writing, or other act recognized by law. However, an exception to this rule has been made in the interest of commercial expediency. When a contract is negotiated through the post, the Communication of acceptance is deemed to be complete when the

This presentation was focused on a specialized group of folks, the people who organize Irish music (sometimes called Celtic music) festivals around North America--from the Milwaukee Irish Festival (drawing 140,000 people to their four day festival), to Pittsburgh, to Boston to Kansas City.
Icalled on my pre-law experience as a music agent and manager in this sector of the music business to provide a customized presentation to many of the same folks I used to work with on a regular basis.
Although we have come a long way on some of these issues--the rise of the now ubiquitous iPhone and its use to video performances could have scarcely been imagined 7 years ago, but other slides are still as relevant as they were when first presented.

Addressing S2P (Source-to-Pay) is necessary for organisations today in order to reduce transaction costs, but that alone is not enough to drive real cost reduction and bottom line profitability. To derive the maximum benefit, organisations need to seize the opportunity created by the disruption of a S2P implementation to radically transform the way in which procurement is carried out throughout the organisation. This paper provides suggestions on how to make the most of the opportunity created by S2P implementation and makes recommendations on how to maximise the benefits,

Bill and Linda meet at a party. He was
74, and she was 49. A month later, they
started to talk about marriage. Linda was
concerned about quitting her job, and Bill said he would give her whatever she needed. One day, she walked into the bathroom with a handwritten note containing financial terms for a marriage, and he signed it. They got married, but Bill filed for divorce 1 ยฝ years later.
What is the issue?
Does the contract given to and signed by the husband in the bathroom constitute a valid and enforceable agreement that was freely
entered into?
What kind of agreement was it, unilateral or bilateral?
It was unilateral because it was an agreement to marry.
How did the court rule?
To be enforceable, the agreement must be freely entered into without duress or undue influence. When marriage is contemplated, the parties must do so knowing of the assets of the other. In this case, the parties never disclosed their assets, liabilities or income. The husband also never had the chance to consult an attorney. Therefore, the agreement is not enforceable.

Contract implied-inโfact is to prevent

that services rendered by a family member
are free. However, contract may be implied
when service are performed with expectation
of payment. In this case, plaintiffs can point
to no evidence that they agreed upon a
price with the decedent, what form
payment would take, or when payment
would be made, so a contract should
not be implied.

Memorandum Of Association Constitution of Company.pptseri bangash

A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.
https://seribangash.com/article-of-association-is-legal-doc-of-company/
Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.
www.seribangash.com
Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.
https://seribangash.com/promotors-is-person-conceived-formation-company/
Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.
https://seribangash.com/difference-public-and-private-company-law/
Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder

Implicitly or explicitly all competing businesses employ a strategy to select a mix
of marketing resources. Formulating such competitive strategies fundamentally
involves recognizing relationships between elements of the marketing mix (e.g.,
price and product quality), as well as assessing competitive and market conditions
(i.e., industry structure in the language of economics).
