STANDARD MATERIALS RELEASE AND LICENSING AGREEMENT

Licensor (“Owner”) hereby grants to Clear Compass Media, LLC (“CCM”) the non-exclusive right, but not the
obligation, to reproduce, distribute, perform, display, edit, exhibit and otherwise exploit the Licensed Material in
our motion picture (the “Program”) tentatively named “Thrive” (and excerpts thereof), any sequels or prequels,
and all associated media, related publicity, promotional and advertising materials, Thrive-related content
(including, without limitation, television programs, books, merchandise, etc.) (collectively, the “Program
Content”), as desired in any and all media, now known or hereafter developed, throughout the world, for 10 years,
commencing on 11/11/11 and going to 11/11/21. Owner acknowledges and agrees that CCM owns all rights, title
and interest in and to the Program Content.
In-House-Use Fee: During the editing stage, CCM agrees to pay __________n/a___________________
for full-resolution non-watermarked version(s) of Owner’s Licensed Material for editing evaluation purposes
only. This amount will be applied to final Payment if CCM elects to use Owner’s Licensed Material beyond the
in-house-use stage.
Final Payment: If CCM uses Licensed Material in their final distributed works, as full and complete
consideration for Owner’s grant of rights herein to CCM, CCM will pay to Owner a license fee in the amount of
____sixty-five dollars per second ($65/second CDN).
___ per minute used (or fraction thereof), with a minimum of ____ minutes
__CDN$65_ per second, with a minimum of __10__ seconds
___ per clip; plus CDN$150.00 digitizing transfer cost.
_____CDN$800= USD$830.00 Total cost if all Licensed Material is utilized in CCM’s final distributed works.
Such fee will be paid with notification to Licensor of Licensed Material used, but in no event later than the first
public showings of program containing Licensed Material.
Territory: The Territory of this license is worldwide.
Credits offered: Credit to Owner for use of Licensed Material will be given on-screen in Thrive’s movie, and
anywhere else that CCM acknowledges stock credits.
Reservation Of Rights: CCM acknowledges that its use of the Licensed Material will not affect Owner’s
continued and separate copyright ownership of the source from which the Licensed Material were taken, and that
Owner may use and license others to use the Licensed Material in works other than CCM’s Program, even if such
works compete with CCM’s Program.
Consents And Releases: Owner represents that it has obtained in writing all necessary consents, permissions and
clearances in connection with, and that it shall pay all fees required to be paid with respect to, CCM’s use of
Licensed Material hereunder. Owner will furnish CCM with a list, including addresses, of all parties from whom
such consents, releases and clearance are required and it shall provide copies of such consents, releases and
clearances upon request.

Warranties:
Owner warrants and represents that:
(a) it has the right, power and authority to enter into this Agreement and grant the rights granted to
CCM hereunder;
(b) it is the owner and copyright holder of the Licensed Material;
(c) the Licensed Material is not defamatory nor shall CCM’s exercise of its rights hereunder with
respect to the Licensed Material infringe any trade name, trademark, copyright, right of privacy,
personal or proprietary right, or other common-law or statutory right of any person, firm,
corporation or entity nor shall it violate any law.
Indemnity: Owner agrees to indemnify, defend, hold harmless, release and discharge CCM from any and all loss,
damage, liability, cost and expense, including attorneys' fees, arising out of, created by, or in connection with any
breach or alleged breach of Owner’s warranties and representations hereunder.
Materials: Owner agrees to furnish CCM with a copy of Licensed Material for use in the Program on such format
as CCM may require. CCM agrees, upon request, to reimburse Owner for any actual out-of-pocket cost of
delivering the Licensed Material delivery to CCM.
No Assignment; Limitation Of Use; No Amendment; Entire Agreement; Written Notice; Governing Law:
Any changes, amendments or other modifications to this Agreement will be in writing signed by both parties
hereto. This Agreement contains the entire understanding of the parties with respect to the subject matter hereof.
All notices to be sent by either party hereunder will be in writing and delivered by hand, fax, or by registered mail
at the addresses listed in this document, or at such other address as one party shall advise the other in writing. This
Agreement will be governed and interpreted in accordance with the law of the state of California which is hereby
designated as the venue and jurisdiction for the resolution of any dispute that might arise hereunder.
