This research proposal aims to investigate the relationship between corporate governance practices and firm performance of Fortune 500 companies. The study will examine the impact of variables like board size, board independence, frequency of board meetings, presence of large shareholders, and CEO compensation on firm performance measures including return on assets, stock return, and Tobin's Q. Secondary data will be collected from 2004-2013 on a sample of 100 companies from the Fortune 500 list and multiple regression models will be used for analysis. The results could provide insights into governance practices that lead to better performance among major market players.

Corporate governance is concerned with ways in which all parties interested in the well- being of the organization attempt to ensure that mangers and other insiders take measures or adopt mechanisms that safeguard the interests of the stakeholders.. The purpose of the study is to find out the impact of corporate governance on profitability of listed Land and Property companies in Sri Lanka. Return of Assets is used as dependent variable. To measure the corporate governance, Board size, Board composition and independent directors of Remuneration committee. number of auditors are considered in this study. Firm size was considered as control variable in this study. The data were collected from firms annual financial reports and Data Stream over the period of 2011to 2016, from the CSE website. Descriptive statistics, correlation analysis, multiple linear regression analysis were used to analyse the data and examine the hypotheses by using the E-views 10 version, in this study. The findings revealed that there is a positive and significant relationship between ROA with auditors, board composition. Independent directors of Remuneration committee and board size are insignificantly correlated with ROA. The Impact of Corporate Governance on Firms’ Profitability in Nigeriainventionjournals
The purpose of this paper is to investigate the impact of corporate governance on firms’ profitability in Nigeria. This research has been performed using a sample of 60 companies listed on the Nigeria Stock Exchange (NSE) from 2004 to 2014. The relationship between corporate governance mechanisms (board characteristics, audit committee, board independence, size, growth and profit variability) and firms’ profitability was observed. The results of the multiple regression analysis were statistically significant at 0.05 level. The F Statistics of 1.036 also shows that the result typically explained the model. The findings of the study confirmed that corporate governance mechanisms enhance firms’ profitability in Nigeria.

Impact of Firm Specific Factors on Capital Structure Decision: An Empirical S...Waqas Tariq
Abstract This study attempts to explore the impact of firm specific factors on capital structure decision for a sample of 39-firm listed on Dhaka Stock Exchange (DSE) during 2003-2007. To achieve the objectives, this study tests a null hypothesis that none of the firm’s specific factors namely profitability, tangibility, non-debt tax shield, growth opportunities, liquidity, earnings volatility, size, dividend payment, managerial ownership, and industry classification has significant impact on leverage using estimate of fixed effect model under Ordinary Least Square (OLS) regression. Checking multicollinearity and estimating regression analysis through Pearson correlation and autoregressive mode respectively this study found that profitability, tangibility, liquidity, and managerial ownership have significant and negative impact on leverage. Positive and significant impact of growth opportunity and non-debt tax shield on leverage has been found in this study. On the other hand size, earnings volatility, and dividend payment were not found to be significant explanatory variables of leverage. Results also reveal that total debt to total assets ratios are significantly different across Bangladeshi industries. Idiosyncratic Effect of Corporate Solvency Management Strategies on Corporate...IOSR Journals
The study identifies and evaluates the association among corporate solvency management strategies and the corporate performance valuation in Chemical industry of Pakistan. The study uses purposive sampling or judgmental sampling for selecting 30 sample companies from the sector; covering 10 years financial statements data ranging from year 2002 to 2011. Balanced panel data is taken for the purpose of study. Levin, Lin & Chu test is used to check the stationarity of data whereas White Test is used to check the heteroskedasticity of data. Panel Least square technique with fixed effects is used to generalize the relationship between studied variables. The study observed that the performance of the chemical sector in terms of market to book value is affected by internal firm and industry specific factors related to solvency management strategic decisions. Findings of the study provide with the overview of historic performance and the potential performance of the selected sector to help policy makers including finance, economics and industry experts for creating value through the idiosyncratic resources.

Application of business ethics is sine qua non to the concept of corporate governance. Corporate governance on it own has a very significant relationship with corporate performance. This is the thrust of this paper. The Central Bank of Nigeria (CBN) bulletin of (2006) had asserted that disagreement between the board and management of financial institutions usually gives rise to board squabbles and ineffective board oversight functions. This is why the objective of this article is to determine the extent to which corporate governance practices impacts on financial institutions performance. To validate this assertion, a sample of thirty three financial institution listed on the Nigerian stock Exchange from 2004 to 2008 was used for this study. Multiple regressions Analysis and ordinary least square (OLS) method of estimation were applied. The results showed that there is a positive correlation between corporate governance practices and firms” performance. The other two performance proxies that is, Return on Equity and two corporate governance practices namely; the firms’ board size and audit committee also showed positive relationship. However, there was a negative relationship between the net profit margin, the firms’ board size and audit committee. The study could not establish a relationship between the two performance variables, namely; Return on Equity and Net profit Margin, and the executive officers’ status. In conclusion, the findings in this study are consistent with the findings of studies conducted in other countries that business ethics and good governance practices are the bed rock of optimum. It is recommended that corporate governance mechanisms be objectively structured to enhance optimal performance of corporate institutions in Nigeria.

Abstract: Internal audit is considered as the backbone of the business accounting as it is the section that scrutinizes all businesses transactions of a company. The main objective of the study is to establish the relationship between Internal Audit Independence and Share performance of firms listed in the Nairobi Stock Exchange. The study adopted a descriptive research design targeting 60 companies quoted in the Nairobi Stock Exchange as of December 2013. The study found existence of significantly positive correlation between internal audit independence and share performance (Pearson correlation coefficient r = .456 Sig. = .011). It is recommended that listed companies should adopt effective corporate governance practices that address key auditing independence for effectiveness of audit department. This will go a long way to cut or eliminate wastage and thus improve company returns to attract investors in the stock exchange market.

Purpose: There is contention in financial reporting literature on the nature of relationship between corporate reputation and earnings quality of firms. The differences in findings on the relationship between corporate reputation and earnings quality linkage are empirically traceable to firm characteristics and capital market. To our knowledge, the association between corporate reputation and earnings quality is limited in Nigeria, Thus, we examine the nature relationship between corporate reputation and earnings quality of listed firms in Nigeria. Design/ Methodology/ Approach: The expo facto design was adopted for this study on 21 listed firms selected from the consumer sector, manufacturing sector and financial sector on the Nigeria Stock Exchange. The primary estimation method for the regression equation is pooled-OLS. Finding: We found that corporate reputation has no significant positive association with earnings quality of listed firms in Nigeria. Originality/ Value: To the best of our knowledge, this is the first study that investigates the relationship between corporate reputation and earnings quality across three sectors in Nigeria. The result has implication on capital market, firm reputation, auditor type and earnings quality. Thus, this study will be useful to capital market regulators, standard setters and future researchers.
This study aims at examining the impact of the ownership structure on the overall performance of listed companies in Pakistan to specify how different ownership structures and corporate governance culture differ from each other and thus explores the effects of different ownership structures and corporate governance on the performance of companies’ productivity. In order to compare Returns on Investment (ROI) and Returns on Equity (ROE) of the five (5) listed food companies in Pakistan were calculated using secondary data from the audited financial reports of such companies based on their annual reports between 2007 and 2016. During this research for the analysis of gathered data, regression model was used with the assistance of EViews in order to examine the relationship between the corporate governance mechanism including board is size, board composition, and audit committee and the performance variables including Net Profit Ratio (NPR) and Rate of Return (RoR). The findings of the our study are consistent with the reviewed literature, as the performance of firms (in terms of return on assent and net profit ratio) does not seem to be dependent on the board size, composition, and audit committee composition of firms.

Purpose: This purpose of this paper is to empirically examine the relationship between transparency and disclosure and firm performance. Highlighting the importance of corporate governance in banking sector, the paper has focused in depth over its role, level and its impact on performance in banking industry of Pakistan. Design/methodology/approach: The paper access this purpose by constructing transparency and disclosure index for the past five year 2007-2011, using proxies for three sub-categories which are board and management structure disclosure, ownership structure disclosure and financial transparency disclosure. The paper also investigated structural changes of T&D Index and its effect on bank financial performance over the sample of 30 banks operating in Pakistan. Findings: Empirical analysis results by using ordinary least square regression model, reveals that financial performance is positively related to the transparency and disclosure and their sub levels except ownership structure disclosure which has negative relation with both ROA and ROE. Furthermore the average T&D level in Pakistani banking sector is above average. Practical implications: The current research paper aims for important policy implementation to reduce information asymmetry and improve corporate governance and firm performance in banking sector of Pakistan.
Using panel data from firms listed on the Nairobi Securities Exchange during the period
2004-2014, this paper examines the effect of board diversity and firm performance. Specifically the study investigates the effect of independent directors, board size, gender and financial expertise of directors and firm performance. The study finds, steadily with trends in most countries, the representation of women on the corporate board remains low. Regression results indicate that board independence has a negative and significant relationship on firm performance. The study also finds that gender diverse boards perform better as measured by Return on Assets (ROA).

2. • This study aims at investigating whether corporate governance has
an effect on Fortune 500 firms’ performance. The purpose of the
research is to investigate the relationship between corporate
governance practices and firms’ performance. There are eight
variables to conduct the study, out of which five variables namely
Board Size, Board Independence, Frequency of Board Meetings, Presence of
Large Shareholders and CEO Compensation relate to Corporate
Governance and three variables namely Return on Assets, Stock
Return and Tobin’s Q relate to Firm Performance. Secondary
resources will be used to collect the data. Multiple Regression
Models will be used to analyze the collected data. This proposal
gives a brief insight of our proposed study.

3. • In recent times, corporate governance has started to take centre
stage in private sector circles.
• The reason for this recent resurgence of corporate governance is the
global economic crisis; a crisis which has been largely attributable to
poor mortgage investment decisions amongst many financial
institutions led to the near collapse of the global banking industry.

10. • There is very scarce literature available that deals with impact
of corporate governance on the firm performance with sample
of Fortune 500 companies. As such no study directly has
explored the corporate governance patterns of Fortune 500
companies and compared these with the firms’ performance.
The available research deals with same variables but have
been conducted within different geographical context, or
using different sample of firm sectors.
• This research is unique as it intends to investigate the impact
of corporate governance on firm’s performance in the global
market leaders, specifically targeting the population of all
Fortune-500 companies, irrespective of their geographical
location or operational sector. The results will be helpful in
understanding the effectiveness of good governance for
becoming a major market player.

• First we will look into the existence of some specific set

companies.

yearly basis.
14. • Fortune 500 companies have been taken as the
population of the study.
• We will collect the data of 10- year period i.e
from year 2004 to year 2013. Therefore, a sample
of 100 companies prevalent on Fortune 500 list
for last 10 years will be randomly selected. This
sampling is suggested to ensure complete range
of data across the study period.
