Four things an investor should know about corporate social responsibility in Colombia:
The inclusion of corporate social responsibility policies in the operation, management,
expansion or establishment of business and enterprises, constitutes nowadays, a
key element for improving the competitiveness of companies in the world.
The corporate social responsibility is based on the free will of the investor or of the
business person, for assuming obligations or commitments beyond his enforceable
legal obligations. For this reason, as a general rule, commitments derived from
corporate social responsibility are not legally binding.
There are several instruments which facilitate the incorporation of corporate social
responsibility in companies and businesses. These tools may take place under
the international framework, governmental or not, such as The Global Pact of the
United Nations or the Guidelines for Multinational Enterprises of the Organization
for Economic Cooperation and Development (OECD); or may arise from private
initiatives such as ISO 26000 or the Global Reporting Initiative organization (GRI).
Colombia adopted the Guidelines for Multinational enterprises of the Organization
for Economic Cooperation and Development (OECD), which establishes a series
of principles and voluntary standards for the promotion of a responsible business
conduct in a consistent way with applicable domestic laws and recognized
international rules.

the concepts of “social concerns in businesses” or “contributions
for a better society,” etc.
iii)	 Economic dimension:
Referred to the socioeconomic and financial elements of
a company. Under this dimension, the corporate social
responsibility may be considered in the framework of businesses
operations. The economic dimension may be reflected in terms
such as “contribution to economic development,” among others.
iV)	 Stakeholder dimension:
Referred to the manner how the corporate structures of
companies interact with their main groups of interest, such as
employees, providers, consumers and community.
V)	 Voluntariness dimension:
Referred to behaviors which are not included in legal or
binding rules. It may be reflected in terms such as “ethical
value” or “beyond the legal obligations,” among others.
In summary, corporate social responsibility, including its five
dimensions, maintains a voluntary basis which is not included
in the sphere of legal binding obligations. In some cases, some
standards or dimensions of corporate social responsibility
have been established in legal instruments; the general rule
for the majority of states in the world is that corporate social
responsibility maintains a voluntary nature2
and in this sense,
it is possible to assure that corporate social responsibility
involves “a series of duties and obligations not arisen from
legal requirements but from the commitment and support of
the business person.”3
12.1. Corporate Social Responsibility
Corporate social responsibility refers to a series of commitments
or obligations that the business person has decided to assume
beyond his traditional model of profit or loss or beyond his
regular enforceable obligations.
This series or commitments and obligations are regularly
assumed in a voluntary manner by the business person.
Voluntary is a fundamental and basic element of corporate
social responsibility. For this reason, it is possible to assure
that the corporate social responsibility commitments are not
legally binding.
The above mentioned without prejudice of some countries
where responsible business conduct obligations are legally
binding at certain levels while in other countries, such
commitments are enforceable through rules which are not
aimed to regulate corporate social responsibility but other
objectives such as consumer protection rules.
With regard to the content of corporate social responsibility,
five dimensions have been identified:1
i)	 Environmental dimension:
It is referred to natural environment and reflected in definitions
or concepts such as “a clean environment,” “environmental
management,” “environmental concerns in businesses,” among
others.
ii)	 Social dimension:
This dimension is referred to the relationship between the
companies and the society. This dimension may be reflected in
Nowadays, to compete in a globalized market on the basis of the good or the service by itself (quality and price) is becoming
increasingly difficult for companies considering the growing number in the market of similar, replaceable and equally good
products and services.
This circumstance has created for the companies, the need of looking for and strengthening available tools for improving
companies’ competitiveness. In this point, the corporate social responsibility or the responsible business conduct plays an
important role as an innovative competitiveness factor. Depending on the comprehensive policy adopted by the business person
in its businesses, as well as the perspective and attitude of the business person regarding corporate social responsibility and the
manner how the corporate identity is integrated with the corporate social responsibility, any business may achieve important
advantages in any market.

Summarizing, the adoption of corporate social responsibility
in the operation, management, expansion or establishment of
any business or company is profitable.
12.3.	 Scenarios to be Considered in the
Framework of Corporate Social
Responsibility
Not only companies have included and implemented corporate
social responsibility policies in their operations. Governments
have adopted actions and initiatives addressed for the
promotion and improvement of responsible business conduct in
their territories such as the OECD Guidelines for Multinational
Enterprises. Some of the governmental initiatives are:
(A) United Nations (UN)
Under the auspices of the UN, was created the Global Pact
which is an agreement between several companies of the
world by means of which, they acquire commitments and
obligations in four areas: human rights, environment, labor
standards and anticorruption commitments.
(B) Rio+20:
In the framework of UN conference for sustainable
development, known as Rio+20,7
was established in the
Resolution 66/288, “the future we want,” the support of the
countries to adopt domestic policies and legal frameworks
for sustainable development, enterprises and industry.8
In the
same way, the UN General Assembly invites governments
and any interested party to participate in the processes of
adoption, planning and application of policies and programs
aimed to improve the sustainable development. Additionally,
the General Assembly recognizes the importance of corporate
sustainability reports, encouraging multinational enterprises
to include sustainability information in their reports and to
create sustainability strategies which include green economy
policies among others. In this framework, the group of friends
of paragraph 47 was established with the participation
of six governments with the same vision but different
perspective (Brazil, Denmark, France, South Africa, Norway
and Colombia). The objective of this group is to promote
the contributions of the private sector for the sustainable
development through the submission of sustainability reports.
12.2. Competitive Advantages of
Including Corporate Social
Responsibility Policies in
Businesses
There are two main reasons for considering corporate social
responsibility as a competitiveness factor for companies:
i) Considering that corporate social responsibility commitments
are voluntary assumed by companies, not all the companies
include responsible business conduct in their operations.
ii) The increasing awareness in consumers and users
regarding the environmental, social and cultural implications
of businesses and the operation or establishment of companies.
Empirical studies determine a positive relation between
corporate social responsibility and the financial performance
of companies.4
Under a case by case analysis, it has been
determined that companies involved in illegal or socially
irresponsible behaviors, reflect negative effects in the value
of their shares while companies with a responsible business
conduct reflect favorable effects for the financial performance
of the company. In summary, studies conclude that a
responsible and legitimate business conduct is a necessary
condition, but not sufficient, for increasing the welfare of
shareholders.
Ontheotherhand,theeffectsoftheadoptionofcorporatesocial
responsibility standards in the businesses are increasingly
clear. Studies present how the responsible business conduct
is potentially a factor that influences the consumer decisions
in elements such as consumers’ loyalty, intention of purchase,
willingness to pay and the good will of the company.5
Additionally, the adoption of a corporate social responsibility
policy in a company also creates favorable effects in the
relation between the company and the employees, in
particular, regarding the perception of the reputation of the
company, their loyalty to the company, their identification as
part of the corporate structure, their commitment and level of
labor satisfaction and their intention of staying in the company.
The effects of corporate social responsibility go beyond the
relation of the company with the employees covering potential
employees and their intention of being part of the company.
Considering these effects and the others mentioned above,
it is possible to conclude that corporate social responsibility
potentially increases the ability of the company for successfully
compete in the market.6

(C) Organization for Economic Cooperation and
Development (OECD)
Since December 8, 2011, Colombia is part of the 46 countries
which promote corporate social responsibility in accordance
with international best practices.9
The OECD guidelines for
multinational enterprises constitute the unique CSR instrument
developed by governments in consultations with interest
groups. The guidelines are aimed to be implemented by
multinational enterprises but their use by national enterprises
is also promoted (to the extent that may affect the operations
of multinational enterprises). The guidelines involve a series of
principles divided in ten chapters in the fields of information
disclosure, human rights, employment and labor relations,
environment, anticorruption, consumers interests, science and
technology, competence and taxation.
(D) Millennium Development Goals (MDG)
This instrument is addressed to the importance of the
participation of enterprises in the eradication of extreme
poverty and hunger and in the sustainability of the
environment. During the discussions and development of the
MDG in the UN, the Colombian Government proposed the
establishment and definition of the Sustainable Development
Objectives (SDO), which conduct the sustainable development
debate to common goals with specific measurable indicators
adapted to the context of each country. Since then, the Ministry
of Foreign Affairs of Colombia is leading the interinstitutional
coordination of the discussions of the Post-2015 Process
taking the identification of goals and specific indicators as
a basis where the participation of private sector is a key
element. The negotiation of this new process shall include
concrete opportunities of collaboration in order to facilitate the
alignment of the private sector activities and the development
goals in the countries where they maintain operations or
activities contributing to sustainable development.
Regarding practices aimed at the improvement of the
implementation process of responsible business conduct, it is
important to consider:
(A) ISO 26000
Thisisastandardizedguideatinternationallevelforimplementing
and improving the social responsibility framework for
enterprises. It is a document from the International Organization
for Standardization which provides a guide regarding the
application of social responsibility. “The ISO 26000 provides
guidance rather than requirements, so it cannot be certified
to unlike some other well-known ISO standards. Instead, it
helps clarify what social responsibility is, helps businesses and
organizations translate principles into effective actions and
shares best practices relating to social responsibility, globally. It
is aimed at all types of organizations regardless of their activity,
size or location.”10
(B) Dow Jones sustainability
This is a financial index which analyses the conduct of stock
companies listed on regulated markets from the sustainability
perspective.11
The Down Jones Sustainability Index constitutes
a worldwide reference recognized by businesses sectors
considering that it provides information regarding the ability
of enterprises of managing their operations in a responsible
manner in accordance with economic, environmental and
social needs.
(C) Global Reporting Initiative (GRI)12
GRI is an organization that promotes the use of sustainability
reporting as a way for organizations to become more
sustainable and contribute to sustainable development. GRI
created a complete Guide for elaboration of sustainability
reporting which have been wide used. The document
establishes the principles and indicators that companies
may use for measuring and publishing their economic,
environmental and social performance. The commitment of
GRI is the continuous improvement and encouragement of the
use of the guidelines which are publicly available for free.
GRI is a nonprofit organization involving several interest
groups. GRI maintains regional hubs in Australia, Brazil,
China, India, South Africa, Colombia, Philippines and the
United States and also, has a social network of more than
30,000 persons in the world.
(D) Technical Colombia Guide N°180 on Corporate
Responsibility
This is a voluntary guide published by the Colombian Technical
Committee (ICONTEC) which contains recommendations

recognized rules.13
The enforcement of the guidelines is
voluntary and nonbinding for companies.
The latest text of the guidelines was approved in May 2011,
and contains a preamble and 11 chapters: definitions and
general principles, disclosure of information, human rights,
employment and labor relations, environment, anticorruption,
consumers interests, science and technology, competence and
taxation. The guidelines are regularly updated in order to
assure their adaptation to international economy challenges.
The main characteristics of the guidelines are:
•	 Constitute the unique instrument on social responsibility
agreed by governments.
•	 Establish national contact points in each country for
their implementation. The main objective of the national
contact points is promoting the guidelines efficiency and
represent a complaint instance turning the guidelines in the
unique international CSR instrument which incorporates a
complaint mechanism.
•	 The enforcement of the guidelines is voluntary and
nonbinding for enterprises. Nevertheless, some issues
regulated by the guidelines may be included in domestic
regulations or international commitments.
•	 It is expected that multinational enterprises comply with
the recommendations established in the guidelines and
that the governments part of the declaration, assume a
binding commitment for their application. The objective is
to create a mutual trust environment between all interest
groups.
•	 Comprehensive perspective regarding due diligence and
responsible management of supply chains.
The guidelines promote an open investment climate and the
equality through the contribution of multinational enterprises
for sustainable development and in this way, the guidelines
must be of interest for all enterprises wherever they operate,
as well as for the governments that signed the Declaration.

12.4. 	OECD Guidelines for Multinational
Enterprises
The OECD is an international organization established with
the aim of discussing and sharing the best practices in the
fields of economic and social policies in the member countries.
Currently, the OECD has 34 members, two of them from Latin
America (Mexico and Chile). This organization has adopted
the promotion of policies for the improvement of economic
and social welfare as a mission.
On December 8, 2011, President Juan Manuel Santos sent
to the OECD the official letter making Colombia part of
the Declaration on Foreign Investment and Multinational
Enterprises and its decisions. This granted Colombia the
condition of participant member of the OECD Investment
Committee.
In 2011, the OECD prepared the Colombian Investment Policy
Review. The OECD Guidelines for Multinational Enterprises,
which are a part of the Declaration, and are recommendations
drafted by governments for multinational enterprises with the
following objectives:
•	 To grant those multinational enterprises activities that shall
be developed in accordance with public policies.
•	 To strengthen the mutual trust between companies and
society.
•	 To improve the foreign investment climate.
•	 To promote the contribution of multinational enterprises to
sustainable development.
The guidelines include principles and voluntary standards
for promoting a responsible business conduct in a consistent
way with applicable domestic legislations and international

The first chapter of the guidelines sets out concepts and principles that put into
context all of the recommendations in the subsequent chapters. These concepts
and principles (e.g. obeying domestic law is the first obligation of enterprises) are
the backbone of the guidelines and underline the fundamental ideas behind them.

i n f o r m at i o n
Disclosure of clear and complete information of the enterprise is important to
a variety of users. This chapter calls on enterprises to be transparent in their
operations and responsive to increasingly sophisticated public demands for
information.
H u m a n R i g h t s
Enterprises can have an impact on virtually the entire spectrum of
internationally recognized human rights. As such, it is important that they
meet their responsibilities. This new chapter of the guidelines draws on and is
aligned with the UN “Protect, Respect and Remedy” Framework and the Guiding
Principles on Business and Human Rights that operationalize that framework.
E m p l o y m e n t
a n d I n d u s t r i a l
Re l at i o n s
The ILO is the competent body to set and deal with international labor
standards and to promote fundamental rights at work as recognized in the ILO
1998, Declaration on Fundamental Principles and Rights at Work. This chapter
focuses on the role the guidelines have in promoting observance among MNEs
of the international labor standards developed by the ILO.
E n v i r o n m e n t
The environment chapter provides a set of recommendations for MNEs to
raise their environmental performance and help maximize their contribution to
environmental protection through improved internal management and better
planning. It broadly reflects the principles and objectives of the Rio Declaration
on Environment and Development and Agenda 21.
C o m b at i n g b r i b e r y
Bribe solicitations and extortion bribery, and corruption, are damaging to
democratic institutions and the governance of corporations. Enterprises have
an important role to play in combating these practices. The OECD is leading
global efforts to level the playing field for international businesses by fighting
to eliminate bribery. The recommendations in the guidelines are based on the
extensive work the OECD has already done in this field.
C o n s u m e r
I n t e r es t s
The guidelines call on enterprises to apply fair business, marketing, and
advertising practices and to ensure the quality and reliability of the products
that they provide. This chapter draws on the work of the OECD Committee
on Consumer Policy and the Committee on Financial Markets, and of other
international organizations, including the International Chamber of Commerce,
the International Organization for Standardization and the UN.
S c i e n ce a n d
Tech n o l o g y
This chapter recognizes that MNEs are the main conduit of technology transfer
across borders. It aims to promote technology transfer to host countries and
contribution to their innovative capacities.
C o m p e t i t i o n
This chapter focuses on the importance of MNEs carrying out their activities
in a manner consistent with all applicable competition laws and regulations,
taking into account the competition laws of all jurisdictions in which their
activities may have anticompetitive effects. Enterprises need to refrain from
anticompetitive agreements, which undermine the efficient operation of both
domestic and international markets.
T a x at i o n
The guidelines are the first international corporate responsibility instrument to
cover taxation, contributing to and drawing upon a significant body of work
on taxation, most notably the OECD Model Tax Convention and the UN Model
Double Taxation Convention between developed and developing countries. This
important chapter covers fundamental taxation recommendations.

In June 2012, the Decree 1400 of June 29, established in
Colombia the National Contact Point (NCP) for OECD
Guidelines for Multinational Enterprises which is under the
Directorate of Foreign Investment and Services of the Ministry
of Trade, Industry and Tourism. This decree also establishes
the procedure provided in OECD guidelines for multinational
enterprises.
NCP is the national instance in charge of the promotion and
dissemination of the guidelines in Colombia. It also constitutes
mediation fora in cases of violations of the guidelines
by multinational enterprises in Colombia or Colombian
enterprises in other countries.
Decree 1400, creates the Advisory Committee of the NCP
where a representative from the private sector, a representative
from labor unions, a representative from academy and
a representative from nongovernmental organizations
participate. This committee has the following objectives:
•	 To contribute to the promotion of the guidelines.
•	 To advise the NCP in its activities.
•	 To ensure the enforcement of the guidelines and the
Decree 1400.

  • 2. 1 5 6 CHAPTER 12 - CORPORATE SOCIAL RESPONSIBILITY - LEGAL GUIDE 2016 Four things an investor should know about corporate social responsibility in Colombia: The inclusion of corporate social responsibility policies in the operation, management, expansion or establishment of business and enterprises, constitutes nowadays, a key element for improving the competitiveness of companies in the world. The corporate social responsibility is based on the free will of the investor or of the business person, for assuming obligations or commitments beyond his enforceable legal obligations. For this reason, as a general rule, commitments derived from corporate social responsibility are not legally binding. There are several instruments which facilitate the incorporation of corporate social responsibility in companies and businesses. These tools may take place under the international framework, governmental or not, such as The Global Pact of the United Nations or the Guidelines for Multinational Enterprises of the Organization for Economic Cooperation and Development (OECD); or may arise from private initiatives such as ISO 26000 or the Global Reporting Initiative organization (GRI). Colombia adopted the Guidelines for Multinational enterprises of the Organization for Economic Cooperation and Development (OECD), which establishes a series of principles and voluntary standards for the promotion of a responsible business conduct in a consistent way with applicable domestic laws and recognized international rules. 1 2 3 4
  • 3. 1 5 7CHAPTER 12 - CORPORATE SOCIAL RESPONSIBILITY - LEGAL GUIDE 2016 the concepts of “social concerns in businesses” or “contributions for a better society,” etc. iii) Economic dimension: Referred to the socioeconomic and financial elements of a company. Under this dimension, the corporate social responsibility may be considered in the framework of businesses operations. The economic dimension may be reflected in terms such as “contribution to economic development,” among others. iV) Stakeholder dimension: Referred to the manner how the corporate structures of companies interact with their main groups of interest, such as employees, providers, consumers and community. V) Voluntariness dimension: Referred to behaviors which are not included in legal or binding rules. It may be reflected in terms such as “ethical value” or “beyond the legal obligations,” among others. In summary, corporate social responsibility, including its five dimensions, maintains a voluntary basis which is not included in the sphere of legal binding obligations. In some cases, some standards or dimensions of corporate social responsibility have been established in legal instruments; the general rule for the majority of states in the world is that corporate social responsibility maintains a voluntary nature2 and in this sense, it is possible to assure that corporate social responsibility involves “a series of duties and obligations not arisen from legal requirements but from the commitment and support of the business person.”3 12.1. Corporate Social Responsibility Corporate social responsibility refers to a series of commitments or obligations that the business person has decided to assume beyond his traditional model of profit or loss or beyond his regular enforceable obligations. This series or commitments and obligations are regularly assumed in a voluntary manner by the business person. Voluntary is a fundamental and basic element of corporate social responsibility. For this reason, it is possible to assure that the corporate social responsibility commitments are not legally binding. The above mentioned without prejudice of some countries where responsible business conduct obligations are legally binding at certain levels while in other countries, such commitments are enforceable through rules which are not aimed to regulate corporate social responsibility but other objectives such as consumer protection rules. With regard to the content of corporate social responsibility, five dimensions have been identified:1 i) Environmental dimension: It is referred to natural environment and reflected in definitions or concepts such as “a clean environment,” “environmental management,” “environmental concerns in businesses,” among others. ii) Social dimension: This dimension is referred to the relationship between the companies and the society. This dimension may be reflected in Nowadays, to compete in a globalized market on the basis of the good or the service by itself (quality and price) is becoming increasingly difficult for companies considering the growing number in the market of similar, replaceable and equally good products and services. This circumstance has created for the companies, the need of looking for and strengthening available tools for improving companies’ competitiveness. In this point, the corporate social responsibility or the responsible business conduct plays an important role as an innovative competitiveness factor. Depending on the comprehensive policy adopted by the business person in its businesses, as well as the perspective and attitude of the business person regarding corporate social responsibility and the manner how the corporate identity is integrated with the corporate social responsibility, any business may achieve important advantages in any market. 1. Scenarios to be Considered in the Framework of Corporate Social Responsibility Not only companies have included and implemented corporate social responsibility policies in their operations. Governments have adopted actions and initiatives addressed for the promotion and improvement of responsible business conduct in their territories such as the OECD Guidelines for Multinational Enterprises. Some of the governmental initiatives are: (A) United Nations (UN) Under the auspices of the UN, was created the Global Pact which is an agreement between several companies of the world by means of which, they acquire commitments and obligations in four areas: human rights, environment, labor standards and anticorruption commitments. (B) Rio+20: In the framework of UN conference for sustainable development, known as Rio+20,7 was established in the Resolution 66/288, “the future we want,” the support of the countries to adopt domestic policies and legal frameworks for sustainable development, enterprises and industry.8 In the same way, the UN General Assembly invites governments and any interested party to participate in the processes of adoption, planning and application of policies and programs aimed to improve the sustainable development. Additionally, the General Assembly recognizes the importance of corporate sustainability reports, encouraging multinational enterprises to include sustainability information in their reports and to create sustainability strategies which include green economy policies among others. In this framework, the group of friends of paragraph 47 was established with the participation of six governments with the same vision but different perspective (Brazil, Denmark, France, South Africa, Norway and Colombia). The objective of this group is to promote the contributions of the private sector for the sustainable development through the submission of sustainability reports. 12.2. Competitive Advantages of Including Corporate Social Responsibility Policies in Businesses There are two main reasons for considering corporate social responsibility as a competitiveness factor for companies: i) Considering that corporate social responsibility commitments are voluntary assumed by companies, not all the companies include responsible business conduct in their operations. ii) The increasing awareness in consumers and users regarding the environmental, social and cultural implications of businesses and the operation or establishment of companies. Empirical studies determine a positive relation between corporate social responsibility and the financial performance of companies.4 Under a case by case analysis, it has been determined that companies involved in illegal or socially irresponsible behaviors, reflect negative effects in the value of their shares while companies with a responsible business conduct reflect favorable effects for the financial performance of the company. In summary, studies conclude that a responsible and legitimate business conduct is a necessary condition, but not sufficient, for increasing the welfare of shareholders. Ontheotherhand,theeffectsoftheadoptionofcorporatesocial responsibility standards in the businesses are increasingly clear. Studies present how the responsible business conduct is potentially a factor that influences the consumer decisions in elements such as consumers’ loyalty, intention of purchase, willingness to pay and the good will of the company.5 Additionally, the adoption of a corporate social responsibility policy in a company also creates favorable effects in the relation between the company and the employees, in particular, regarding the perception of the reputation of the company, their loyalty to the company, their identification as part of the corporate structure, their commitment and level of labor satisfaction and their intention of staying in the company. The effects of corporate social responsibility go beyond the relation of the company with the employees covering potential employees and their intention of being part of the company. Considering these effects and the others mentioned above, it is possible to conclude that corporate social responsibility potentially increases the ability of the company for successfully compete in the market.6 4.   • 5. 1 5 9CHAPTER 12 - CORPORATE SOCIAL RESPONSIBILITY - LEGAL GUIDE 2016 (C) Organization for Economic Cooperation and Development (OECD) Since December 8, 2011, Colombia is part of the 46 countries which promote corporate social responsibility in accordance with international best practices.9 The OECD guidelines for multinational enterprises constitute the unique CSR instrument developed by governments in consultations with interest groups. The guidelines are aimed to be implemented by multinational enterprises but their use by national enterprises is also promoted (to the extent that may affect the operations of multinational enterprises). The guidelines involve a series of principles divided in ten chapters in the fields of information disclosure, human rights, employment and labor relations, environment, anticorruption, consumers interests, science and technology, competence and taxation. (D) Millennium Development Goals (MDG) This instrument is addressed to the importance of the participation of enterprises in the eradication of extreme poverty and hunger and in the sustainability of the environment. During the discussions and development of the MDG in the UN, the Colombian Government proposed the establishment and definition of the Sustainable Development Objectives (SDO), which conduct the sustainable development debate to common goals with specific measurable indicators adapted to the context of each country. Since then, the Ministry of Foreign Affairs of Colombia is leading the interinstitutional coordination of the discussions of the Post-2015 Process taking the identification of goals and specific indicators as a basis where the participation of private sector is a key element. The negotiation of this new process shall include concrete opportunities of collaboration in order to facilitate the alignment of the private sector activities and the development goals in the countries where they maintain operations or activities contributing to sustainable development. Regarding practices aimed at the improvement of the implementation process of responsible business conduct, it is important to consider: (A) ISO 26000 Thisisastandardizedguideatinternationallevelforimplementing and improving the social responsibility framework for enterprises. It is a document from the International Organization for Standardization which provides a guide regarding the application of social responsibility. “The ISO 26000 provides guidance rather than requirements, so it cannot be certified to unlike some other well-known ISO standards. Instead, it helps clarify what social responsibility is, helps businesses and organizations translate principles into effective actions and shares best practices relating to social responsibility, globally. It is aimed at all types of organizations regardless of their activity, size or location.”10 (B) Dow Jones sustainability This is a financial index which analyses the conduct of stock companies listed on regulated markets from the sustainability perspective.11 The Down Jones Sustainability Index constitutes a worldwide reference recognized by businesses sectors considering that it provides information regarding the ability of enterprises of managing their operations in a responsible manner in accordance with economic, environmental and social needs. (C) Global Reporting Initiative (GRI)12 GRI is an organization that promotes the use of sustainability reporting as a way for organizations to become more sustainable and contribute to sustainable development. GRI created a complete Guide for elaboration of sustainability reporting which have been wide used. The document establishes the principles and indicators that companies may use for measuring and publishing their economic, environmental and social performance. The commitment of GRI is the continuous improvement and encouragement of the use of the guidelines which are publicly available for free. GRI is a nonprofit organization involving several interest groups. GRI maintains regional hubs in Australia, Brazil, China, India, South Africa, Colombia, Philippines and the United States and also, has a social network of more than 30,000 persons in the world. (D) Technical Colombia Guide N°180 on Corporate Responsibility This is a voluntary guide published by the Colombian Technical Committee (ICONTEC) which contains recommendations 9. The latest text of the guidelines was approved in May 2011, and contains a preamble and 11 chapters: definitions and general principles, disclosure of information, human rights, employment and labor relations, environment, anticorruption, consumers interests, science and technology, competence and taxation. The guidelines are regularly updated in order to assure their adaptation to international economy challenges. The main characteristics of the guidelines are: • Constitute the unique instrument on social responsibility agreed by governments. • Establish national contact points in each country for their implementation. The main objective of the national contact points is promoting the guidelines efficiency and represent a complaint instance turning the guidelines in the unique international CSR instrument which incorporates a complaint mechanism. • The enforcement of the guidelines is voluntary and nonbinding for enterprises. Nevertheless, some issues regulated by the guidelines may be included in domestic regulations or international commitments. • It is expected that multinational enterprises comply with the recommendations established in the guidelines and that the governments part of the declaration, assume a binding commitment for their application. The objective is to create a mutual trust environment between all interest groups. • Comprehensive perspective regarding due diligence and responsible management of supply chains. The guidelines promote an open investment climate and the equality through the contribution of multinational enterprises for sustainable development and in this way, the guidelines must be of interest for all enterprises wherever they operate, as well as for the governments that signed the Declaration. aimed to facilitate to enterprises the incorporation of social responsible practices through the adoption of principles such as respect, human dignity, and ethical liability, among others. 12.4. OECD Guidelines for Multinational Enterprises The OECD is an international organization established with the aim of discussing and sharing the best practices in the fields of economic and social policies in the member countries. Currently, the OECD has 34 members, two of them from Latin America (Mexico and Chile). This organization has adopted the promotion of policies for the improvement of economic and social welfare as a mission. On December 8, 2011, President Juan Manuel Santos sent to the OECD the official letter making Colombia part of the Declaration on Foreign Investment and Multinational Enterprises and its decisions. This granted Colombia the condition of participant member of the OECD Investment Committee. In 2011, the OECD prepared the Colombian Investment Policy Review. The OECD Guidelines for Multinational Enterprises, which are a part of the Declaration, and are recommendations drafted by governments for multinational enterprises with the following objectives: • To grant those multinational enterprises activities that shall be developed in accordance with public policies. • To strengthen the mutual trust between companies and society. • To improve the foreign investment climate. • To promote the contribution of multinational enterprises to sustainable development. The guidelines include principles and voluntary standards for promoting a responsible business conduct in a consistent way with applicable domestic legislations and international 12.   • 7. 1 6 1CHAPTER 12 - CORPORATE SOCIAL RESPONSIBILITY - LEGAL GUIDE 2016 C o n ce p t s a n d P r i n c i p l es The first chapter of the guidelines sets out concepts and principles that put into context all of the recommendations in the subsequent chapters. These concepts and principles (e.g. obeying domestic law is the first obligation of enterprises) are the backbone of the guidelines and underline the fundamental ideas behind them. D i sc l o s u r e o f c l e a r a n d c o m p l e t e i n f o r m at i o n Disclosure of clear and complete information of the enterprise is important to a variety of users. This chapter calls on enterprises to be transparent in their operations and responsive to increasingly sophisticated public demands for information. H u m a n R i g h t s Enterprises can have an impact on virtually the entire spectrum of internationally recognized human rights. As such, it is important that they meet their responsibilities. This new chapter of the guidelines draws on and is aligned with the UN “Protect, Respect and Remedy” Framework and the Guiding Principles on Business and Human Rights that operationalize that framework. E m p l o y m e n t a n d I n d u s t r i a l Re l at i o n s The ILO is the competent body to set and deal with international labor standards and to promote fundamental rights at work as recognized in the ILO 1998, Declaration on Fundamental Principles and Rights at Work. This chapter focuses on the role the guidelines have in promoting observance among MNEs of the international labor standards developed by the ILO. E n v i r o n m e n t The environment chapter provides a set of recommendations for MNEs to raise their environmental performance and help maximize their contribution to environmental protection through improved internal management and better planning. It broadly reflects the principles and objectives of the Rio Declaration on Environment and Development and Agenda 21. C o m b at i n g b r i b e r y Bribe solicitations and extortion bribery, and corruption, are damaging to democratic institutions and the governance of corporations. Enterprises have an important role to play in combating these practices. The OECD is leading global efforts to level the playing field for international businesses by fighting to eliminate bribery. The recommendations in the guidelines are based on the extensive work the OECD has already done in this field. C o n s u m e r I n t e r es t s The guidelines call on enterprises to apply fair business, marketing, and advertising practices and to ensure the quality and reliability of the products that they provide. This chapter draws on the work of the OECD Committee on Consumer Policy and the Committee on Financial Markets, and of other international organizations, including the International Chamber of Commerce, the International Organization for Standardization and the UN. S c i e n ce a n d Tech n o l o g y This chapter recognizes that MNEs are the main conduit of technology transfer across borders. It aims to promote technology transfer to host countries and contribution to their innovative capacities. C o m p e t i t i o n This chapter focuses on the importance of MNEs carrying out their activities in a manner consistent with all applicable competition laws and regulations, taking into account the competition laws of all jurisdictions in which their activities may have anticompetitive effects. Enterprises need to refrain from anticompetitive agreements, which undermine the efficient operation of both domestic and international markets. T a x at i o n The guidelines are the first international corporate responsibility instrument to cover taxation, contributing to and drawing upon a significant body of work on taxation, most notably the OECD Model Tax Convention and the UN Model Double Taxation Convention between developed and developing countries.   • 8. 1 6 2 CHAPTER 12 - CORPORATE SOCIAL RESPONSIBILITY - LEGAL GUIDE 2016 In June 2012, the Decree 1400 of June 29, established in Colombia the National Contact Point (NCP) for OECD Guidelines for Multinational Enterprises which is under the Directorate of Foreign Investment and Services of the Ministry of Trade, Industry and Tourism. This decree also establishes the procedure provided in OECD guidelines for multinational enterprises. NCP is the national instance in charge of the promotion and dissemination of the guidelines in Colombia. It also constitutes mediation fora in cases of violations of the guidelines by multinational enterprises in Colombia or Colombian enterprises in other countries. Decree 1400, creates the Advisory Committee of the NCP where a representative from the private sector, a representative from labor unions, a representative from academy and a representative from nongovernmental organizations participate. This committee has the following objectives: • To contribute to the promotion of the guidelines. • To advise the NCP in its activities. • To ensure the enforcement of the guidelines and the Decree 1400.
