This confidentiality agreement is between a consulting business and Tim Conrad, who will be consulting for the business. It states that Tim Conrad agrees to keep all business secrets of the consulted business confidential both during and after the contract term. He also agrees not to make unauthorized copies of business information or remove information from the business facilities. The consulted business agrees not to share information provided by Tim Conrad and to consider increasing pay or incentives and rates based on information and performance. It also agrees to allow full access to team members and keep information shared between team members and Tim Conrad confidential.

1. CONFIDENTIALITY AGREEMENT and Terms
This Confidentiality and Terms Agreement was made and entered into on ______________. It was made
between the Consulted Business, _____________________________________________ and Tim
Conrad or his Representatives who will be consulting at the Consulted Business.
For valuable consideration, the Consulted Business and Tim Conrad agree to the following:
1. Tim Conrad agrees keep all of the business secrets that belong to the Consulted Business confidential
at all times, during both the term of Contract at the business establishment, and afterwards. These
business secrets include any and all information relating to the Consulted Business’s customers,
supplies, finances, research, development, manufacturing processes, and any other technical and or
business related information.
2. Tim Conrad also agrees to not make any unauthorized copies of any of the Consulted Business’s
secrets, or information, without the expressed consent of the Business. Furthermore, Tim Conrad agrees
to not remove any of the Consulted Business’s secrets or information from the business facilities.
3. Consulted Business agrees not to share any information i.e.: spreadsheets, documents or other
information provided them by Tim Conrad.
4. Consulted Business agrees to consider the need for increased pay or incentives for team members
based on measurable performance.
5. Consulted Business agrees to consider the need to increase company rates, either incrementally or
full on, based on the information the Consulted Business provides and receives from Tim Conrad.
6. Consulted Business agrees to allow full access (without interruption to daily business) to each team
member of the business.
7. Consulted Business agrees that information shared by Team Members about the Consulted Business
will be between Team Member and Tim Conrad.
