    1. A unique boutique consulting firm of senior operating executives, who have created $15+ billion during their careers 
         in over 100 countries.  We (i) apply “best practices” that are operationally oriented across the entire range of functions, 
         (ii) provide senior business development at the C‐suite level with Fortune 1000 companies and (iii) identify and 
         remediate risk, both external and internal.  
    2. An active fundless sponsor with significant operating experience, which provides growth capital to both established 
         and also early stage companies in cooperation with our affiliate, Comstock Partners (www.comstockpartners.com), a 
         licensed broker‐dealer. We have long standing relationships with significant capital partners: private equity firms, 
         hedge funds, institutions, which are direct investors, and family offices. 
 
Our Advisors are all currently active thought leaders in their respective fields. We work with senior management teams to 
create operational value and to accelerate growth through our holistic recommendations, while minimizing the risks.  We can 
also assist in the implementation of our recommendations, should management desire, because of our operating experience.  
We work with both privately and publicly held companies between $100 million and $1 billion in revenues, as well as Fortune 
500 clients. 
 
Comstock is different from other consulting firms: 
     We actively assist our clients with business development.  We can reach virtually any C‐level officer in the US, as well as 
         many abroad, through our network of senior relationships. 
     We can raise capital to assist in scaling the business through our broker‐dealer affiliate, Comstock Partners. 
     Our team is exclusively senior executives, without any junior staff.  Therefore, we arrive at a solution much more 
         quickly. 
     Our solutions are operationally oriented, not theoretical, and we actively assist management in implementation. 
 
Comstock is different from other financial sponsors: 
     We originate proprietary investments through our wide‐ranging industry relationships and our connections with 
         regional private capital firms that want us to co‐invest because of our operational capabilities. We don’t participate in 
         auctions, so that our transactions are privately negotiated. 
     Our executives have senior operating experience, so they identify, assess and get actively involved with companies. 
     We focus on risk reduction through revising the business model and with risk layoff mechanisms. 
 
We have developed a number of proprietary products or tools.  These are well tested processes that have proved their ability to

    • The First 100 Days:  Provides internal alignment and creates a detailed plan for a company’s new CEO/COO/Group 
         Executive to focus resources on the most critical issues.  Our operational approach produces a far richer outcome than 
         other firms’ offerings and which we use to ensure that the key issues are properly addressed in our own investments.  
    • Objectives, Goals, Strategies, Measures (OGSM):  A strategy development & deployment tool that aligns all key 
         company functions around a shared assessment of the business situation and provides prioritized strategies, tactics and 
         metrics for creating competitive advantage.  
    • Organic Growth:  Identifies the “white spaces” or unfilled customer needs, so that the client/our investment can 
         leverage its skills to introduce an ongoing stream of new product offerings to achieve growth in a stagnant economy. 
    • Outsourcing Creativity: Once a new product or service is identified through the Organic Growth Process, the challenge 
         is to provide the best deliverable possible.  This can only be achieved if the best minds throughout the world are 
         recruited.  Procter & Gamble originated this process, with the result that over 50% of its new products are ideas that
