 Salesforce.com’s acquisition of Demandware has sent shockwaves through the industry
− Many smaller platforms see this as signaling an acceleration of consolidation in the
industry – and have been told by their Board members that it is less likely that they
will receive additional funding – meaning that several companies are now formally or
informally for sale
 The losers in the Salesforce.com process (e.g. Adobe, IBM) are primarily focused on
finding larger enterprise assets
− Magento’s revitalized strategy is a counterpoint to the above, where the Open Source
value proposition has been seen as highly attractive by these potential buyers
 This said there are a host of adjacencies (POS vendors, CMS vendors) who are actively
evaluating opportunities to enter the ecommerce platform market through bundling
capabilities to reduce TCO with a verticalized solution
 Many parties do believe that new entrants are emerging with a “V2” of the successful
Demandware model (e.g. Symphony Commerce or NewStore for mobile) or Magento
model (e.g. WebLinc) based on “doing it right” and through a pre-integrated stack with
ECP, CMS, PIM and common integrations – this bodes well for these new integrated
solutions – as there is a belief in the market that a new model will emerge driven by
a new technology leader

• Saas platform popularity continues its momentum
• License/hosted is also a very popular offering
Multi-functionality with minimal integrations
• If they have to integrate with providers, they want to know they
aren’t limited and it’s relatively easy (think Magento Connect
and Demandware Link)
• Recent competitive platforms have released “starter stores” that
have functionality pre-integrated/pre-built and can be turned on
almost immediately

• Last year’s add-ons are this year’s foundation
• Merchants with B2B and B2C channels are looking to leverage a single platform
• Merchants need an Order Management solution and are looking for it as part of eCommerce Platform or part of the provider’s offering
• Multichannel capabilities are ‘must haves’ for multichannel retailers, e.g. same promotions, POS, gift cards, private label credit cards
• Expanding on multichannel, cross channel is must have for multi channel retailers who are exploring new OMS solutions.

CONFIDENTIAL ComCap, LLC 6 Ecommerce platform landscape  Salesforce.com’s acquisition of Demandware has sent shockwaves through the industry − Many smaller platforms see this as signaling an acceleration of consolidation in the industry – and have been told by their Board members that it is less likely that they will receive additional funding – meaning that several companies are now formally or informally for sale  The losers in the Salesforce.com process (e.g. Adobe, IBM) are primarily focused on finding larger enterprise assets − Magento’s revitalized strategy is a counterpoint to the above, where the Open Source value proposition has been seen as highly attractive by these potential buyers  This said there are a host of adjacencies (POS vendors, CMS vendors) who are actively evaluating opportunities to enter the ecommerce platform market through bundling capabilities to reduce TCO with a verticalized solution  Many parties do believe that new entrants are emerging with a “V2” of the successful Demandware model (e.g. Symphony Commerce or NewStore for mobile) or Magento model (e.g. WebLinc) based on “doing it right” and through a pre-integrated stack with ECP, CMS, PIM and common integrations – this bodes well for these new integrated solutions – as there is a belief in the market that a new model will emerge driven by a new technology leader
