On behalf of N+P Neville Roberts gave a presentation about the Subcoal® technology at the Global cemfuels conference in Dubai.
Subcoal® is a technology to upgrade RDF (refuse derived fuels) and SRF (solid recovered fuels) to pellets. Pellets are cylindrical sticks with the same chemical composition as bituminous coal. The pellets are comparable to coal in terms of heating value and it can be treated the same way. Power plants, lime and cement kilns can grind the pellets with their coal mills. Grinding and combusting the pellets and coal together is also possible.

Memorandum Of Association Constitution of Company.pptseri bangash
www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.

Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.

Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.

Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.

Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder

Atlas copco offshore rental increased focus on effiency & innovation
1. Atlas Copco 2
ATLAS COPCO SPECIALTY RENTAL I PROFILE
1 Atlas Copco
ENERGISED
W
ith reliable equipment powered
by technology at the highest
end of what the industry is
capable of, Atlas Copco Specialty Rental
remains a trusted name in the air treat-
ment machinery, offshore equipment
and on-site power generation sectors.
The organisation sustains a presence in
over 50 nations, yet its personal focus is
in no way diminished by that expansive
reach. In fact, according to Michel Jasica,
Business Unit Manager Offshore for Atlas
Copco Specialty Rental’s European leg,
today’s oil and gas sector dynamics make
the veracity of close business alliances
more crucial than ever.
Mr Jasica began by briefly recapping Atlas
Copco Specialty Rental’s emergence to its
prominent position today, felt over the course
of what has been a remarkably decade for
oil and gas.
“Our first project was in Egypt in the
1960s, eventually leading to the inaugu-
ration of this division of the wider Atlas
Copco Group in 2007,” he disclosed.
“Atlas Copco itself was established back
in 1873, with our division having arisen
specifically to cater to specialised rental
equipment demands across a spectrum of
industries. Today, Atlas Copco is active in
130 locations worldwide, 50 of which are
in Europe.”
Tracing the change
Atlas Copco Specialty Rental works along-
side its sister organisations in numerous
projects – although on the oil and gas front,
it is developments closer to home that are
taking the bulk of the firm’s focus.
“In recent months, we have increased our
concentration of North Sea regional activi-
ties,” Mr Jasica described. “We have a good
spread of locations surrounding that territory
for our offshore endeavours. There are four
in total – Scotland, Norway, the Netherlands
and Denmark.”
Part of this concentration included
adapting its European organisational
structure in February to support its focus
on the offshore rental business. The new
Atlas Copco is a name that needs little introduction. The
industrial titan has defined the growth of numerous industries
across a span of decades – yet in today’s unique oil and gas
market, Atlas Copco’s Specialty Rental division is finding
its demographics shifting. Speaking from the organisation’s
Belgian office, Business Unit Manager Offshore, Michel
Jasica, explained how renewable energies are redefining
the state of play. Tony White reports.
leadership

business unit is headquartered in Dundee,
Scotland, and acts as the competence centre
for the company’s activities in the North
Sea region.
Combined, the four hubs that make up
this growing structure have a concentrated
team of experts and a robust fleet of equip-
ment ready to undertake any number of
North Sea projects. To that end, Atlas Copco
Specialty Rental is highly active in the region
today, thanks to the advent and matura-
tion of the renewable energy sector in
the North Sea going forward.
“The North Sea’s premier developments
today all relate to the renewable energy
sector, specifically the wind turbines
market,” Mr Jasica commented. “As such,
we are working closely with the major
contractors active in the North Sea in the
renewables sector today. Numerous wind
farms are under construction, and we
recently secured a three-year contract with
a major client to supply temporary power
units to assist those developments.”
Indeed, Atlas Copco Specialty Rental
frequently supplies its expertise and
solutions to the true titans of the industry,
with numerous major projects defining the
organisation’s advancement today.
“Throughout the world, and particularly
in the North Sea, the oil and gas market is
stable, but has noticeably declined as new
demographical shifts have manifested,”
Mr Jasica elaborated. “As such, renew-
able energy in the North Sea is a definite
growth area. Beyond that, we believe that
in the coming five years to a decade, there
will also be a somewhat complementary
uptake in decommissioning work for North
Sea oil and gas platforms and related
subsea structures.”
Fine-tuned advantages
With such a wealth of activity character-
ising the North Sea today, competition is
intense, even for a company of Atlas Copco
Specialty Rental’s pedigree. However, the
organisation remains
a leader for a multitude of reasons, and
those advantages continue to define how
it progresses moving ahead.
“In the oil and gas industry, some players
own and operate their own equipment,”
Mr Jasica illustrated. “However, where
technicality and regulatory restrictions
are concerned, our familiarity with the
inner workings of the industry puts our
solutions at a significant advantage. High
pressures and high flows are two areas in
which our solutions particularly excel.”
As oil and gas companies seek to increase
profitability, streamline costs and maximise
efficiency in a challenging era for the
industry, Mr Jasica said Atlas Copco
Specialty Rental is able to keep ahead
of the curve through diligence in pushing
the envelope.
“We enjoy the benefits of having
all elements in-house, including our
engineering department,” he said. “As such,
we are able to rapidly develop new products
in a rapidly changing business climate. At the
global level, we are finding ever more that
the oil and gas industry is discovering oil
wells at hitherto unreached depths. That
means that the implementation of systems
capable of operating at high pressures is
emphasised. To that end, we have recently
introduced high pressure boosters to our
product portfolio that nevertheless remain
compliant with tightening safety regulations.”
Forthcoming success
With numerous projects underway, a con-
sistent dedication in practice regarding the
advancement of its technological prowess,
and a strong ambition to sustain its growth
in even the most challenging of climates,
Atlas Copco Specialty Rental is poised for
further greatness.
“While in many ways the competitive
climate can encourage sacrifices in quality
in order to give the most competitive pricing,
we do not believe in giving up one to accom-
plish the other,” Mr Jasica said. “We have
established a good balance between cost
effectiveness and the high quality for which
our solutions are known.”
Accomplishing that feat has positioned
Atlas Copco Specialty Rental enviably for the
coming months and years. “We made that
happen through a combination of stream-
lined installation efficiency and internal
lean production processes,” he added.
“Competition in both established oil and
gas markets as much as emergent renewable
energy and decommissioning trends remains
strong. However, with these solutions at our
side, we are confident that we will continue
our expansion to become a market leader
across the globe. To that end, the future will
feature much in the way of product portfolio
growth, increased personnel numbers and
newly inaugurated offices worldwide.” n
