This document outlines an agreement between Videoplugger Ltd and John Hutchison for the non-exclusive distribution of footage related to the Joplin tornado. 1. Agent Agreement

The above party (hereafter referred to as “AGENCY”) and John Hutchison have agreed
on the following:
1.John Hutchison consigns non-exclusive distribution rights of the footage related to
the Joplin tornado delivered and/or made available to AGENCY for syndication, distribution
and licensing in the following countries and territories: WORLD
2.Under this agreement, AGENCY is authorized to sell the footage at prices determined by
negotiations between AGENCY and AGENCY's clients in AGENCY's assigned territories.
3.Gross sales of the Footage, to be meant net of any witholding tax charged by AGENCY's
clients or by their national and/or local government(s) and/or other legal taxing bodies or
legal entities and net of any bank charges, will be divided between AGENCY and John
Hutchison on a “50% / 50%” sharing basis, respectively. John Hutchison’s 50% will
be held in trust by AGENCY until the due payment is made.
4.AGENCY will issue monthly “Sales Reports” and “collected Sales Reports” (country,
price) to John Hutchison and payment for each report will be made by bank transfer or
cheque within maximum four weeks after an invoice related to the each “collected
Sales Report” has been received by AGENCY.
5.This agreement will commence on the 7 January 2013 and will remain effective for a
period of one (1) year. It will be automatically renewed and continue until either party
notifies the other in writing of its intention to terminate it on 30 days written
notice to be sent via certified post or courier. The termination shall become effective 30
days after the written notification has been received by the other party. Such termination
shall not affect AGENCY’s obligation to continue to account to John Hutchison in
accordance with the terms herein.
6.This agreement shall be governed and interpreted under the laws of England.
7.John Hutchison acknowledges that the Footage will be made available to AGENCY's
clients on mmnc.net, the online preview-and-delivery tool of AGENCY.
8.AGENCY acknowledges that, subject to John Hutchison’s compliance with Clause 9,
10 and 11, John Hutchison remains at all times the owner or the fully authorized
licensee and syndicator of the copyright of the footage delivered or made available to
AGENCY.
9.John Hutchison remains at all times fully responsible for the accuracy, integrity,
quality and legality for all the content made available by John Hutchison to AGENCY
for distribution to AGENCY's clients.

2. 10.John Hutchison declares and represents to AGENCY to be the legitimate copyright
owner or to legitimately act on behalf of the legitimate copyright owner of any Footage
delivered or made available to AGENCY.
11.John Hutchison commits:
a) not to misrepresent the nature of the content made available to AGENCY;
b) not to violate or infringe any rights of third parties while delivering or making available
footage to AGENCY for syndication and distribution within the assigned territories.
12.John Hutchison agrees to defend, indemnify and hold harmless AGENCY from any
and all claims and expenses arising from John Hutchison 's breach of Clauses 9, 10
and 11.
