What To Expect From Our SEO Proposal or Contract

A) Strategic Overview and Assessment.

Any SEO project, large or small - should include some sort of early and upfront strategy before ANY work
commences. Strategy is one of the major keys to success. It should include things like:

     A website analysis, to evaluate the site content, layout, linking structure and to begin keyword selection
        and research.
       A competitive research stage, to evaluate what competitive sites enjoy high rankings on the top three
        search engines, and to focus on 3-5 of those top competitors.
       Finalization of keyword selection.
       A benchmark positioning report that demonstrates current position and how many pages are listed in
        each search engine.
       Inbound link assessment that counts up the total sites that can be tracked back to your site.
       Link assessment that counts up the average and weighted inbound links to competiting websites.
       Is this engagement intended to increase sales on a commerce sites?
       Is this engagement intented to generate leads on a services site?
       Inform consumers about products and/or events?
       Target audience

Depending on scope of services, not all items may be needed. However, it should include how many hours it will
take and estimated time of delivery. This phase if fairly finite. Restrictive measures could include no of pages,
number of sites, etc.

Actual work, tools and techniques for much SEO work is available on the Internet today. An SEO firm should reveal
how the work will get done, what is involved, etc. However, it's important that once you agree on a proposal, you
comply with the approach and techniques. A summary example:

     How are pages optimized?
           o This will include the standard on-page factors like TITLE, META, ALT, H1, bolding, etc.
           o Internal linking structure should be revealed and discussed
           o Review the SEO vendor's website for "eat your own techniques" approach
       How are code changes applied and managed?
           o Outline of how code changes will be implemented and tracked (versioning systems are normally
                 implemented for larger systems)
           o How do programmers apply the changes
           o Team breakdown (SEO agency and Client)
       Quality Assurances
           o Project plan should include not only the implementation schedule, but reviews of text, tags and
                 any custom programming (javascript, flash)
           o Spell checking
           o Nothing is in the wrong place and tracking for changes
       Advanced Issues
           o Flash, javascript, frames, dynamic URL's and other SEO challenges should be addressed before
                 work commences.
           o Large sites with content driven from a database infrastructure, e-commerce systems and similar -
                 should have lineitems for how to address. This includes URL-rewriting, site moves, domain
                 management and more

     Submission to search engines
              o How are they handled (manual or auto-pilot?)
              o Any additional fees (ex: Yahoo's paid inclusion, and others) should be mentioned
              o Detailed examples of building inbound links are often presented, but not required
        Results Tracking
              o Reporting on progress and stats are an important item to any SEO project.
              o Metrics from ranking in the top 10, to shopping cart conversions, traffic volumes and increases
                  and type of reports (online, excel, customer viewers) should be disclosed
              o Ask for a sample report, and how customizable reports could be made, and how often they are
                  presented. Weekly and Monthly are normal.
        Client involvement
              o The client is ultimately responsible for complying with the requests and direction as they come
                  in. The SEO Vendor should have full access to information as it relates to his/her search
                  marketing duties.
              o Logs, history, traffic, email marketing campaigns, others - these items must be agreed to
                  beforehand.

C) Costs.
Any SEO project should include total costs for the work, including breakdown as indicated above, hours and
expectations. Complex websites will naturally have a more customized solution applied, and since the advanced
solution will have a number of sub-components, and overall presentation may do to get started.

Unlike a more standard applications development project, where technical and business requirements documents
can be broken down to manageable, trackable tasks, an SEO vendor may turn you down for small Search engine
optimization projects. It's simply not worth their time for anything less than $2,500.00. A good rule is to get as
much itemized as you can, and trust that you have found a formidable SEO vendor that can truly help you.

Any SEO company that is interested in doing business with you, will have spent not only time up front with you,
but done some internal checks (many free tools exist for this) and this can help mature the relationship as well.
Concrete examples shows that the SEO vendor has done their homework, and is ready to help you.

Pre-packaged SEO offers work, but only if attachment with detailed (day by day is best) work/task sheets to ensure
proper tracking and outcome of work applied. Also, any time committtment (say 4-6 months (normal)) - should
have an exit clause to stop work immediately, should you need to cancel.


Service Agreement for Search Engine Optimization Services

This Service Agreement is made on ____/____/______, between (____ name____), herein referred to as "Client",
and (name), herein referred to as "Contractor", functioning in the capacity of an Independent Contractor, for
Consulting Services to be rendered by Contractor on behalf of Client for the web site located at (sitename.com) for
the purpose of achieving satisfactory Search Engine Rankings.

The purpose of this Service Agreement is to precede a possible longer term, continuing working arrangement for
performance of search engine optimization services which may be rendered by Contractor on behalf of Client.

1. Services To Be Performed.
Contractor agrees to provide the following consulting services for Client for the purpose of achieving satisfactory
search engine rankings:

       (1.1). Keyword research and analysis for a maximum of (n) keywords or phrases.
       (1.2). Competitive analysis for main keywords/keyphrases.
       (1.3). Analysis of site architecture and linking structure.
       (1.4). Analysis of HTML and page design structure.
       (1.5). Recommendations for 1.1 through 1.4, above, as well as for necessary modifications to essential page
text elements for achieving satisfactory search engine placement.
      (1.6). Recommendations for improvement of page titles and meta tags for (n) site pages.
      (1.7). Hand submission of web site to major search engines.
      (1.8). Analysis and recommendations for external links to site.

These consulting services will include a maximum of (n) hours of billable time, based upon the mutually agreed
upon hourly rate of (n), including email and phone consultations, client education and tutoring, and research,
preparation and transmission of materials, documentation and information for implementation by the Client or by
the Web Developer of Client's choice.

All items delineated in items 1.1 through 1.8, as listed above, are included, and are based upon the site as-is at the
time services are begun.

Modifications independently made to pages by Client which can substantially affect and alter optimization of and
rankings for the site pages, without timely notification to Contractor, may result in duplication of work by
Contractor. Such altered pages will, therefore, no longer be considered part of the original agreement, and may be
billed separately in order for work to continue on the altered pages.

2. Payment. In consideration and for compensation of Contractor's performance of these services, Client agrees to
pay The Contractor the mutually agreed upon price of $000,000.00, to be performed on behalf Client for

www.example.com to be paid in full prior to commencement of services, by no later than <date>, either by U.S.P.S.
mail, or through PayPal.

Time to be invested above and beyond the mutually agreed upon above delineated maximum of (nn) hours of
billable time will be billed at the pre-arranged, mutually acceptable hourly rate of $000.00 per hour, and adequate

notice will be given when the maximum time allotment is being approached. Payment will be made within 7 days
of written notification/billing of payment being due for additional hours in order for work to continue.

3. Time Considerations. The term of this agreement is for a period of [ 4 months ] or [ 6 months ], with work
commencing after receipt by Contractor of the agreed upon payment, to be received no later than __/__/__.

Client understands that he may not hold Contractor responsible for failure of either himself or the Web Developer
of his choice to provide necessary materials, text and information, or to execute and/or implement recommended
modifications, or to implement in a timely fashion.

In the event that there is delay on the part of the Client or the Client's Web Developer in implementing
modifications, this period of service will be extended to 11:59 P.M., __/__/__.

4. Client Responsibility and Copyright Considerations. Client will supply Contractor with all text, documents and
other necessary materials, if applicable to the project, including but not limited to records pertaining to web site
traffic, for performance of agreed upon services. Client affirms that he is the full copyright owner of such materials,
or that he has obtained proper permission from the copyright owner(s) for use of such materials. Client will
indemnify Contractor and hold Contractor harmless against any claims of libel, copyright, or trademark
infringement brought against Contractor with respect to use of those materials.

5. Termination Provisions. Either Client or Contractor may, either individually or by mutual agreement, terminate
their working relationship by giving written notice to the other party.

Client and Contractor are in agreement that circumstances or conditions sometimes arise that warrant or
necessitate termination of the Client-Contractor working relationship. In view of this possibility, both Client and
Contractor agree that should the relationship terminate, it will be done so in an amicable fashion, maintaining an
attitude of cooperation and professional demeanor, with respect for the reputation and dignity of the other party.

If notice of termination is given by either Client or Contractor, no new work shall be initiated, but any work
previously authorized by Client up to the point of receipt by Contractor or Client of termination notice shall be
completed, and Client agrees to be responsible for prompt payment for such services to Contractor based upon
the mutually agreed upon hourly fee. These same terms will apply in the event that either Client or Contractor
should initiate termination.

6. Legal Venue. Any disputes arising from this Agreement will be litigated or arbitrated in (my county, my state).
This Agreement shall be governed in accordance with the laws of the State of (mystate), USA.

Service Agreement for Search Engine Optimization Services This Service Agreement is made on ____/____/______, between (____ name____), herein referred to as "Client", and (name), herein referred to as "Contractor", functioning in the capacity of an Independent Contractor, for Consulting Services to be rendered by Contractor on behalf of Client for the web site located at (sitename.com) for the purpose of achieving satisfactory Search Engine Rankings. The purpose of this Service Agreement is to precede a possible longer term, continuing working arrangement for performance of search engine optimization services which may be rendered by Contractor on behalf of Client. 1. Competitive analysis for main keywords/keyphrases. (1.3). Analysis of site architecture and linking structure. (1.4). Analysis of HTML and page design structure. (1.5). Recommendations for 1.1 through 1.4, above, as well as for necessary modifications to essential page text elements for achieving satisfactory search engine placement. (1.6). Recommendations for improvement of page titles and meta tags for (n) site pages. (1.7). Hand submission of web site to major search engines. (1.8). Analysis and recommendations for external links to site. These consulting services will include a maximum of (n) hours of billable time, based upon the mutually agreed upon hourly rate of (n), including email and phone consultations, client education and tutoring, and research, preparation and transmission of materials, documentation and information for implementation by the Client or by the Web Developer of Client's choice. All items delineated in items 1.1 through 1.8, as listed above, are included, and are based upon the site as-is at the time services are begun. Modifications independently made to pages by Client which can substantially affect and alter optimization of and rankings for the site pages, without timely notification to Contractor, may result in duplication of work by Contractor. Such altered pages will, therefore, no longer be considered part of the original agreement, and may be billed separately in order for work to continue on the altered pages. 2. Payment. In consideration and for compensation of Contractor's performance of these services, Client agrees to pay The Contractor the mutually agreed upon price of $000,000.00, to be performed on behalf Client for $0.00 www.example.com to be paid in full prior to commencement of services, by no later than <date>, either by U.S.P.S. mail, or through PayPal. Time to be invested above and beyond the mutually agreed upon above delineated maximum of (nn) hours of billable time will be billed at the pre-arranged, mutually acceptable hourly rate of $000.00 per hour, and adequate $0.00 notice will be given when the maximum time allotment is being approached. Payment will be made within 7 days of written notification/billing of payment being due for additional hours in order for work to continue. 3. Time Considerations. The term of this agreement is for a period of [ 4 months ] or [ 6 months ], with work commencing after receipt by Contractor of the agreed upon payment, to be received no later than __/__/__. Client understands that he may not hold Contractor responsible for failure of either himself or the Web Developer of his choice to provide necessary materials, text and information, or to execute and/or implement recommended modifications, or to implement in a timely fashion. In the event that there is delay on the part of the Client or the Client's Web Developer in implementing modifications, this period of service will be extended to 11:59 P.M., __/__/__. 4. Client Responsibility and Copyright Considerations. Client will supply Contractor with all text, documents and other necessary materials, if applicable to the project, including but not limited to records pertaining to web site traffic, for performance of agreed upon services. Client affirms that he is the full copyright owner of such materials, or that he has obtained proper permission from the copyright owner(s) for use of such materials. Either Client or Contractor may, either individually or by mutual agreement, terminate their working relationship by giving written notice to the other party. Client and Contractor are in agreement that circumstances or conditions sometimes arise that warrant or necessitate termination of the Client-Contractor working relationship. In view of this possibility, both Client and Contractor agree that should the relationship terminate, it will be done so in an amicable fashion, maintaining an attitude of cooperation and professional demeanor, with respect for the reputation and dignity of the other party. If notice of termination is given by either Client or Contractor, no new work shall be initiated, but any work previously authorized by Client up to the point of receipt by Contractor or Client of termination notice shall be completed, and Client agrees to be responsible for prompt payment for such services to Contractor based upon the mutually agreed upon hourly fee. These same terms will apply in the event that either Client or Contractor should initiate termination. 6. Legal Venue. Any disputes arising from this Agreement will be litigated or arbitrated in (my county, my state).
