Our client, a multi – billion conglomerate with diverse business interests in various industries, headquartered in
Singapore wanted to venture into Palm Oil Production and decided to expand production in new geographic
frontiers. Hence, they were keen on setting up entities in Belize, Ghana, Cameroon, Sierra Leone, Liberia, Ivory
Cost and Democratic Republic of Congo. With this in mind, they approached Intuit in 2010 for assistance in
setting up entities in seven countries.
ENGAGEMENT PLANNING:
We studied the requirements of the client and their intended nature of business. We advised them on the
suitable legal structure, licensing requirements, tax implications, international tax planning and the annual
compliances which were to be met.
BUSINESS SETUP:
We initiated the company formation process in the respective countries once all the necessary documents/
information required to complete the entire process was received from the client. We suggested suitable names
for the companies after performing a search of the companies already registered. An application was filed
registering the preferred name of the client. On receiving the approval of the preferred name, the
Memorandum of Association, Articles of Association and all other legal documents were drafted and filed with
the necessary forms and submitted at the Ministry in the respective countries.
POST-INCORPORATION COMPLIANCES:
The licenses necessary for doing business were applied post-incorporation. Constant updates were sent to the
client during the entire process of company formation and post-incorporation compliances. This comforted the
client with regard to the progress and development of their new companies and helped them to plan the next
steps in terms of investments and future plans.
REGISTERED OFFICE ADDRESS FACILITY:
A local address is required for the entities being registered. As the client did not have a local address at the time
of registration, they approached Intuit seeking advice to handle the situation. Understanding their position, we
provided registered office address facility to the client for the company formation purpose in all the countries.
NOMINEE SERVICES:
The entities in Ghana, Sierra Leone and Democratic Republic Congo require local director(s) / manager(s) /
secretary as a minimum requirement. The client informed us that they will be employing local people only once
the company was formed. Hence, we also provided the local directors / secretary to the client to facilitate the
formation of the entity until the company employed their own local personnel on settlement of our fees for the
same.

SUMMARY:
With team effort and our expertise we were able to setup companies in seven countries simultaneously. We
were the one point contact for our client for incorporation in all the countries. Checklists were made at every
stage to double ensure that all requirements were met correctly. Now, our client is conducting business at ease
in the respective countries and is positioning itself as an emerging global player in sustainably produced palm oil.
