Operating income as adjusted represents operating income adjusted to eliminate increased amortization of acquisition-related customer relationship intangible assets and
depreciation of property and equipment resulting from the going-private transaction (the quot;Transactionquot;). Operating income as adjusted is not a recognized term under
generally accepted accounting principles in the United States (U.S. GAAP). Operating income as adjusted does not represent operating income, as that term is defined under
U.S. GAAP, and should not be considered as an alternative to operating income as an indicator of our operating performance. Management believes that presentation of
operating income as adjusted is useful information to investors because we use such information when evaluating operating income to better evaluate the underlying
performance of the Company.
