2. REGISTRAR OF COMPANIES (ROC)
Registrar of Companies or ROC is a full time government
officer appointed by the Central Government in each
State.
He occupies an important position in the administration of
Companies Act.
They are field officers who deal directly with the
Companies registered or intended to be registered within
their territorial jurisdiction.
Their office is public office where companies are
required to file documents and returns and any person
may inspect them according to the provisions of law.
3. The Central Government may appoint such Registrars and
such Additional Joint Deputy and Assistant Registrar for
the Registration of Companies under the Act.
For example in the states of Maharashtra and Tamil Nadu
we have two ROCS - One in Mumbai and the other in Pune
in Maharashtra. In Tamil Nadu there is one ROC in Chennai
and the other in Coimbatore. The Salaries of these
officers shall be fixed by the Central Government.
Registrar of Companies may have his seal prepared as
directed by Central Government for the authentication of
documents under the Companies Act, 2013.
4. Note: The Central Government is the Supreme authority
responsible for the administration of Companies Act,
2013. Central Government has very wide powers under
this Act. Central Government acts through the Ministry of
Corporate Affairs. However since the Insolvency and
Bankruptcy Code, 2016 is in force, these powers of
Central Government have been withdrawn.
