Method Media is an event promotions and artist development agency that plans concerts, plays, fashion shows, and sporting events. It also provides artist booking, development, and promotion services. The company will be formed as an LLC to provide liability protection. Licensing and insurance requirements will be met to comply with regulations for the entertainment industry in North Carolina.

Method Media is an event, promotions and artist development agency. Our
event department plans, executes and host various events locally such as concerts,
plays, fashion shows and even sporting events. Method Media will provide live
entertainment such as dj’s, singers, dancers or even motivational speakers. In our
artist development department we work with artist on musicianship and stage
presence. We provide artist booking after completion of artist development
requirements and proof of growth. We provide talents with tools for continued
development such as studio time, production of an artist’s music and videos and/or
even bookings for live performances. The promotion department focuses on
advertising such as graphic design, website development and merchandising along
with marketing strategies for both Method Media and any clients that we may be
representing. I am starting this company because live entertainment has been my
passion since childhood, coming from an extensive entertainment background I will
be able to lead clients into making the best decisions personally and professionally.
With a competitive dance background I understand the formula of surviving in an
unforgiving, ever changing industry. My credentials make me the best candidate for
molding entertainers into real life starts who will have promising careers!
Method media will be set up as an L.L.C., the reason I am using this business
entity is because Method Media is a start-up company and this type of entity will
have the best protection for the business. This is my first attempt at launching a
business and I am 100% sure mistakes will be made. I want to have the best
protection if and when errors arise. An L.L.C. will provide separation between
personal and company assets, which allows for the type of legal protection I want.
Some advantages of starting this company, as an L.L.C. is that it limits liabilities for
members, there is flexible management, flow thru taxation and great flexibility in
the capacity of allocating profits and losses to members. Some of the disadvantages
we may face by setting up the company as an L.L.C. may be ones such as
transferability restrictions, reduced asset protection for single owned L.L.C’s and the
possibility of the IRS going after personal assets of owners for overdue federal and
state business taxes.
Since business will be conducted in Charlotte, NC most employees and myself
will need an agent license because we will represent prevalent talents. In order to
obtain these licenses we must submit affidavits of character, provide sample
contracts and fees and meet certain bonding requirements. In addition we will be
providing services to talents, so we will need a service license as well as business
license. An EIN number is already in place for the Method Media; this will be used
for tax administration. We will need permits for our outdoor concerts, festivals and
different activities considering Method Media is a multifaceted entertainment
company. Even though Method Media is being formed as an L.L.C., we still need to be
protected from any financial liabilities. Certain types of insurances necessary will be
general liability that can cover both the LLC and its members. A policy with enough

coverage can be used to pay damages and even shield a member’s house, bank
accounts and other assets. I will make sure property and renters insurance is in
place. You don’t hope for the worst, your prepare for the worst and just in case of
any natural disasters or damages done to the property we want to have an adequate
policy and be protected for items which may be priced higher down the line. These
insurances protect structure, equipment, computers and valuables, all in all these
types of policies would cover content within the leased or rented space we use to
conduct the business. Obtaining a business interruption insurance policy, which
provides loss of income if we have to cease operations over a period of time, is also
vital. Lastly, for the protection of the employee’s, a workers compensation insurance
policy would also be put in place. I want to protect the employees while they are
working on production of anything here at Method Media. I anticipate a lot of
physical activity in this business for example; construction, build up and break
downs of events where employees may experience a lot of lifting, pulling and
pushing. As the owner it is my duty to make sure everyone and everything affiliated
with the business is covered, as we all know, accidents happen. Employees
conducting any physical labor on the job will also sign a general release contract
upon employment.
A commercial lease will be necessary to ensure an agreement of the
occupancy of the workspace and how the workspaces can and should be used. The
commercial lease will also provide the information on termination of lease,
escalation clause, expected move in date, condition of property at time of move in,
how taxes will be addressed and any other cost associated with the lease. Many
contracts will be drawn up, some already made and some will have to be put in
place as the business expands. There will be different contracts for different
departments, for example; our event department will have contracts such as
entertainment management contracts, publicity agreements, agency agreements
and sometimes vendor agreements. Certain departments wont need certain license
to operate. The artist development department may consist of, artist publicity
agreements, co production and collaboration agreements and agency agreements.
The promotion department may use some of the same contracts but may have their
own separate contracts such as promoter and promotion contracts. However, no
matter what services we provide to the talent, each person affiliated must sign a
non-disclosure/confidentiality agreement.
Method media will employ as well as collaborate with like-minded
individuals who have experience in the entertainment industry. An operating
agreement will be put in place, the operating agreement will define aspects of the
business such as how business is divided among members, how decisions will be
made and what will ultimately happen if a member walks away from the company.
The operating agreement is very important because it separates the business from
any personal assets and most importantly outlines what will happen to the business
if anything was to happen to me, the owner. Having a lawyer is something I will not

launch this business without. Double-checking the contracts that I have made,
helping me precisely put contracts into place and checking for loopholes in any
contracts is essential to running my business. Any contracts that Method Media will
have to sign when doing business with other companies will be looked over by my
lawyer as well, simply for review and a better understanding as to what I am signing
for.
From an investor I am looking for $250, 000 and will provide my investor
with 15% ownership of the company. The money provided from the investor would
be used for start-up cost which may consist of but are not limited to purchasing the
workspace, production gear, employees and crew, marketing materials and
insurance and licensing. As an entertainment business major and former entertainer
I am confident about this company. I have worked in and around the entertainment
industry since the age of 5 years old. I come from a family with a musical
background and future. My potential and first clients will be family/colleagues that
I already have entertainment business relationships established with. With the help
of an investor I will be able to launch my entertainment company fully and get the
additional business expertise that can make this company very successful in the
long run.
