Definition of P2P Lending
- the offering of loan requests and a matching
process which are done through an online
platform; and
- an asset-keeping arrangement in which funds are
kept with a third party, with the P2P platform
operator managing the transfer of funds between
lenders and borrowers.
- Subject to regulations issued by the BOT and the
MOF, P2P Lending platform operators must not
receive or hold any assets, funds, or collateral of
the lenders or the borrowers.

• ไม่เป็นผู้ประกอบธุรกิจ P2P Lending Platform
• ไม่เป็นกรรมการ ผู้มีอานาจในการจัดการ หรือผู้ถือหุ้นรายใหญ่ ของผู้ประกอบ
ธุรกิจ P2P Lending Platform หรือผู้ที่เกี่ยวข้องกับบุคคลดังกล่าว
• ผู้ประกอบธุรกิจ P2P Lending Platform ต้องตรวจสอบคุณสมบัติของผู้กู้ตาม
สมควร เช่น การจัดให้ผู้กู้รับรองตนเอง (self-declaration) ว่าผู้กู้ไม่ได้รับสินเชื่อ
ประเภทเดียวกันหรือโครงการเดียวกันอยู่ก่อนแล้วเกินกว่าที่กาหนด หรืออ้างอิง
ข้อมูลเครดิตจากบริษัทข้อมูลเครดิต
คุณสมบัติผู้ให้กู้ ประเภทและวงเงินสินเชื่อ

• ในกรณีที่กรรมการ หรือผู้มีอานาจในการจัดการของผู้ประกอบธุรกิจ P2P Lending Platform
หรือผู้ที่เกี่ยวข้องกับบุคคลดังกล่าวเป็นผู้ให้กู้ด้วย สามารถให้กู้ได้ไม่เกินร้อยละ 10 ของมูลค่า
สินเชื่อรวมในแต่ละสัญญา
• ผู้ให้กู้ซึ่งเป็นผู้ลงทุนสถาบัน กิจการร่วมลงทุน นิติบุคคลร่วมลงทุน หรือผู้ลงทุนที่มี
ลักษณะเฉพาะ ตามประกาศคณะกรรมการกากับตลาดทุนว่าด้วยการเสนอขายหลักทรัพย์
ผ่านระบบคราวด์ฟันดิง สามารถให้สินเชื่อได้โดยไม่จากัดจานวน
• ผู้ให้กู้นอกเหนือจากประเภทข้างต้น ต้องมีมูลค่าการให้สินเชื่อผ่านผู้ประกอบธุรกิจทุกราย
รวมกันไม่เกิน 500,000 บาท ในรอบ 12 เดือน
ประเภทและวงเงินสินเชื่อ
1. สินเชื่อที่มิได้มีวัตถุประสงค์เพื่อนาไปใช้ในการประกอบอาชีพ
วงเงินสินเชื่อ
• ผู้กู้มีรายได้หรือมีกระแสเงินสดหมุนเวียนโดยเฉลี่ยน้อยกว่า 30,000 บาทต่อ
เดือน ผู้กู้สามารถได้รับวงเงินสินเชื่อได้ไม่เกิน 1.5 เท่าของรายได้เฉลี่ยต่อ
เดือน
• ผู้กู้มีรายได้หรือมีกระแสเงินสดหมุนเวียนโดยเฉลี่ยตั้งแต่30,000 บาทต่อ
เดือนขึ้นไป ผู้กู้สามารถได้รับวงเงินสินเชื่อได้ไม่เกิน 5 เท่าของรายได้เฉลี่ยต่อ
เดือน
• ผู้กู้ได้รับสินเชื่อที่มิได้มีวัตถุประสงค์เพื่อนาไปใช้ในการประกอบอาชีพอยู่แล้ว
3 แห่งในปัจจุบัน จะไม่สามารถขอสินเชื่อผ่าน P2P Platform ได้อีก
2. สินเชื่อเพื่อนาไปใช้ประกอบอาชีพหรือโครงการธุรกิจทั้งที่มีหลักประกันและไม่
มีหลักประกัน และสินเชื่ออื่นที่มีประกันหรือหลักประกัน เช่น สินเชื่อแฟ็กเตอริง
วงเงินสินเชื่อ
• ไม่เกิน 50 ล้านบาท และในกรณีที่มีสินทรัพย์เป็นประกันหรือหลักประกัน ต้อง
มีการพิจารณาอัตราส่วนการให้สินเชื่อต่อสินทรัพย์หรือหลักประกัน (loan to
value) ที่เหมาะสม
• ในกรณีที่ผู้กู้สินเชื่อเพื่อนาไปใช้ประกอบอาชีพหรือโครงการธุรกิจที่ได้รับอนุมัติ
วงเงินกู้บางส่วนจากแหล่งเงินกู้อื่นอยู่แล้วในปัจจุบัน และต้องการวงเงินกู้
เพิ่มเติมในส่วนที่ขาด หรือต้องการวงเงินกู้เพิ่มเพื่อขยายธุรกิจ สามารถขอกู้
ผ่าน P2P Lending Platform เพิ่มได้ โดยวงเงินที่ได้รับอนุมัติต้องเป็นไปตาม
ความสามารถในการชาระหนี้ของผู้กู้ และผู้กู้ต้องเปิดเผยวงเงินและมูลค่า
สินเชื่อทั้งหมดของโครงการที่ได้รับอยู่ก่อนแล้ว
อัตราดอกเบี้ย
ต้องไม่เกินอัตราตามที่ประมวลกฎหมายแพ่งและพาณิชย์กาหนด

แปลงสินทรัพย์เป็นหลักทรัพย์ หุ้นกู้ด้อยสิทธิ หุ้นกู้ที่มีอนุพันธ์แฝง หรือหุ้นกู้ที่ครบกาหนดไถ่ถอนเมื่อมีการเลิก

• On 22 May 2019, the the Electronic Transaction Act No. (4), B.E. 2562 (2019)
that is the latest Amendments to Electronic Transaction Act was published in the
Royal Gazette (the “New ETA”). The New ETA introduces the new concept of
digital ID and digital ID system (“Digital ID concept”).
• the New ETA recognizes proofing and authentication of digital identity made via
electronic means. This allows for the electronic verification of identity, without the
need to repetitively and physically undertake the traditional KYC.
• In a case as prescribed in the New ETA (e.g. necessity for financial and
commercial security), a Royal Decree can be issued at a later stage to require
the Digital ID system service provider to obtain a prior license before operation.

การจับคู่หรือหาคู่สัญญาให้ หรือการจัดระบบหรืออานวยความสะดวกให้ผู้ซึ่งประสงค์จะซื้อ
ขายหรือแลกเปลี่ยนสินทรัพย์ดิจิทัลสามารถทาความตกลงหรือจับคู่กันได้ โดยกระทาเป็นทาง
ค้าปกติ แต่ทั้งนี้ ไม่รวมถึงศูนย์กลางหรือเครือข่ายในลักษณะที่คณะกรรมการ ก.ล.ต.

• บุคคลซึ่งให้บริการหรือแสดงต่อบุคคลทั่วไปว่าพร้อมจะให้บริการเป็นนายหน้าหรือตัวแทน
เพื่อซื้อขายหรือแลกเปลี่ยนสินทรัพย์ดิจิทัลให้แก่บุคคลอื่นโดยกระทาเป็นทางค้าปกติและ
ได้รับค่าธรรมเนียมหรือค่าตอบแทนอื่น แต่ไม่รวมถึงการเป็นนายหน้าหรือตัวแทนในลักษณะ
ที่คณะกรรมการ ก.ล.ต. ประกาศกาหนด
นายหน้าซื้อขายสินทรัพย์ดิจิทัล
• บุคคลซึ่งให้บริการหรือแสดงต่อบุคคลทั่วไปว่าพร้อมจะให้บริการซื้อขายหรือแลกเปลี่ยน
