Two main factors have prepared companies well for this,
and AFS has been at the center of both:

Ÿ A model that is non-asset-based and non-asset biased.
The flexibility of that model is key – not limited to assets
that you own, and you can use data to respond quickly and
ensure that the solutions brought to customers have no bias
toward owned assets and match the situation at hand. It is
about being able to respond promptly and offer a seamless
experience to customers.
One of AFS's retail clients relied on the same carrier to
deliver most of their parcels for over 20 years. However,
during the COVID-19 pandemic, service issues began to
arise when online shopping increased and shipping capacity
was limited.
In this situation, AFS helped the retailer switch to another
carrier with competitive pricing– offering the chance to
address service and capacity issues. Moreover, the AFS
team negotiated a contract that created a 14% reduction in
overall parcel spend for their client.

When asked about the future scaling plans for AFS, CEO

ne of the most important
corporate governance trends
over the last decade has been
the increasing focus on
environmental, social, and governance
(“ESG”) considerations and issues.
The focus on corporate policies and
practices relating to ESG has
increasingly intensified as the global
community has dealt with the impact
of the COVID-19 pandemic.
Shareholders and other key
stakeholders—including institutional
investors, regulators, proxy advisors,
employees, and customers—have
increased their scrutiny on the ESG
performance of companies.
To date, ESG considerations have not
had an outsized impact on M&A
activity. Nevertheless, according to a
recent survey of M&A executives by
Bain & Company for their 2022 M&A
Report, dealmakers expect an
increasing focus on ESG in
acquisitions in the near future.
From diligence to valuation to post-
closing integration, ESG is likely to
take on an increasingly important role
in how dealmakers view, structure,
and consummate transactions. We
began to see this in 2021 as ESG
considerations started to take on an
ever-greater role, becoming a catalyst
M&A. For many of these businesses,
sustainability has become a hallmark
of their respective acquisition
strategies.
In April 2021, Olam International, the
Singapore-based agri-food business,
agreed to purchase U.S. spices and
seasonings business Olde Thompson
from private equity firm Kainos
Capital for $950 million.
In connection with the deal, Olam
touted how Olde Thompson would
help it continue to deliver sustainable,
natural, value-added food. Notably,
Olde Thompson's facilities utilize
solar panels to provide 75% of its
energy requirements.
Even special purpose acquisition
companies (“SPACs”) began to
consider ESG with an increased focus
on “clean” or “green” deSPAC targets.
Many were targeted by SPACs with
investment mandates to pursue targets
in areas including clean energy,
renewables, and sustainability.
Numerous SPACs reached agreements
in 2021, including smart energy
storage company Stem's April merger
with a clean energy-focused SPAC
and electric charging network
company EVgo’s July merger with a
climate-focused SPAC.
for M&A transactions and changes in
the boardroom across numerous
sectors.
One particular example of greater
scrutiny of ESG performance is Royal
Dutch Shell. In May 2021, a Dutch
court ordered Shell to reduce its CO2
emissions by 45% by 2030.
The ruling, which was in response to a
2019 lawsuit brought by certain
international public interest groups,
including Greenpeace, would
accelerate Shell's already ambitious
climate goals, which previously
targeted reducing CO emissions 20%

by 2030, 45% by 2035, and 100% of
2050.
As a consequence of the court's
ruling, Shell, through its renewable
unit Shell New Energies U.S.,
announced the planned acquisition of
clean energy company Inspire Energy
Capital. The deal, which closed in
September, is expected to accelerate
Shell’s mission to drastically reduce
CO2 emissions and promote clean
energy amongst its customers and
suppliers.

American, Native Hawaiian, Alaska
Native, or LGBT by the end of 2022).
As the legislative and regulatory
landscape continues to evolve, it is
important for the Board to closely
monitor ESG-related legal
developments to ensure that the
company's policies, practices, and
disclosures comply with legal
requirements.
Shareholder activism activity has
fluctuated since the beginning of the
pandemic. While 2020 was a
relatively quiet year for shareholder
activists, shareholder activism picked
up speed in 2021.
By August of 2021, activists launched
185 campaigns in the U.S., surpassing
the campaigns launched during the
same time period in 2020 by 28% and
rebounding to pre-pandemic levels.
While shareholder activist campaigns
have historically focused on financial
performance, activists are turning
their attention to ESG considerations.
Consumers are also more focused on
ESG issues than ever. PwC's 2021
Consumer Intelligence Series revealed
that 83% of consumers think
companies should be actively shaping
ESG best practices, and ESG
commitments are driving consumer
purchasing and employee
engagement.
The PwC series also revealed that
consumers take a holistic view of
ESG issues, noting that 76% of
consumers surveyed agreed that they
would discontinue their relationships
with companies that treat the
environment, employees, or the
community in which they operate
poorly.
Customers also expect that the
companies with which they engage
will react in real-time to social issues,
including commenting on social
justice issues relating to current issues
on social media and other platforms.
Ey’s Future Consumer Index reported
that 58% of respondents noted that
companies must be transparent about
their social impact, and 63% agreed
that a company's behavior is as
important as what it sells.
Younger consumers are particularly
interested in seeing company actions
(rather than public statements) related
to sustainability; 40% of Gen-Z and
nearly 50% of millennials in the same
survey noted that they consider a
brand's demonstrable commitments to
DEI in their purchasing decisions.
But for each ESG-centric SPAC that
announced a merger in 2021, there are
countless others that continue to
search for an appropriate target to
bring public, suggesting that the push
to bring ESG-focused companies to
the public markets will continue in
2022 and beyond.
ESG issues have been an increasingly
important part of the political
discourse in the U.S., and in the past
year, U.S. Federal and state
lawmakers, regulators, and quasi-
regulatory entities have continued to
focus on corporate ESG. In part due to
recent headline events, these efforts
have intensified around issues such as
racial inequality, social justice, and
the climate crisis.
At the U.S. Federal level, the Biden
Administration has focused on climate
change, diversity, equity and inclusion
(“DEI”), and human capital
management (HCM).
For example, during his first months
in office, President Biden signed the
“Climate-Related Financial Risks”

Logistikos! A term coined in ancient Greece was
referred to identifying the process of computing
military activity. It was back then known to be an
art of moving, quartering, and supplying troops. In this
ancient time of war and economic imbalance, logistics was
thought to be a military term, all to do with procurement,

With changing tides of the world's economies, the term

your company riding the technology

The Air Logistics industry was often
considered less glamorous under the
belly operations of an Airline whilst
the passenger side is classier. However,
during a pandemic when the global
travel came to halt and airlines were
struggling to stay afloat it was the Air
logistics that’s kept the airlines
operating and is now at the forefront of
digitalization, and Air cargo [logistics]
is one of the key growth drivers for an
airline to remain competitive.
e-CARGOWARE was born in the
cloud and we constantly innovate and
stay ahead of our competition. In
addition, we being an independent,
agile, and innovative digital partner, it
was an obvious choice for our

  • 30. O ne of the most important corporate governance trends over the last decade has been the increasing focus on environmental, social, and governance (“ESG”) considerations and issues. The focus on corporate policies and practices relating to ESG has increasingly intensified as the global community has dealt with the impact of the COVID-19 pandemic. Shareholders and other key stakeholders—including institutional investors, regulators, proxy advisors, employees, and customers—have increased their scrutiny on the ESG performance of companies. To date, ESG considerations have not had an outsized impact on M&A activity. Nevertheless, according to a recent survey of M&A executives by Bain & Company for their 2022 M&A Report, dealmakers expect an increasing focus on ESG in acquisitions in the near future. From diligence to valuation to post- closing integration, ESG is likely to take on an increasingly important role in how dealmakers view, structure, and consummate transactions. We began to see this in 2021 as ESG considerations started to take on an ever-greater role, becoming a catalyst M&A. For many of these businesses, sustainability has become a hallmark of their respective acquisition strategies. In April 2021, Olam International, the Singapore-based agri-food business, agreed to purchase U.S. spices and seasonings business Olde Thompson from private equity firm Kainos Capital for $950 million. In connection with the deal, Olam touted how Olde Thompson would help it continue to deliver sustainable, natural, value-added food. Notably, Olde Thompson's facilities utilize solar panels to provide 75% of its energy requirements. Even special purpose acquisition companies (“SPACs”) began to consider ESG with an increased focus on “clean” or “green” deSPAC targets. Many were targeted by SPACs with investment mandates to pursue targets in areas including clean energy, renewables, and sustainability. Numerous SPACs reached agreements in 2021, including smart energy storage company Stem's April merger with a clean energy-focused SPAC and electric charging network company EVgo’s July merger with a climate-focused SPAC. for M&A transactions and changes in the boardroom across numerous sectors. One particular example of greater scrutiny of ESG performance is Royal Dutch Shell. In May 2021, a Dutch court ordered Shell to reduce its CO2 emissions by 45% by 2030. The ruling, which was in response to a 2019 lawsuit brought by certain international public interest groups, including Greenpeace, would accelerate Shell's already ambitious climate goals, which previously targeted reducing CO emissions 20% 2 by 2030, 45% by 2035, and 100% of 2050. As a consequence of the court's ruling, Shell, through its renewable unit Shell New Energies U.S., announced the planned acquisition of clean energy company Inspire Energy Capital. Shareholder activism activity has fluctuated since the beginning of the pandemic. While 2020 was a relatively quiet year for shareholder activists, shareholder activism picked up speed in 2021. By August of 2021, activists launched 185 campaigns in the U.S., surpassing the campaigns launched during the same time period in 2020 by 28% and rebounding to pre-pandemic levels. While shareholder activist campaigns have historically focused on financial performance, activists are turning their attention to ESG considerations. Consumers are also more focused on ESG issues than ever. PwC's 2021 Consumer Intelligence Series revealed that 83% of consumers think companies should be actively shaping ESG best practices, and ESG commitments are driving consumer purchasing and employee engagement. The PwC series also revealed that consumers take a holistic view of ESG issues, noting that 76% of consumers surveyed agreed that they would discontinue their relationships with companies that treat the environment, employees, or the community in which they operate poorly. Customers also expect that the companies with which they engage will react in real-time to social issues, including commenting on social justice issues relating to current issues on social media and other platforms. Ey’s Future Consumer Index reported that 58% of respondents noted that companies must be transparent about their social impact, and 63% agreed that a company's behavior is as important as what it sells. Younger consumers are particularly interested in seeing company actions (rather than public statements) related to sustainability; 40% of Gen-Z and nearly 50% of millennials in the same survey noted that they consider a brand's demonstrable commitments to DEI in their purchasing decisions. But for each ESG-centric SPAC that announced a merger in 2021, there are countless others that continue to search for an appropriate target to bring public, suggesting that the push to bring ESG-focused companies to the public markets will continue in 2022 and beyond. ESG issues have been an increasingly important part of the political discourse in the U.S., and in the past year, U.S. Federal and state lawmakers, regulators, and quasi- regulatory entities have continued to focus on corporate ESG. In part due to recent headline events, these efforts have intensified around issues such as racial inequality, social justice, and the climate crisis. At the U.S. Federal level, the Biden Administration has focused on climate change, diversity, equity and inclusion (“DEI”), and human capital management (HCM).
