1. The
parties
consent
to
electronic
communication.
2. This
expression
of
interest
is
not
a
contract,
and
neither
party
intends
that
these
preliminary
understandings
represent
their
agreement
about
the
transaction
being
discussed.
3. The
preliminary
understandings
expressed
in
this
expression
of
interest
are
subject
to,
and
conditional
on,
the
negotiation
and
execution
of
a
definitive
and
final
contract.
4. Either
party
is
free
to
withdraw
from
the
negotiations
of
the
transaction
described
in
this
expression
of
interest
prior
to
the
execution
of
any
definitive
and
final
contract
without
liability
or
obligation
to
the
other
party.
5. Either
party
is
free
to
enter
into
negotiations
with
other
potential
contract
partners
in
connection
with
the
transaction
described
in
this
expression
of
interest.
6. Each
party
will
be
responsible
for
its
own
expenses
prior
to
the
execution
of
definitive
and
final
contract
and
any
actions
taken
by
other
parties
in
reliance
on
the
preliminary
agreements
expressed
in
this
letter
will
be
at
that
party’s
own
risk.
7. This
expression
of
interest
is
not
an
agreement
to
negotiate.
The
parties
do
not
intend
to
be
obligated
to
use
their
best
endeavours
or
to
reach
agreement
on
the
definitive
and
final
contract
described

to

in
good
faith
to
reach

CONTRACT
TERMS

The
contract
will
be
subject
to

conditional
upon
the
buyer
having
14
days
from
the
date
that
the
buyer
receives
the
franchisee’s
franchise
agreement
and
the
franchisor’s
disclosure
document
to
review
and
seek
advice
from
their
solicitor
regarding
these
documents.
Mandatory
The
contract
will
be
subject
to
and
conditional
upon
the
franchisor
giving
consent
to
the
assignment
of
the
franchise
agreement
to
the
buyer.
