Descriptive information. As a start, try to find:
 Purchase price information (if the transaction is an acquisition). Note that an announced purchase
price may be an enterprise value or an equity value
 Equity amount invested (if the transaction is a minority stake investment)
 Information about deal structure
o Payment type (cash, stock)
o Earn-out structure
o Other equity investor participation
o Lender participation
o Management participation
o Any other transactions that will be completed as part of the deal
 Information about the target company’s financials (possibly revenue, EBITDA)
 Past transactions in which the target company has engaged (previous equity or debt transactions)
 Information about the acquirer/investor
 Information about the target company’s business model and/or industry area

special project discussions will be a good learning experience
 Feel free to use any terms and analytical tools from the training modules and textbook
 You may want to put together some kind of document to help you present information during the
conference call-- even just a few bulletpoints would be fine
 You will likely be presenting your material to just one or two of us at the firm
