Mr. Brendon Urie
Lead Vocalist
Panic! At The Disco
Los Angeles, CA, 90036
Dear Mr. Urie:
We are Riot! Records and we believe that every great artist should possess a great manager by their side.
Managers are the most important people in an artist’s professional career. Our managers strive to expand their
artists’ careers to the maximum potential. They do whatever is necessary to further an artist’s career and to
build them a constant revenue stream. That is why our managers are the best in the city. Our A&R
representative, Jennifer DeNisco brought to us your song “Hallelujah” and we believe that this is just the music
we have been searching for.
Riot! Records would like to propose a management deal with you and your band, Panic! At The Disco. Here is a
deal memo of what we are prepared to offer.
o Compensation: The MANAGER is paid $50,000 salary plus commission on 15% of the ARTIST’S
gross income excluding songwriting
o Term & Territory: The management contract is valid throughout the world for 5 album cycles
o Sunset Clause: The MANAGER is paid 15% gross commission on records recorded and released
during the term of contract for a period of 3 years after the term of contract.
o Exclusivity Clause: The ARTIST will only work with one MANAGER provided by Riot! Records
during the term of contract.
o Power of Attorney: The ARTIST is to sign all agreements. In the case that the ARTIST cannot sign
their agreements, the MANAGER is to get verbal approval from the ARTIST to sign for the ARTIST.
We here at Riot! Records are excited to have you and your band Panic! At The Disco join our roster. We look
forward to working with you. Please respond within 30 days. If a response is not received after 30 days, the deal
memo will be terminated.
Sincerely,
Deborah C. Studebaker
CEO of Riot! Records
