45. Distributorship Guidelines & Requirements Appointment Criteria To be considered for distribution, distributors must meet the following criteria: Sales and technical capability to create demand, market, sell, distribute, recommend and maintain AirQua products Commitment to superior customer service and satisfaction Commitment to technical competence (prior knowledge and experience in HVAC and/or water equipment will be advantageous) Ability to maintain inventory of stock and spares Financial capacity to meet the above criteria

65. Pricing Policy All Distributors must observe the pricing policy strictly and adjust the price for end customers set by AridTec in the predetermined price range. (±8% of RSP) Breaking the price range or sell products out of own territory is not allowed, and will face: Termination of cooperation A recommended list price for each assigned territory will be provided The average profit margin ranges from 15% to 65% per unit Distributorship Guidelines & Requirements
66. Pricing Policy Residual income from filter replacement package ranges from 20% to 80% per package Residual income from product maintenance contract Special pricing or discount can be set for approved promotion campaign. Distributorship Guidelines & Requirements

Settlement Policy Master Distributors and Dealers must stock inventory and parts Value of stocking products must be paid when purchasing Advance or cash payment is required Letter of Credit or other credit terms must be negotiated on a case by case basis. 71. Distributorship Guidelines & Requirements Marketing Campaigns AridTec will provide distributors with marketing collateral such as brochures, banners, flyers and sales DVD. Distributors who need extra literatures or materials should file an application and pay corresponding expenses. Electronic documents will be delivered to distributors. Modifications, in full or in part, are subject to approval. AridTec hold product introduction meetings internationally to visualize the competitive advantages of our products with real samples and slides. Distributors may invite their customers to attend them.

Distributorship Guidelines & Requirements Marketing Campaigns AridTec to assess, with cost considerations, individual markets and determine relevant marketing plan – e.g. road show, Above-The-Line advertising etc AridTec to establish % of gross margins to be committed to marketing spend for territory. AridTec to work with Main Distributor on marketing mix considerations to determine suitability of marketing plan – 5 Ps : People, Place, Promotion, Product, Price

Distributorship Guidelines & Requirements Distribution Policy Master/Exclusive Distributor To agree with AridTec on suitable retail lines consisting minimum number of retail outlets at a national level To source minimum 02 x sub-distributor as well as Dealer-lines Sub Distributor To agree with Master/Exclusive Distributor on managing/ developing suitable Dealer-lines consisting minimum number of retail outlets at a local level To source minimum number of retail outlets as agreed with main distributor

Distributorship Guidelines & Requirements Routine Reports Required Distributors should provide AridTec detailed routine reports which includes: Month/Quarter till date Sales, and Projected Sales forecast To enable stock and material planning by AridTec To be submitted within 5 days at the end of each sales month Publicity and promotion report on a quarterly basis Market development report/plan on a yearly basis Machine fault/troubleshooting list on a monthly/quarterly basis

Principal Support Sampling Stage Support For Distributors in the Sampling Stage, upon purchase of sample quantity (at retail price), AridTec will dispatch a sales person timed to arrive with the samples. This will greatly speed up distributorship discussions and will save sampling stage distributors the expense having to travel. Letters of Intent (lasting 30 days) can be signed during the sampling stage to protect potential distributors’ interests during the market evaluation process.
83. Principal Support International Certification Standards Support All AridTec Consumer Series of Products will be subject to the following certifications CE Certification CB Certification Distributors need not pay for the expensive international CE certification tests. However should there be local tests requirements, distributors are required to pay for the costs. Note: Commercial Series of AirQua are exempt from CE certification
84. Principal Support Warranty Scheme The following are the standard warranty schemes offered by AridTec: Consumer Series - 1 year on parts / 2 years on compressor Commercial Series - 2 years on parts / 2 years on compressor Military Series - 3 years on parts / 3 years on compressor While AridTec tries to keep inventory of all parts, it may not be possible if it is discontinued. In such instances, suitable replacement parts will be advised. Note: For tender projects which requires long term holding of spares, distributor must inform AridTec in advance.
85. Principal Support Warranty Scheme In the event of a warranty claim, Distributors will have to notify AridTec of specific machine fault with accompanying pictures indicating the fault AridTec will issue a credit note for replacement unit to be sent out during next shipment AridTec will not be liable for any shipping fees incurred as a result of a warranty call Note: Samples units do not qualify for warranty support
86. Principal Support Technical Competency Training AridTec will provide training to Distributor’s sales and maintenance staff The training will be held in Singapore and it encompass: Identifying and isolating causes of errors Error rectification Maintenance and replacement of filtration system Technical Checklist Sales, product training and understanding All related costs arising from training of the staff such as transportation, accommodation, etc will be borne by distributors
87. Principal Support Email and Hotline Enquiry AridTec will provide email and hotline support for basic queries and troubleshooting to customers in English from 10am (GMT+8) till 5pm (GMT+8) Distributors speaking foreign languages and based in different time zones are encouraged to set up their own customer support centre. Website and Email Domains AridTec will allow Master Distributors to being hosted together on the main airqua.com domain and Distributors the use of the airqua.com domain emails.
88. Principal Support Marketing Peripherals and Collateral AridTec will provide master copies of brochure designs in an editable format to Distributors. Distributors are encouraged to visit the AirQua Distributor Download page for new downloads. AridTec will not provide translation services for marketing collateral. Updated Literature/Press Releases AridTec will assist Distributors in releasing information to the World Wide Web via its website and also press releases. Distributors are required to provide skeleton information of news-worthy achievements and the information will be published by AridTec.
90. Incentives Incentives will be provided based on case to case basis, and will be subjected to final confirmation from us. Some of the incentives we can work on are: Remunerative: Rebates, upon minimum obligations met and subject to review every quarterly, either monetary or non-monetary. Moral: Distributor will be invited to Singapore once a year for update of our latest technology, latest market information, as well as general directions for the next year. All expenses, including lodging, food and air tickets will be paid for. Share Pogram: Upon meeting obligations, Distributor can opt for share I ncentives program of the company, whereby, they can grow together with the company.
91. Incentives Incentives will be provided based on case to case basis, and will be subjected to final confirmation from AridTec. Some of the possible incentives are: Experimental: Experimental incentives are meant to create once in a lifetime experience tailored to Distributors upon meeting obligations. It will be revealed when the dates are near, to the Distributors fancy.
