Memorandum Of Association Constitution of Company.pptseri bangash
www.seribangash.com
A Memorandum of Association (MOA) is a legal document that outlines the fundamental principles and objectives upon which a company operates. It serves as the company's charter or constitution and defines the scope of its activities. Here's a detailed note on the MOA:
Contents of Memorandum of Association:
Name Clause: This clause states the name of the company, which should end with words like "Limited" or "Ltd." for a public limited company and "Private Limited" or "Pvt. Ltd." for a private limited company.
https://seribangash.com/article-of-association-is-legal-doc-of-company/
Registered Office Clause: It specifies the location where the company's registered office is situated. This office is where all official communications and notices are sent.
Objective Clause: This clause delineates the main objectives for which the company is formed. It's important to define these objectives clearly, as the company cannot undertake activities beyond those mentioned in this clause.
www.seribangash.com
Liability Clause: It outlines the extent of liability of the company's members. In the case of companies limited by shares, the liability of members is limited to the amount unpaid on their shares. For companies limited by guarantee, members' liability is limited to the amount they undertake to contribute if the company is wound up.
https://seribangash.com/promotors-is-person-conceived-formation-company/
Capital Clause: This clause specifies the authorized capital of the company, i.e., the maximum amount of share capital the company is authorized to issue. It also mentions the division of this capital into shares and their respective nominal value.
Association Clause: It simply states that the subscribers wish to form a company and agree to become members of it, in accordance with the terms of the MOA.
Importance of Memorandum of Association:
Legal Requirement: The MOA is a legal requirement for the formation of a company. It must be filed with the Registrar of Companies during the incorporation process.
Constitutional Document: It serves as the company's constitutional document, defining its scope, powers, and limitations.
Protection of Members: It protects the interests of the company's members by clearly defining the objectives and limiting their liability.
External Communication: It provides clarity to external parties, such as investors, creditors, and regulatory authorities, regarding the company's objectives and powers.

Binding Authority: The company and its members are bound by the provisions of the MOA. Any action taken beyond its scope may be considered ultra vires (beyond the powers) of the company and therefore void.
Amendment of MOA:
While the MOA lays down the company's fundamental principles, it is not entirely immutable. It can be amended, but only under specific circumstances and in compliance with legal procedures. Amendments typically require shareholder

Enterprise Excellence is Inclusive Excellence.pdfKaiNexus
Enterprise excellence and inclusive excellence are closely linked, and real-world challenges have shown that both are essential to the success of any organization. To achieve enterprise excellence, organizations must focus on improving their operations and processes while creating an inclusive environment that engages everyone. In this interactive session, the facilitator will highlight commonly established business practices and how they limit our ability to engage everyone every day. More importantly, though, participants will likely gain increased awareness of what we can do differently to maximize enterprise excellence through deliberate inclusion.
What is Enterprise Excellence?
Enterprise Excellence is a holistic approach that's aimed at achieving world-class performance across all aspects of the organization.
What might I learn?
A way to engage all in creating Inclusive Excellence. Lessons from the US military and their parallels to the story of Harry Potter. How belt systems and CI teams can destroy inclusive practices. How leadership language invites people to the party. There are three things leaders can do to engage everyone every day: maximizing psychological safety to create environments where folks learn, contribute, and challenge the status quo.
Who might benefit? Anyone and everyone leading folks from the shop floor to top floor.

Unveiling the Secrets How Does Generative AI Work.pdfSam H
At its core, generative artificial intelligence relies on the concept of generative models, which serve as engines that churn out entirely new data resembling their training data. It is like a sculptor who has studied so many forms found in nature and then uses this knowledge to create sculptures from his imagination that have never been seen before anywhere else. If taken to cyberspace, gans work almost the same way.

Processes developed for chlorination of glycerol with removing water generated in reaction mixture as well as without removing water
generated in reaction mixture using reusable heterogeneous catalyst comprise tungsten, aluminium, zirconium metal oxides supported
on hexagonal mesoporous silica. Processes for chlorination of glycerol with removing water generated in reaction mixture carried out
in reactive distillation assembly and without removing water in pressure vessel at superatmospheric pressure of HCI gas. Various
parameters such as catalyst loading, HCI gas flow rate has been studied for chlorination of glycerol. The process gives 99% glycerol
conversion with 71% selectivity towards 1,3-dichloropropanol.

Plants have been the source of medicines in pharmacopoeia is a medicinal plant belonging to the family Amaranthaceae. S. oleracea is
known to possess medicinal uses, but the biological and pharmacological properties are unexplored. This is the first report of the
antioxidant and anticancer analysis of S. oleracea. The antioxidant activity was analyzed from the plant by vitamins-C and E, total
phenols, flavonoids and tannins with standard reference methods. Free radical scavenging activity was measured by DPPH scavenging
and LPO assays. The cytotoxic properties were evaluated, on cancer cells of human breast (MCF-7), small cell lung carcinoma (A-
549) and cervical cancer (HeLa) cell lines using MTT and SRB colorimetric assay for 24, 48 and 72 hrs. The results showed that the
methanolic leaf and stem extracts of S. oleracea inhibit the growth of MCF-7 breast cancer cell line, HeLa cervical cancer cell line and
A-549 lung cancer cell line. The findings of the present study suggest that the methanolic leaf and stem extracts possess excellent
antioxidant potential that may be used for therapeutic purposes of cancer treatment. Keywords: anticancer. Spinach, cytotoxic, plant

(57) Abstract :
This invention Pendulum type windmill is a device for generating electrical power through wind using pendulum as shown in FIG A,
the pendulum P oscillates freely in the horizontal axis. Two pair of freewheels 1.2 and 1.4 are used to transmit power from the
pendulum are connected using chains 1.3. The freewheels within 1.2 has different direction of rotation and connected in parallel and
cross mode with the freewheels on 1.4 and thus converting the oscillatory motion in to uni-directional rotatory motion, which is
coupled to a dynamo. As wind blows continuously it oscillates the pendulum which in turn drives the dynamo and hence an electrical
output is generated.

The present invention provides a process for the post-translational lipid modification of a filarial protein ALT-2 (Abundant Larval
Transcript-2) using genetically engineered plasmid, pLEV-11, comprising cloning the filarial alt gene in Escherichia coli cells,
expressing the lipid-modified form, its purification and confirming its lipid modification. This bacterial lipid-modified filarial protein,
when tested in the animal model Mastomys coucha, gave a better immunoprotection when compared to the unmodified ALT-2,
protein. The process for covalent lipid-modification, described in this invention, is significant for enhancing the immunoprophylactic
efficacy of filarial and other parasitic proteins by acting as molecular adjuvant.

New improved rubber compounds are beneficial to retreading of used tyres carcass in order to achieve the high abrasion resistance,
excellent cut and cut - growth resistance when operated on rough / uneven road surfaces. In addition, for fully loaded Dumpers on
highly uneven, rough terrain filled with gravels, stones with sharp edges, and on pit - coal surfaces in mining fields. The developed
compositions are highly resistant to water, bad weather and environmental degradation due to oxygen & ozone. The new compound
preparations also called upon to reduction in heat build up and to working together with the tread pattern to provide grip in dry, wet
and on snow bound road surfaces with low hysteresis. Its dynamics of process to produce and vulcanization system offers maximum
bond strength with the used tyre carcass where as the vulcanization system provides long storage life to the compounds about one
year. Improvement in rolling and wet skid resistance of tyre in new rubber compounds also offers lower fuel consumption.
