Oropass Ltd. and Potential Difference Innovations Inc. have agreed to terminate their license agreement effective immediately, as requested by Thane Heins on January 5, 2022. All parties will refrain from disparaging each other and will remove any related online content, while also protecting each other's confidential information. They will return any proprietary information they possess to each other.

Re: Termination of License Agreement
We refer to the license agreement between Potential Difference Innovations Inc. (“PDI”) and
Oropass Ltd. (“Oropass”) dated July 31, 2020 (the “License Agreement”).
On January 5th
, 2022, Heins and PDI requested the termination of the Oropass Agreement.
All parties hereby confirm the agreement of PDI and Oropass to terminate the License
Agreement, effective immediately. The parties to the License Agreement will have no further
obligations pursuant thereto, except for such continuing obligations as specifically provided for
in the License Agreement.
Oropass, PDI and Thane Heins (“Heins”) each agree they shall not disparage, defame or
otherwise speak ill of one another, their respective business operations, their relationships with
one another including, but not limited to, their relationships with Hillcrest Energy Technologies
Ltd. (“Hillcrest”) and “ALSET”, and the circumstances of surrounding the cessation of such
relationships.
Heins will permanently remove or cause to be permanently removed all online posts he has
authored, submitted, or posted on any website or forum about “ALSET”, Hillcrest or Oropass,
including removing or causing to be removed the online Facebook group “Hillcrest Investors
Truth Access Group”.
Oropass, PDI and Heins acknowledge during the course of their relationship they have access
to or possession of confidential information of each other’s, as well as confidential information of
Hillcrest. Oropass, PDI and Heins each agree to not disclose or reveal or make any use of any
other party’s confidential information, including Hillcrest’s confidential information, in any
manner whatsoever.

2. The parties to the License Agreement will deliver up to each other any and all proprietary
information of the other party they have in their possession, including any confidential
information of the other party.
If the foregoing is in accordance with your understanding, please sign and date the
acknowledgement at the foot of this letter.
