Introduction
To start a business in Canada, you should consider
a set of items so you could both have a secure path
ahead and guarantee the future of your business and
capital up to a reasonable extent.
Besides the basic items and principles required for
registration, launching and legal processes, the key
points you should be aware of and follow during de-
cision making and starting a business are provided for
you in this document.
According to “smart business’, my business phi-
losophy, we examine a topic in business from differ-
ent aspects, and in each aspect, we consider its pres-
ent, future and outcomes; then we decide to take or
disregard an action, and if the decision is to do it,
we pick the best way among those we have already
examined.

Generally, there are two types of people who intend
to invest in Canada:

outside of Canada
The path toward starting a business is the same for
both types, and there are only minor differences which
will be fully discussed in this book.

Before taking any action, do your research and avoid
moving forward simply based upon your prior and sub-
jective knowledge. Through a primary research, identi-
fy the market climate of the target country before start-
ing a business in there.
While starting a business in a new environment, im-
migrants face a grave challenge; they lack a proper un-
derstanding of geographical zone in the target country.
Each geographical zone has its business model. The first
step in this situation is to identify these methods.

	 First, evaluate yourself, assess the resources, and
see if you can adapt yourself to the new environ-
ment and its unique business models.
¾	
	 See if you have the potential, resources and con-
ditions of starting a new business.
¾	
	 Examine how expert you are in the category of
the business you intend to start.

In Canada, numerous educational workshops and
seminars are held daily. For instance, Toronto munic-
ipality holds quite practical seminars about business.
90% of these seminars are free of charge and the re-
maining 10% demand a low cost. By attending these
seminars, you will obtain useful information and many
interesting yet useful business ideas will come to your
mind.
These seminars are even held on the internet. Try
to find them in the city you live and appreciate them.

in a foreign country, you will face way fewer prob-
lems comparing to when you start your own busi-
ness.
Sources of information are your first requirement.
Gather information in any way you can. Whenever
you attend a conference or a seminar, ask for the vis-

to your business. Information of people will be handy
in the future. As an entrepreneur starting a business
in Canada, you must always be on the lookout for
any useful information that might help your business
grow and make the process of advancing your busi-
ness easy.

Nowadays, internet can be used to facilitate these
research activities. In modern world, there are tools
such as Google which made the process of research
a very easy one. Use Google a lot and employ new
smart methods because it constantly updates the way
it searches and it will provide you with a large number
of research tools.
One of the interesting things about Google is that
when it is looking for an answer to a question among
searching options of others, it provides suggestions
which are a resultant of the questions asked by oth-
er people about that same subject. These suggestions,
which are in fact the proper ways of asking such ques-
tions, can also be used by you to gain more knowledge
about what you are looking for. For instance, even when
you type in Pinglish, it provides you with those sugges-
tions.
For example, let us assume you want to launch a
restaurant. As soon as you enter the word, restaurant,
in the searching box, many answers appear under that
keyword showing what others asked about that word
‘restaurant’. This simply means that other people have
been looking up the word ‘restaurant’, hence you can
also look up their search and have more knowledge
about restaurant.
So with that you will be able to establish whether
launching a luxury restaurant would be profitable in
Canada or a fast food place.

For example, see whether launching a restaurant or
buying the franchise of a chain restaurant would pro-
vide you with the most possibility of success.

If you buy the franchise of a brand, its followers
would come to your restaurant since the first day.
In fact, you would be less concerned about attract-
ing customers but you must follow the rules of that
brand because it belongs to someone else anyway. It
is important for you to understand that franchise is
a type of license that a party (franchisee) acquires to
allow them to have access to a business’s (franchisor)
proprietary knowledge, processes, and trademarks in
order to allow the party to sell a product or provide a
service under the business’s name. In this regard, you
will be given a liberty by a business to operate your
own branch/business under that company. You will
be able to use the name and goodwill of that compa-
ny to develop and grow your own business. However,
you are expected to pay certain fee to the company.

The goal of every business is to make money. Choose
either to buy or start a business by considering this stan-
dard along with your personal status, resources and
work plan.
When starting a business, you should consider the
culture of that geographical zone while you follow
the path of your ideas. In many countries, it is wise to
buy the franchise of a business unless you have a very
unique idea and you can provide the required invest-
ment for it.
Your intended business may have not started as a
franchise in that geographical zone. However, an inde-
pendent business may have developed it to some points
with limited customers. In that case, it is guaranteed for
you that this business has certain customers, so it would
be better to buy and develop it through implementing
your own ideas.
For example, you may launch a 200 thousand-dollar
business while its franchise is worth a million dollar. The
difference is 800 thousand dollars. However, the second
way is better because it guarantees your success but if you
start a business, you may lose all your investment.

If your idea didn’t match any of the ongoing busi-
nesses, trust yourself and start your business with
sufficient research and considering your capabili-
ties and what the market needs.

Key Items in Buying a Business
z	
		 Evaluate the future of that business based on
development of new technologies. For exam-
ple, a taxi permit in Canada was worth 300 to
500 thousand dollars in the past. However, since
technology has developed and companies such
as Uber are introduced, the value of a taxi per-
mit has significantly decreased and practically
became worthless. See if that business is under
debt or not. And if it is, how much debt it has.
Specially, consider the debt to the government.
There is no forbearance in such debt.
A business could be in debt to municipality,
provincial or federal government. Seek counsel-
ing from a lawyer and examine all three types of
debt.

	 See if there is any lawsuit against this business in
any court so you would be held responsible later.
According to the above reasons, I suggest you make
your deal while using professional counseling. Although
you have to pay for these services, it practically avoids
any tremendous loss.

acteristics of that business and see if it fits your per-

Property and Facilities
While buying a business, evaluate the basis of your
purchase. Are you buying that business based on the
property value or facilities or other factors? In many
cases, you buy a business because of the facilities it has
and not its geographical location. For example, you buy
a restaurant with 200 thousand-dollar facilities and re-
sources it has and you pay 50 thousand dollars for it.
Here, you are making a 150-thousand-dollar profit. If
you move to another location, you will take the equip-
ment with you.

Business Licenses and Permits
While buying a business, see if you have all the re-
quired licenses and permits. For example, does a restau-
rant have all the permits related to its type of activity?
Is there any flaw in the corresponding documents? Per-
haps the required permits may exist but might have
been revoked for some reasons. Check the validity peri-
od of permits and how to extend them.
Key Items in Buying a Franchise (Rep-
resentative)
While launching a business through buying a fran-
chise, you will face a contract between the representa-
tive and the central office. This contract includes pay-
ment percentages and obligations of the parties. These
contracts usually take a form of a 50- to 150-paged
workbook containing many details.
The most important is that if the central office allows
the trade or not. Sometimes, you provide an advance
payment, but the central office opposes the conclusion
of the franchise (representative) transfer.

Most of the time, the central office of a franchise
asks for a separate payment for transferring the rep-
resentative to a new person (you as the buyer). In
that case, make sure it is clear who is responsible for
paying that money.

Regardless of all these points, buying a franchise is
one of the safest models of transaction. The risk is very
low because so many people will support you.
At the same time, there are many sidelines which
should be examined by expert lawyers before the trans-
action is done. An example of these items is conducting
an inquiry before the purchase.
When you decide to buy the franchise of a business,
you should consider the following issues:

	 How well-known is that business?

	 How much should you invest?
¾	
	 How much should you pay the seller?
¾	
	 What is the background?
¾	
	 How is the future of that business?
¾	
	 How supported is that business?
¾	
	 How much is the annual net income of that busi-
ness?
To realize the net income, the easiest thing to do is to
ask about the tax paid in the last year.
By this calculation of the income status of that busi-
ness, you can make the deal with the owner of the busi-
ness (franchise) you intend to buy its royalties.

Renting or Ownership of a Location
The representative license is pertinent to a central of-
fice, so you should check the central office and be aware
of the length of tenancy of the property.
Some representatives have temporary contracts
which end in a certain time. If you are simply buying
the franchise, and the place is rented, check the re-
maining length of the tenancy. For any reason, some
owners end the contract of a tenant after five years.
You may have only a year left of the length of tenancy
and you will have to leave the rented place after the
expiration of the tenancy. Although, you should also
understand that one of the reasons to buy the franchise
of a business is the goodwill. In any case, you must see
if the franchise is still worth buying or not.
Writing a Business Plan
After deciding to start a business, you should de-
sign a business plan. Writing a business plan is nec-
essary for any business. Business plan puts you in
order, and it is somehow your roadmap. You should
define at least a 3- to 5-year path for yourself. Im-
plement the results of all your researches on a busi-
ness plan.
Many people don’t tend to write a business plan.
While it is not totally a wrong decision, it is at least nec-
essary to write down the considerations. If you don’t
want to write a business plan, at least ask yourself:

	 What is your place in the market?

	 Who are your competitors?
¾	
	 How will your capital be financed?
¾	
	 Do you need a location for the corporation? In
that case, where should it be?

	 What kind of problems will you probably face
and how do you confront them?

The more question you ask and answer, the more suc-
cess you will gain in practice.
This document was a to-do list. Check this list from
top to bottom and explain the procedure of each item
in front of them.

Remember you can’t do everything by yourself. You
should use counseling and help from expert groups,
and even outsource some of the works.
Providing a list of what should be done helps you to
concentrate. Even if you don’t have the habit of writing
things down, always carry a scratchpad. Don’t do any-
thing without a scratchpad and writing. In that way, you
can outline a general roadmap and define a path for
yourself.

A business plan has the classified and standard answer
to the questions above. While answering the questions
of a business plan, you are actually designing a very pre-
cise roadmap which helps you to avoid incorrect and
strayed paths.
Most people regret involving in a business in the
middle of writing the business plan because they real-
ize that the research about the business and the market
has been defective and they have ignored many issues.
This is one of the main benefits of having a business
plan.

The business plan you provide for working in Cana-
da is different than the one you make for another coun-
try. You must use a business plan which is designed for
Canada and not even the United States. You will find a

After the evaluation and research step, specify the
type of your business in terms of working with others.
There are three methods of starting a business:
a.
	
Sole or association (partnership): in this mod-
el, you start a business solely or with partner-
ship of one or more colleagues. This business
model works under a natural identity.
b.
Cooperative: a business model for residents of
Canada is cooperative inwhich a group of peo-
ple and a minimal number of people proceed
with this business model. Cooperative corpo-
rations are basically founded by associations,
unions and big groups in order to provide the
needs of the members. In order to register a
cooperative corporation, fill the forms 3001
and 3002, and the charge is 250 dollars.
c.	 Corporation: in this model, you register an
official corporation and work under a legal
identity.

Sole or Partnership Business (Corporation)
In this type of business, you are actually working as
a natural person and you don’t need to register a cor-
poration. In case of partnership, multiple people sign
the partnership. There are standard samples for part-
nership contract but every group modifies it based on
their own needs. In a sole or partnership business, you
have complete control over the entire business and
your legal issues are reduced. Therefore, you won’t
need counselors of business registration for your reg-
istration processes.
In overall, it has fewer sidelines. However, less added
value is generated as well. In a sole business, taxes are
calculated personally, and you don’t pay corporate tax.
Also, there is no need for complicated accounting sys-
tems.
You may ignore some of the formalities such as de-
signing a header here while you follow them in a corpo-
ration.
In a sole business activity, to conduct the banking and
business affairs, you can receive a Master License and
a merchant ID if you go to the Ontario services. This
license is valid for five years and must be extended af-
terwards.
Getting a register number costs 60 dollars, and there
are some service providers which do this for you with a
100-dollar charge. Getting a register number is possible
for sole business activities in some municipal centers

or state offices and it is valid for 5 years. The extension
charge is 60 dollars and you can do the process online.
After getting a master license, you can open a business
account with the same name you registered in the mas-
ter license.
Usually while registering a business, you are asked
about your activity branch, but it is not the case in Can-
ada that you have to avoid activity in other branches if
you announce you are active in one of them. Whether
in a sole business or a corporation, you can have ac-
tivities in different contexts. The important thing is
that you should never hide anything because of tax
issues.
There are some flaws about a sole business. For ex-
ample, all the responsibilities fall on one person. In case
of any loss, damage or lawsuit, that one person is re-
sponsible for taking care of the affairs.

Sole enterprise does not protect the name of a busi-
ness. In order to protect your business brand, you
must register it in form of a trademark or under the
title of a corporation.

Partnership business is something between sole busi-
ness and corporation but it practically looks like a sole
business with the same issues. Partners have all the re-
sponsibilities and there is no need for an official reg-
istration. Everyone has a certain proportion of shares.
From legal and tax perspective, the rules of a sole busi-
ness apply here as well.
Corporation
In order to work as a corporation, you need to reg-
ister it. The registration model in Canada is the same
limited liability company (LLC) but there are some dif-
ferences in the way shares are offered.

There are many benefits in corporate registration.

	 The first benefit is that you are not responsible
for everything. In case the corporation turns in-
debted or unprofitable, your personal credibili-
ty won’t be harmed. This is the most interesting
thing about starting a corporation. When some-
one sues the corporation, almost all parts of the
problem fall on the corporation itself.
Although, when a corporation commits
fraud, the individuals must be accountable but
if there is no criminal intent but the problem is
just accidental, they won’t be prosecuted.

In Canada, criminal prosecution is mean-
ingless in financial context unless it is a case of
fraud, breach of trust, etc.

	 One of the interesting things about corporate
registration is that the corporation tax is less
than other taxes.

You can calculate many expenses for the cor-
poration and accordingly, there will be less
taxes.

	 By having a corporation and hiring employees,
you can use some tax reductions.

	 Having a corporation, you can have access to in-
vestment. Fund raising is not easy for one indi-
vidual, but if you have a legal identity and your
corporation is founded longer than a year, you
can take loans from banks and use public assis-
tances. The first condition to receive public as-
sistance in Canada is to have a registered corpo-
ration.

	 By having an estate property for the corpora-
tion, you can maneuver over tax reductions and
receive excellent loans from banks.

istration is its durability. A while ago, I visited
a corporation founded in 1864. Corporations

nesses depends on the individual’s lifetime.

nent while the license of a sole business (master
license) must be extended every five years.

	 Another benefit of corporation over sole business
is that the ownership can be transferred.

	 In a corporation, the combination of the part-
ners can be changed.

	 Unlike many countries, in Canada, an individual
can solely register a corporation. This is one of
the interesting things about founding a corpora-
tion in Canada. In other words, you can register
a sole shareholding corporation where 100% of
the shares belong to you.

	 A corporation brings credibility for you while a
sole business has no credibility in comparison to
a corporation.
¾	
	 In long-term, a corporation will be valued and
you can sell it; either its shares or the entire cor-
poration. There is no limit to the number of
people who can have a share in the corporation.
There is no such thing in case of a sole business.

	 You can start a business and if there were no
profits, you could immediately change the cat-
egory of your business. There is no restriction
against it.

There are two ways to register a company in Canada:
provincial and federal.
Most people register provincial incorporations.
However, it is always a concern how to choose between
them.
When you register a corporation in a province, the
name of the corporation belongs to you only within
that province. Someone else can use the name in an-
other province. Yet, in federal registration, you register
a name for yourself within the entire country. Keeping
the name of the company in a country level is what is
interesting about federal registration.

In Canada, a part of the law is federal, and each prov-
ince has its own rules. Be aware of the laws of a busi-
ness zone before starting a business.
When you federally register a corporation, you
should also register it in any province or state in which
you are working. That is why most people register their
corporations provincially. In provincial registration,
local laws are exerted and taxes are provincially calcu-
lated, while in federal registration, you must separately
calculate the provincial and federal taxes.

Every corporation must go through an extra-pro-
vincial registration process if it is going to be active
in another province. This process is different than
the initial registration process. Even if you have a
foreign corporation, you must follow an extra regis-
tration process for each province.
Name of the corporation doesn’t matter much. What
is important is the name of your products. Employ ex-
pert counselors in this regard so you wouldn’t face legal
issues because of using already-registered names, for
instance. Big corporations have powerful legal teams
and they may sue you.

choosing a name. Search your selected name to
make sure any similar name is not registered.
There are service providers with access to these
names and they will charge you 50 to 150 dollars
to give you a report about your selected name.

with a suffix of .com is not registered. Other suffixes
are not very authentic. .com is the important suffix.
For big and promising businesses, name of the busi-
ness matters a lot. However, you should understand
that .ca works fine for a local business in Canada.
Copyright and Trademark
If your business is art related, consider the
law affairs related to the author’s copyright so
you won’t face any problem later after spending
huge costs. When you intend to register a
name, the associated office searches the name
among the registered ones to make sure it is not
registered as a trademark. You may use a name
of a corporation for yourself, but you can never
apply for a registered trademark of another
corporation because they can easily sue you.

In the next step, you fill the form 1, which is
about the corporation information. This form is
basically the article of the corporation.

firms who provide services regarding corporate reg-
istration also carry out these affairs in exchange for
certain costs.
After filling the form, provide a cover letter contain-
ing a summary of your organization information such
as address and phone number. Write down the infor-
mation of whoever is responsible for pursuing the pro-
cess of corporate registration. Add this paper to the top
of your documents and pay a visit to the office of incor-
porate registration1
.
In addition to the expense of searching the name,
registering a corporation costs 360 dollars in Ontario.

The next step is to examine the required li-
censes and permits of the business you intend
to start. You have already identified them in the
primary research.
For example, a physician intends to run an
office in Canada; he/she must follow the steps of
getting a license in Canada and receive a permit
for working.
Those who provide security and protection
services must have a license. Those whose work
is regarding loan providing must get a permit. In

Introduction To start a business in Canada, you should consider a set of items so you could both have a secure path ahead and guarantee the future of your business and capital up to a reasonable extent. Besides the basic items and principles required for registration, launching and legal processes, the key points you should be aware of and follow during de- cision making and starting a business are provided for you in this document. According to “smart business’, my business phi- losophy, we examine a topic in business from differ- ent aspects, and in each aspect, we consider its pres- ent, future and outcomes; then we decide to take or disregard an action, and if the decision is to do it, we pick the best way among those we have already examined. Each geographical zone has its business model. The first step in this situation is to identify these methods. ¾ First, evaluate yourself, assess the resources, and see if you can adapt yourself to the new environ- ment and its unique business models. ¾ See if you have the potential, resources and con- ditions of starting a new business. ¾ Examine how expert you are in the category of the business you intend to start. For instance, Toronto munic- ipality holds quite practical seminars about business. 90% of these seminars are free of charge and the re- maining 10% demand a low cost. Try to find them in the city you live and appreciate them. In fact, you would be less concerned about attract- ing customers but you must follow the rules of that brand because it belongs to someone else anyway. It is important for you to understand that franchise is a type of license that a party (franchisee) acquires to allow them to have access to a business’s (franchisor) proprietary knowledge, processes, and trademarks in order to allow the party to sell a product or provide a service under the business’s name. In this regard, you will be given a liberty by a business to operate your own branch/business under that company. You will be able to use the name and goodwill of that compa- ny to develop and grow your own business. However, you are expected to pay certain fee to the company. Before Launching 12
  • 14. The goal of every business is to make money. Choose either to buy or start a business by considering this stan- dard along with your personal status, resources and work plan. When starting a business, you should consider the culture of that geographical zone while you follow the path of your ideas. In many countries, it is wise to buy the franchise of a business unless you have a very unique idea and you can provide the required invest- ment for it. Your intended business may have not started as a franchise in that geographical zone. However, an inde- pendent business may have developed it to some points with limited customers. In that case, it is guaranteed for you that this business has certain customers, so it would be better to buy and develop it through implementing your own ideas. For example, you may launch a 200 thousand-dollar business while its franchise is worth a million dollar. The difference is 800 thousand dollars. However, the second way is better because it guarantees your success but if you start a business, you may lose all your investment. Note 2: Note 2: If your idea didn’t match any of the ongoing busi- nesses, trust yourself and start your business with sufficient research and considering your capabili- ties and what the market needs. For exam- ple, a taxi permit in Canada was worth 300 to 500 thousand dollars in the past. See if that business is under debt or not. And if it is, how much debt it has. Specially, consider the debt to the government. There is no forbearance in such debt. Business Valuation Based on Estate Property and Facilities While buying a business, evaluate the basis of your purchase. Are you buying that business based on the property value or facilities or other factors? In many cases, you buy a business because of the facilities it has and not its geographical location. For example, you buy a restaurant with 200 thousand-dollar facilities and re- sources it has and you pay 50 thousand dollars for it. Here, you are making a 150-thousand-dollar profit. For example, does a restau- rant have all the permits related to its type of activity? Is there any flaw in the corresponding documents? Per- haps the required permits may exist but might have been revoked for some reasons. Check the validity peri- od of permits and how to extend them. Key Items in Buying a Franchise (Rep- resentative) While launching a business through buying a fran- chise, you will face a contract between the representa- tive and the central office. This contract includes pay- ment percentages and obligations of the parties. These contracts usually take a form of a 50- to 150-paged workbook containing many details. The most important is that if the central office allows the trade or not. Sometimes, you provide an advance payment, but the central office opposes the conclusion of the franchise (representative) transfer. Note 1: Note 1: Most of the time, the central office of a franchise asks for a separate payment for transferring the rep- resentative to a new person (you as the buyer). At the same time, there are many sidelines which should be examined by expert lawyers before the trans- action is done. An example of these items is conducting an inquiry before the purchase. When you decide to buy the franchise of a business, you should consider the following issues: ¾ How well-known is that business? ¾ How much should you invest? ¾ How much should you pay the seller? ¾ What is the background? ¾ How is the future of that business? ¾ How supported is that business? ¾ How much is the annual net income of that busi- ness? To realize the net income, the easiest thing to do is to ask about the tax paid in the last year. By this calculation of the income status of that busi- ness, you can make the deal with the owner of the busi- ness (franchise) you intend to buy its royalties.   • 19. Renting or Ownership of a Location The representative license is pertinent to a central of- fice, so you should check the central office and be aware of the length of tenancy of the property. Some representatives have temporary contracts which end in a certain time. If you are simply buying the franchise, and the place is rented, check the re- maining length of the tenancy. For any reason, some owners end the contract of a tenant after five years. You may have only a year left of the length of tenancy and you will have to leave the rented place after the expiration of the tenancy. Although, you should also understand that one of the reasons to buy the franchise of a business is the goodwill. In any case, you must see if the franchise is still worth buying or not. Writing a Business Plan After deciding to start a business, you should de- sign a business plan. Writing a business plan is nec- essary for any business. Business plan puts you in order, and it is somehow your roadmap. You should define at least a 3- to 5-year path for yourself. Im- plement the results of all your researches on a busi- ness plan. Many people don’t tend to write a business plan. While it is not totally a wrong decision, it is at least nec- essary to write down the considerations. If you don’t want to write a business plan, at least ask yourself: Before Launching 18
  • 20. ¾ What is your place in the market? ¾ Who are your competitors? ¾ How will your capital be financed? ¾ Do you need a location for the corporation? In that case, where should it be? ¾ What kind of problems will you probably face and how do you confront them? Write down any question that comes to your mind. The more question you ask and answer, the more suc- cess you will gain in practice. This document was a to-do list. Check this list from top to bottom and explain the procedure of each item in front of them. Notice: Notice: Remember you can’t do everything by yourself. You should use counseling and help from expert groups, and even outsource some of the works. Providing a list of what should be done helps you to concentrate. Even if you don’t have the habit of writing things down, always carry a scratchpad. Don’t do any- thing without a scratchpad and writing. There are three methods of starting a business: a. Sole or association (partnership): in this mod- el, you start a business solely or with partner- ship of one or more colleagues. This business model works under a natural identity. b. Cooperative: a business model for residents of Canada is cooperative inwhich a group of peo- ple and a minimal number of people proceed with this business model. Cooperative corpo- rations are basically founded by associations, unions and big groups in order to provide the needs of the members. In order to register a cooperative corporation, fill the forms 3001 and 3002, and the charge is 250 dollars. c.   • 24. Sole or Partnership Business (Corporation) In this type of business, you are actually working as a natural person and you don’t need to register a cor- poration. In case of partnership, multiple people sign the partnership. There are standard samples for part- nership contract but every group modifies it based on their own needs. In a sole or partnership business, you have complete control over the entire business and your legal issues are reduced. Therefore, you won’t need counselors of business registration for your reg- istration processes. In overall, it has fewer sidelines. However, less added value is generated as well. In a sole business, taxes are calculated personally, and you don’t pay corporate tax. Also, there is no need for complicated accounting sys- tems. You may ignore some of the formalities such as de- signing a header here while you follow them in a corpo- ration. In a sole business activity, to conduct the banking and business affairs, you can receive a Master License and a merchant ID if you go to the Ontario services. This license is valid for five years and must be extended af- terwards. Getting a register number costs 60 dollars, and there are some service providers which do this for you with a 100-dollar charge.   • 25. or state offices and it is valid for 5 years. The extension charge is 60 dollars and you can do the process online. After getting a master license, you can open a business account with the same name you registered in the mas- ter license. Usually while registering a business, you are asked about your activity branch, but it is not the case in Can- ada that you have to avoid activity in other branches if you announce you are active in one of them. Whether in a sole business or a corporation, you can have ac- tivities in different contexts. The important thing is that you should never hide anything because of tax issues. There are some flaws about a sole business. For ex- ample, all the responsibilities fall on one person. In case of any loss, damage or lawsuit, that one person is re- sponsible for taking care of the affairs. Notice 1: Notice 1: According to the law, someone who is not a citizen of Canada is not allowed to run or register this model of business. Partners have all the re- sponsibilities and there is no need for an official reg- istration. Everyone has a certain proportion of shares. From legal and tax perspective, the rules of a sole busi- ness apply here as well. Corporation In order to work as a corporation, you need to reg- ister it. The registration model in Canada is the same limited liability company (LLC) but there are some dif- ferences in the way shares are offered. Benefits of Corporate Registration in Canada There are many benefits in corporate registration. ¾ The first benefit is that you are not responsible for everything. In case the corporation turns in- debted or unprofitable, your personal credibili- ty won’t be harmed. This is the most interesting thing about starting a corporation. When some- one sues the corporation, almost all parts of the problem fall on the corporation itself. Although, when a corporation commits fraud, the individuals must be accountable but if there is no criminal intent but the problem is just accidental, they won’t be prosecuted. In Canada, criminal prosecution is mean- ingless in financial context unless it is a case of fraud, breach of trust, etc. ¾ One of the interesting things about corporate registration is that the corporation tax is less than other taxes. ¾ You can calculate many expenses for the cor- poration and accordingly, there will be less taxes. ¾ By having a corporation and hiring employees, you can use some tax reductions. ¾ Having a corporation, you can have access to in- vestment. Fund raising is not easy for one indi- vidual, but if you have a legal identity and your corporation is founded longer than a year, you can take loans from banks and use public assis- tances. The first condition to receive public as- sistance in Canada is to have a registered corpo- ration. ¾ By having an estate property for the corpora- tion, you can maneuver over tax reductions and receive excellent loans from banks. ¾ Another interesting thing about corporate reg- istration is its durability. A while ago, I visited a corporation founded in 1864. Corporations have long lifespan while existence of sole busi- nesses depends on the individual’s lifetime.   • 28. ¾ The license of corporate registration is perma- nent while the license of a sole business (master license) must be extended every five years. ¾ Another benefit of corporation over sole business is that the ownership can be transferred. ¾ In a corporation, the combination of the part- ners can be changed. ¾ Unlike many countries, in Canada, an individual can solely register a corporation. This is one of the interesting things about founding a corpora- tion in Canada. In other words, you can register a sole shareholding corporation where 100% of the shares belong to you. ¾ A corporation brings credibility for you while a sole business has no credibility in comparison to a corporation. ¾ In long-term, a corporation will be valued and you can sell it; either its shares or the entire cor- poration. There is no limit to the number of people who can have a share in the corporation. There is no such thing in case of a sole business. ¾ You can start a business and if there were no profits, you could immediately change the cat- egory of your business.   • 30. Methods of Corporate Registration in Canada There are two ways to register a company in Canada: provincial and federal. Most people register provincial incorporations. However, it is always a concern how to choose between them. When you register a corporation in a province, the name of the corporation belongs to you only within that province. Someone else can use the name in an- other province. Yet, in federal registration, you register a name for yourself within the entire country. Keeping the name of the company in a country level is what is interesting about federal registration.   • 31. Note 2: Note 2: In Canada, a part of the law is federal, and each prov- ince has its own rules. Be aware of the laws of a busi- ness zone before starting a business. When you federally register a corporation, you should also register it in any province or state in which you are working. That is why most people register their corporations provincially. In provincial registration, local laws are exerted and taxes are provincially calcu- lated, while in federal registration, you must separately calculate the provincial and federal taxes. Note 3: Note 3: Every corporation must go through an extra-pro- vincial registration process if it is going to be active in another province. This process is different than the initial registration process. Even if you have a foreign corporation, you must follow an extra regis- tration process for each province. Name of the corporation doesn’t matter much. What is important is the name of your products. Copyright and Trademark If your business is art related, consider the law affairs related to the author’s copyright so you won’t face any problem later after spending huge costs. When you intend to register a name, the associated office searches the name among the registered ones to make sure it is not registered as a trademark. After filling the form, provide a cover letter contain- ing a summary of your organization information such as address and phone number. You have already identified them in the primary research. For example, a physician intends to run an office in Canada; he/she must follow the steps of getting a license in Canada and receive a permit for working. Those who provide security and protection services must have a license. Those whose work is regarding loan providing must get a permit. In Canada, a major part of activities requires license and permits because you must be a member of a union which supervises your work. For instance, someone who provides loan services can also conduct many activities which are considered as frauds; so, his/her activity must be supervised. Those who provide services of selling and buying estate properties should receive training courses and related permits. The municipality issues most of permits and licenses.
