Acceptance is defined under Indian contract law as signifying assent to a proposal, which transforms the proposal into a legally binding promise. For a valid contract, there must be an offer followed by acceptance of that offer. Acceptance must be given to the offeror, be absolute and unqualified, communicated to the offeror, use the prescribed mode if specified, and can potentially be implied through conduct.

2. Definition
The Indian Contract Act 1872 defines acceptance in Section 2 (b) as “When the
person to whom the proposal has been made signifies his assent thereto, the
offer is said to be accepted. Thus the proposal when accepted becomes a
promise.”

It is often said that acceptance is to an offer what a lighted match is to a barrel of gunpowder. For
a successful contract, there must be a valid offer followed by the offer being accepted

1. Acceptance can only be given to whom the offer was made
