Nevis LLC Formation
A Nevis Limited Liability Company (LLC) when formed will be a separate legal entity to that of
its owners (members). The legislation states that the LLC is solely liable for its own debts,
liability and obligations, hence provides strong liability protection to the members (owners) from

3. creditors. The LLC may have at least just one member, but this is not often used if the goal is
asset protection.
The Nevis Limited Liability Company Ordinance was enacted in 1995 and offers strong asset
protection to its members in the event that the LLC is sued. Section 20 of the said LLC
Ordinance provides added protection to its members by stating that a case brought against the
LLC and naming a member or manger is grounds for a dismissal.
As the scope of doing business is dynamic, some amendments were made to the Ordinance as
recent as May 2015.

Nevis Trust Formation
A Trust is an arrangement that gives one party, (the trustee) ownership of the trust assets for the
enjoyment of another party (the beneficiary).
The Nevis International Exempt Trust Ordinance was legislated in 1994 and has provisions for
Charitable and Non-Charitable Trust and Protective Trust. Nevis is a preferred jurisdiction when
it comes to setting up a trust. This is mainly due to its statutes that allows for the protection of

4. the beneficiary’s rights by limiting the rights of the creditors’ reach. There is also provision of
financial privacy and confidentiality of the settlor’s estate since trust documents are not made
public unlike a will.

Nevis IBC
A Nevis Business Corporation (NBC) is comparable to what is often referred to as an
International Business Corporation (IBC). The Nevis Business Corporation Ordinance was
legislated in 1984 and over the years has been amended in order to provide flexible statutes so
that Nevis can continue to be known as a preferred and favourable offshore jurisdiction.
A NBC can have one or more directors. These directors can be natural persons or corporations. A
NBC has the capability of purchasing or redeeming its shares. A corporation can issue both
registered and bearer shares (when opening a bank account bearer shares are often not accepted).
The bearer share certificate must be held by a custodian and proper records must be maintained.

5. The minimum number of shareholders required for a NBC is one. The minimum number of
directors is three. The number of directors should not be less than the shareholders. There can be
one director if there is one shareholder.
The corporation can do any business anywhere in the world except in St. Kitts and Nevis and the
income generated will not be subject to any corporate taxes in Nevis. It can carry on operations
and have its principal office in any jurisdiction but it must have its Registered Office in Nevis.
Nevis Foundation
The Nevis Multiform Foundation Ordinance is a relatively new legislation that was passed in
2005. As the name suggest it has the flexibility to take on many forms as it can be treated as an
Ordinary Foundation, a Partnership Foundation, a Company Foundation or a Trust Foundation.
The establishment of a Foundation is done by the filing of an original Memorandum of
Establishment and by-laws (if any) and must be in English. The name of the Foundation has to
be checked for its availability before it can be registered.The Nevis Foundation is an attractive
asset holding and protection tool that is embraced by persons with or without wealth. Similar to
the Nevis Business Corporation and Limited Liability Company (and unlike the Trust) it and its
assets take on a separate legal identity to that of its Founder(s) or Creator(s).Foundations are
often used for estate planning and strengthening of asset protection

Foreign Bank Accounts
A foreign bank account is an account that has been opened in a county where you do not reside.
These accounts are most often referred to as offshore bank accounts.
