Hindustan Petroleum Corporation Limited is the second largest Petroleum Refining and
Marketing Company in India with a vast fuel Retail Outlet network of about 9000
strategically located retail outlets. These retail outlets are catering to the petroleum
product requirements of customers in every part of the country, with the strongest
presence in all Metros and Other cities amongst Indian petroleum Industry.
With a view to provide outstanding Customer and Vehicle care at our Retail Outlets,
we are actively pursuing an initiative to provide various value added facilities and
services through these outlets and have already introduced amenities such as
Convenience/Speciality Stores, ATMs, Loan Shops, Food Counters and Communication
Centers (STD/ISD/PCO). These conveniences are available at a large number of HPCL
Retail Outlets across the country. Our experience has shown that customers have
received this ‘one-stop’ shopping solution very well and the overall response has been
extremely encouraging. We have also launched a loyalty program for our customers
through branded credit/debit cards that will offer benefits in terms of rewards and
accomplishment of multiple activities through the same card.
We propose to enter into an arrangement with prominent organization/s of repute
with established track record of successfully operating a chain of Convenience Stores /
/ Specialty Stores / Food outlets/ Any other customer convenience facility. As part of
this arrangement, we would allow the short listed organization/s to operate the
facility at Our Retail outlets mentioned in the annexure-1.

2. Objective
The objective of this EOI document is to spell out the salient details of the proposed
arrangement to enable organizations engaged in operating a chain of Convenience
stores / Food outlets or allied businesses respond to this EOI, confirm their willingness
to take up this activity
We are separately providing details of retail outlet in Annexure-1, where we
propose to provide such facilities. In case this proposal fits into your business
plans, please provide us with preliminary offer towards the same.
Proposed Activity
As stated above, the activity proposed is to set up a Convenience stores / Food outlets
or allied businesses at our outlets (Petrol Pump) located at various places, as detailed
in annexure-1, in association with an organization of repute having requisite expertise
and a successful track record in the business. At the outlets situated at Oran/ Doliya/
Chotila proposals for a smaller area ( w.r.t. area mentioned in Annexure-1) may be
considered.
HPCL’s Scope
On its part, HPCL will:
Provide necessary carved out space and superstructure for the facility including
glazing.
Allow the selected party to operate such facility as described above at the
premises of HPCL Retail Outlets
Provide necessary utility connections with separate consumption meters
Provide space for putting up signages for visibility, as per availability
Provide space at the Retail Outlets for parking of customers’ vehicles for a
limited time of transaction, subject to availability
Expectation From Selected Party
The selected party, on its part would:
Ideally be a reputed, well accepted brand name in Convenience Stores, Food
retailing or allied business with a successful track record of operating a chain
of Convenience stores / Food outlets or a similar business line
Provide the necessary furniture, fixtures and equipment viz. air-conditioning,
refrigerated display counters, freezers, microwave ovens, computers with
requisite software etc. for efficient operation of the outlets
Implement necessary operating systems and provide necessary manpower for
operating the Convenience Stores, Food retailing or allied business
Make necessary working capital investments in the outlets

3. Provide the entire range of items for sale at the outlets in line with the
customers’ requirements with the greatest attention to aspects relating to
health, hygiene & aesthetics
Have full knowledge of the prevailing laws and regulations governing the
operation of such facility and have the capabilities to operate in accordance
with the same.
Mode of Operation
Select party shall fully comply with the prevailing laws and regulations governing
the respective business. An agreement shall be signed detailing the mutual
understanding on operation of the site. This agreement shall be initially for a
period of three years. The Corporation will have the option to renew it for another
term of three years on mutually agreeable terms & conditions, subject to
satisfactory performance, taking into account the success of Convenience Stores,
Food retailing or allied business the efforts put in to develop the brand image and
the impact on the fuel retailing business of the HPCL retail outlets.
Please note that there will be a lock-in period of 24 months during which the
selected party will not be allowed to terminate the agreement and close down
the operation of the Facility. All other terms & conditions governing the
operation of such facility shall be included in the agreement.
Please note that no alcoholic beverages will be allowed to be sold / consumed
at such Convenience Stores, Food retailing or allied business. Direct heating is not
permitted in the premises of retail outlets situated at Gandhinagar, Sola Road-
Ahmedabad, Bopal- Ahmedabad & at Mansi circle-Ahmedabad (Ground floor
space ).
For this location, competent officer of HPCL shall issue a specific authorization for
establishment Convenience Stores, Food retailing or allied business at this location
in line with the terms and conditions contained in the agreement.
Having stated our intentions & expectations, we invite a comprehensive
business proposal from you structured on the following lines:
Credentials
• Profile of the organization/Brief history; promoters’ background
• Experience & expertise in the field of managing such facilities (Please mention
no. of years in such business & number of existing outlets operated by you)
• Organisation structure
• Turnover details and other critical ratios pertinent to business
• Supply chain capabilities
• Brand equity
• IT capabilities in handling the front as well as back end of the business
• Details of the Business Plans to set up your outlets.

4. We seek “Expression of Interest’’ from you on the above lines by 4.00 p.m. on
30.10.2010
Please note that:
• HPCL reserves the right to amend, rescind or reissue this Expression of Interest
(EOI) anytime after issuance at its discretion. Amendments, if any, will be
advised thru our website www.hindustanpetroleum.com and shall be binding
on them.
• HPCL reserves the right to accept any EOI and reject any or all responses to
this advertisement without assigning any reasons for the same with no penalty
to itself.
• HPCL will evaluate the proposals following such methods, criteria and
rationale, which in its, opinion, are in the best interest of HPCL.
• Request for proposal ( RFP ) documents will be sent to the parties meeting the
eligibility criterion
• Proposals received pursuant to this EOI will become the property of HPCL and
shall not be returned.
