2. Reservation of Names
• Pursuant to Sub section 4 of Section 4 and
Rules 8 and 9 of Companies
( Incorporation) Rules 2014 provides
reservation of names.

• Reservation of names : A person may make
an application to the Registrar in such
form and manner and accompanied by
such fee as may be prescribed ( Sub
section 4 of Section 4 of Companies Act,
2013)

• Pursuant to sub section 5 of Section :
upon an application as per sub section 4 ,
the Registrar reserve the name for a
period of sixty days from the date of the
application

• Rule 8 of Companies (Incorporation ) Rules, 2014
provides various undesirable names. However the
following exclusion
• Rule 8 sub clause 2 (b) (v) wherein provides that if
a foreign company is incorporating its subsidiary
company in inida, then the original name of the
holding company as it is may be allowed with the
word India or name of any Indian state or city if
otherwise available.
• In nutshell, the foreign can company can open
their subsidiary to open their company with the
addition of india or any state or any city,

• Rules 8 sub clause 6 provides that 28
words and combinations thereof shall not be
used to the name of a company in English or
any of the languages depicting the same
meaning unless the previous approval of the
Central Government has been obtained for the
used of any such word or expression.
• Example : Board, Commission, Authority,
undertaking etc

• Rule 8 sub clause 7 provides that for companies
under Section 8 of the Act, shall include the
following names.
• Foundation
• Forum
• Association
• Federation
• Chambers
• Council
• Confedaration
• Electoral trust

• Every company incorporated as a Nidhi
shall have the last word “Nidhi Limited” as
part of its name.

• Rule 9 of Companies (Incorporation ) Rules
2014 that an application for the
reservation of a name shall be made in
Form No. INC 1 along with the fee as
prescribed in the Companies ( Registration
offices and fees) Rules 2014.
