Woolworths Ltd is a Public Company that is positioned second
out of roughly 2000 organizations in Australia. The
organization produces the larger part of its pay from the
Supermarkets and Grocery Stores in Australia industry.
In 2015 the organization produced complete income of
$61,149,400,000 including deals and other income. In 2015
Woolworths Ltd had 190000 workers in Australia including
representatives from all auxiliaries under the organization's
control (Jackson, 2003).
The company operates on a given categorizes as follow:
Supermarkets and petrol:
Woolworth operates on supermarkets, Thomas Dux grocery and
countdown grocery stores (New Zealand), and petrol station
(through its co-marked Caltex Woolworths and Caltex Safeway
outlets).
Liquor group
Woolworth’s retails alcohol in-store and online through its
alcohol organizations: Dan Murphy's, BWS, Cellar masters and
Langton’s, a fine wine closeout organization.
Home improvement
The organization's Masters Home Improvement brand
dispatched in 2011, offering more than 35,000 items, for

Woolworth SWOT analysis
Strength
Woolworths operates various sectors successful, well known
brands stores such as Ladybird and chad valley. They also
strong persuasive brand name and efficient operations. They are
the well- known retailers in the entire UK, pioneers and the
oldest organizations to come up with modernist trade mode.
They also hold several subsidiaries in UK, i.e entertainment.
They are also the leader in the Australian retail industry. With
and its leadership position and leverage through its strong
resources such as technological, human and good presence,
Woolworths further improves the capability of the company in
take advantage of the market.
Weaknesses
Their brand never withstands its competitive advantages
(Jackson, 2003).The company suffer negligence globally as
compared to their competitors. They entered in online
transaction late and there they suffer from lack of proper
experiences and still also lower prices from their competitors.
The other weakness to Woolworths is in its development
strategy, mostly impacted by the external environment factors
which shakes it capability in leading the Australian retail
market. For instance, the Australian government has limited the
move of Woolworths in keeping higher prices for its products in
collaboration with Coles which shows the major weakness to the
company in supporting its greater growth levels (Cole, 2003).
Opportunities
They are able to support their brand through advertisement,
sponsorship and promotions, they are also able to seek growth
by use of strategic acquisition and charter models. For its
weakness mention above will also be the opportunities for
Woolworths as there are indication that the retail industry
across Australia shows good growth potential such as through
computerisation, advances in supply chains. Consumer lifestyle
changes have also affected the abilities of retailers and provided
good opportunities to grow. Woolworths is now looking towards
implementing this option by way of adapting the strategy of
multi-option retailing in order to cope up with the changing
needs of its customers (Krafft and Mantrala, 2009).
Threats
There is always hike in the cost of raw material for both food
and non-food and thus reducing the profit margin. They also
face a lot of competition worldwide and those hindering
generations of more stores due to economic recession. Other
than that threats to the Australian retail are primarily from the
higher competition level in the industry with Woolworths first
and foremost competing with the Coles Supermarket. Apart
from this, the government intervention is another major
significant factor affecting the growth of Woolworths in
particular within the Australian retail (Samson and Daft, 2012).
The rise in diseases related to consuming alcohol caused the
pressure from Government to reduce alcohol production, which
limit their sales and market share.
Capital structure Analysis
The Group deals with its capital structure and makes
acclimations to it in light of changes in monetary conditions and
the requirements of the bunch. The Group screens capital
utilizing return on value (ROE), which has been founded all
things considered value and feature income (Pershing, 2006).
The Group's arrangement is to keep proportions in accordance

lenders from a default on interest payments (Bazley & Hancock,
2013, pg.361). The higher the ratio, the stronger the company’s
financial strength is.

The Caridgans want to expand their business ventures. Cora and
Caley have discussed the idea of operating a home décor store
with the Cardigan family logo on the goods. The idea behind
this type of business is to advertise goods that will make
consumers feel that their homes represent a Cardigan lifestyle.
The Cardigans cannot decide what to name their new business,
as it is so different from their usual business variations of
clothing and sweaters. Some of the names they have come up
with include Homigans Fine Home Furnishings and Cardihome
Furnishings.
Mable Bacon has come to you as the office’s lead paralegal and
asked for you to research the best type of business that would
meet the needs of the Cardigans.
Using the facts P. Strami provided above, Ms. Bacon would like
for you to prepare a 2–3-page double-spaced memorandum to
Attorney Strami and her in size 12 Times New Roman font
discussing the following in the order presented:
· Discuss the pros and cons of three main types of business
organizations (sole proprietorship, partnerships, and
corporations) and determine which would be the best type for
the Cardigans.
· Research the names that the Cardigans have suggested and
determine whether or not these would be wise choices for their

Owing a new business is one of the big decision for any
industrialist. There are three fundamental types of business
ownership. 1st is partnership, 2nd is sole proprietorship, and the
3rd one is incorporation.
A small business with only one worker is called the owner
Sole proprietorships. on the other hand,to run a business an
industrialist needs to appoint a manager in sole proprietorship
to run the enterprise on a daily basis (Kelly, 2013). It is the
duty of owner to realize all the profits from the business and in
case of loss assumes accountability. The sole proprietorship is
the easiest form of ownership among all. It is the highly used
type of ownership. Selection and registration of the business
name is one of the essential things to be considered (Kelly,
2013). It is needed to register any business name with a local
government agency that does not completely incorporate the
personal name of the business holder (Kelly, 2013). Regarding
to the function of the business, all the choices are made by
Owners of sole proprietorships. The possessions of
entrepreneurs and its business are combinly considered in sole
proprietorships (Kelly, 2013). In short, the benefits are as
under:

· For instituting it, No formal action is required.

agreement (Kelly, 2013). There are many forms of Partnerships;
but, the most common partnerships are general partnership and
limited partnership. Entrepreneurs have to be familiar with the
characteristics of each other. Due to some reasons, A
partnership may be finished. At any time a partner may leave or
start the partnership, there is a chance of either partnership or
as well agreement termination. In some cases, there is
indication of termination of partnership in the law (Kelly,
2013). In the case of death, bankruptcy or madness of a partner
the partnership terminated. Also, if the purpose of business is
unlawful the partnership may be terminated. Its benefits are:

· As an entity, no tax is paid by the partnership.
· In taking decision, managing and capitalizing the business,
accountability is shared by Partners.

· The break-ups of partnership are on a high percentage.

liability.
· Profit is shared by Partners.

entity and an artificial person are similar. All the tasks which an
artificial person can do are performed by a corporation can
perform, just as payment of taxes, accrue debt, contracts
entering, be held responsibility of negligence and making a
profit. One or more individuals developed a corporation.
Promoters are the persons who start the process of incorporation
(Kelly, 2013). With a state agency, Articles are filed by the

loan by the Leaders than sole proprietorships.
· Transferable ownership – if the business is not manage by the
shareholders (owners), through the buying and selling of stock
ownership can change without upsetting the day-to-day business
of the corporation.
The drawbacks are:
· Double taxation – it is cleared in most of the examples that on
income which is gained from a corporation person have to pay
taxes more than one time. Income tax is paid by the corporation
on profits gained due to the Working as a legal entity. In
addition, on getting any dividends from corporation,
shareholders pay additional tax. Tax is double paid by the
Employees who are shareholders.
· Costs of Charter – To incorporate a business there are high
costs. It has fees of attorneys and state requirements.
· Deficiency of control – in a corporation ownership any control
in the daily operation of the business is not guaranteed.
Ownership of stock is allowed only to cast vote for the board of
directors. The working of business is decided by the president
or CEO.
For the Cardigans, partnership is the best kind of business
organization. It is admitted that they are two and desire to work
together. They have chosen are perfect names because these
names are not used by anyone else. These names are unique.
They are not able to incorporate their real names is the only
predicament with them. they will have to registered and copy-
write it before using these names , in this way, one can
establised and identified his own business.
