Party A and Party B have reached an agreement through friendly consultation to conclude
the following contract.
甲乙双方经友好协商，就甲方委托乙方制作网站事宜达成如下合同。

2. Obligation and rights for Party A 甲方的权利和义务

Party A should provide Party B the map of the website – the structure of the website, within
5 working days after signing the contract.
甲方须在合同签订后的 5 个工作日内提供整个网站的结构规划-网站地图。
Party A could and should give the feedback during the designing process until finish this
contract.
甲方有权并有义务及时对乙方制作的半成品和成品提出指导意见。
Party A should pay the fee according to the payments terms in this contract.
甲方应按合同规定及时支付费用。
Party A keeps the rights for the website in this contract.
甲方拥有本合同所指网站的版权。
Party A should guarantee the legalization of the material and content which provided to
Party B and responsible for all the legal risks of those materials.

3. 自行承担法律责任。
Obligation and rights from Party B 乙方的权利和义务
The service Party B provided including the whole process of designing and maintaining the
website in this contract until finish the contract. For other service, should make the affix
attached to this contract.
乙方的服务指设计制作维护合同中的网站直至合同终止，如有任何其他的服务内容，
需要另作约定作为合同附件。
Party B will finish the first version of the website within 15 working days after receiving the
requirements from Party A in written form.
乙方在收到甲方提出的书面制作要求后在 15 个工作日内完成网站设计的初稿。
Party B will also provide three free modifications for the website, for each the total working
flow is under 50% of the total content. The modification will be finished within 10 working
days after get the written form requirements from Party A.
乙方提供不超过 3 次的总工作量少于 50%的网站内容大型调整，每次调整期限为在接
到甲方通知后的 10 个工作日内完成。
Party B will help Party A for researching some contents and pictures for the website during
the designing process. Party B is only take the responsibility for the legalization for those
content and pictures researched and updated by Party B.
乙方在网站制作过程中应协助甲方进行相关资料的收集。
乙方仅对自身搜集提供的材料
的合法性承担法律责任。
不承担任何由甲方自行提供或在项目完成后自行更新的材料的
内容及图片的法律责任。
Party B also has the obligation to modify and update the contents and pictures for the
website. Also correcting the mistake during the designing and maintaining process until

4. finish the contract. The work will be finished within 3 working days after Party B received
requirements from Party A.
乙方有义务在合同约定的时间期限内及时进行日常网页文字、
图片更新并修改网页中存

Party B will keep confidential to all the content and materials for the website in this contract
and take the responsibility for that except for those Force majeure factors.
乙方承诺不得将甲方网建资料泄露给第三方，由此引起的责任由乙方承担。

Terms for payment 付款方式及制作工期

Party B will finish all the process of transferring the codes and making the website in using
within8 hours after receiving all the payments.
乙方在收到全款的工作日的 8 小时内交付/迁移源代码至甲方指定服务器上，开通网站
正式运行。

5. Party B will provide an official invoice according to Chinese Rules within 3 working days after
get the whole payments from Party A.
甲方付清全款后的三个工作日内乙方向甲方开全款普通发票。
Terms for service time slots 网站制作及完成时间
Party B will start designing and maintaining the website after get the first payment from
Party A and finish the first version within 15 working days.
乙方需在收到甲方首笔款项后开始制作， 15 个工作日内完成网站开发和测试修改。
Each feedback from Party A with modification suggestion from Party A will cost additional 10
working days more for finish the whole project.
甲方的每次书面修改意见根据工作量的不同会导致最多不超过 10 个工作日的工期顺延。
Testing and Inspection 测试修改及验收
Date for approving the inspection: the date will the day when Party A send written form of
notification to Party B to confirm the inspection, or the third working days after Party B sent
the modification to Party A and get no feedback.
验收通过日：指甲方通过邮件书面通知乙方完成验收，或在最后一次问题修改解决后，
未接到甲方的异议的第 3 个工作日，视为网站开发测试验收通过日。
All the documents provided by Party B are confirmed and recorded by the date for
approving the inspection.
所有乙方提供的材料均以验收通过日的当天为准

6. Terms for the contract 合同期限
This contract is started from _________(the signing date of the contract) and to the date of
finishing the whole projects.

The date of finishing the contract refers to 15 working days after the date of approving the
inspection.
本合同所指的项目完成日为验收通过日后的十五个工作日。
Dispute resolution 争议解决
During the lease term, any party who fails to fulfill any article of this contract without the
other party's understanding will be deemed to breach the contract. Both parties agree that
the default fine will be up to the total amount of the contract.
甲、
乙双方任何一方在未征得对方谅解的情况下，不履行本合同规定条款，导致本合同
中途中止，则视为该方违约，双方同意违约金最高为合同标的。

If Party B proponed the date of finishing the project due to the reason by Party B, Party B
will pay the default fine to Party A like ____RMB/day. If the proponed by the reason of Party
A, then there is no default fine at all.
乙方若在合同期限内，因乙方自身原因，造成不能按期限完成甲方委托的事宜，则每
延迟一日，应向甲方支付人民币 元/天，若因甲方原因，造成合同延期履行，乙方不
承担违约责任。

Both parties will solve the disputes arising from execution of the contract or in connection
with the contract through friendly consultation. In case the agreement cannot be reached,
any party may summit the dispute to the court that has the jurisdiction over the matter.
若双方在执行本合同或与本合同有关的事情时发生争议，应首先友好协商；协商不成，
可向有管辖权的人民法院提起诉讼。
本合同一经双方签字后立即生效；未经双方同意，
不得任意终止，如有未尽事宜，甲、乙双方可另行协商。
