THE DIVINE PURPOSE
We are here to build up the Ark of the Ancient of Days for all Eternity and through it to advance the Kingdom
of God on earth as it is in heaven. We are to be on hand to do whatever else the Most High Almighty God
requires, Having been purged from all sin to become the righteousness of God (I Corinthians 5:21), we must
cultivate all the gifts of the Holy Spirit within us and stir up those not yet stirred up in order to accomplish His
purpose, plan and program on earth as it is in heaven. We are to build an exceedingly magnificent house for
the Lord made up of Saints of Apostolic Prophetic Fire (Sapphire) – as the foundations of the New Earth. We
are to stand over the Last Age ensuring that the earth is a pleasant habitation – with beautiful gardens and
orchards as Heaven would only have it – Acts 3:21. We are here to have established Shammah – the attraction
of all ages; the excellence of all eras; the perfection of all posterities; and the seal of all seasons – for the love
of God and the perpetuation of eternal life (Romans 2:7)
We are to be a banner to the nations – leaders par excellence in every sphere of life on earth as it is in heaven
and thereby become a name of joy, praise, honour and renown before all nations of the earth that hear all
the good that He has done to us (Jeremiah 33:9 cf. Psalm. 126:2) so that we may proclaim His praises (I Peter
2:9). Albeit the work is temporal in stature, it is eternal in nature – on earth as it is in Heaven. The stature may
change, the nature should not – this is the treasure of transfiguration (II Corinthians 3:18 cf. Ephesians 4:13, 23).
Ours is a war of natures – nurturing the eternal nature within a temporal stature (Romans 2:7) and our agency
– indeed our insignia, our emblem – is Wisdom and Knowledge. We are a Wonder Sign of Wisdom and
Knowledge.
In the modern world of knowledge economies, repositories of wisdom and knowledge will rule.

THIS AGREEMENT is made as of this ______ day of _________________, 2019
BETWEEN:
1. TEMIC ENERGY LIMITED, a private company incorporated with limited liability in the Republic of Kenya
for the purposes hereof of Post Office Box Number 22350-00400 Nairobi, Kenya (referred to as the
“Disclosing Party” which expression shall where the context so requires include the Disclosing Party’s
successors in title and permitted assigns); and

(referred to as the “Receiving Party” which expression shall where the context so requires include the
Receiving Party’s successors in title and permitted assigns);
WHEREAS:
(A) The Parties have agreed to enter into discussions concerning the TEMIC ENERGY LIMITED transactions
(as hereinafter defined).
(B) In order to assist the Parties in evaluating a Transaction, the Disclosing Party agrees to make available
to the Receiving Party certain Confidential Information (as hereinafter defined), subject to the terms
of this Agreement.
In consideration of the mutual covenants hereinafter set out and other valuable consideration the receipt
and sufficiency of which is hereby acknowledged IT IS HEREBY AGREED as follows:
1. DEFINITIONS AND INTERPRETATION
1.1 In this Agreement (including its recitals) unless otherwise expressly provided or the context otherwise
requires the following expressions shall have the following meanings:
1.1.1 “Confidential Information” shall include all information or data (including analyses, compilations or
studies made by the Disclosing Party or by any of its Representatives) disclosed in oral, documentary,
magnetic, electronic, graphic or digitised form or by way of models or other tangible forms or by
demonstrations or observations made by the Disclosing Party or its Representatives and shall include
without limitation the following:
1.1.1.2 information relating to the financial position, marketing policies, organisational structures,
taxation and accounting position, contracts, litigation and disputes, trading position and
trading prospects relative to a Transaction and/or the sponsors thereof including without
limitation and without prejudice to anything hereinafter contained details of customers,
suppliers, debtors or creditors and any other information relating to the business, operations
processes, plans, intentions, product information, know-how, design rights, trade secrets, new
business opportunities, market opportunities and affairs relative to a Transaction and/or the
sponsors thereof;
1.1.1.3 technical information relating to any products handled or services rendered by the sponsors
of a Transaction, including, without limitation, any patentable and non-patentable works and
designs, any formulae, practices, instruments, patterns, specifications, methods of analysis,
performance descriptions, quality control, compilations of information and any other technical
information relative to a Transaction;
1.1.1.4 information relating to the officers, directors or employees of the sponsors of a Transaction
including their terms and conditions of employment or engagement; and
1.1.1.5 any other information which may be from time to time identified by the Disclosing Party as
being of a confidential nature and subject to the provisions of this Agreement;

but shall exclude any part of such disclosed information or data:
1.1.1.6 which is or becomes in the public domain in any way otherwise than in consequence of
breach of this Agreement by the Receiving Party or of its Representatives; or
1.1.1.7 which the Receiving Party can show was in its possession or known to the Receiving Party by
being in its use or being recorded in its files or computers or other recording media prior to receipt from
the Disclosing Party or on its behalf and was not previously acquired by the Receiving Party from the
Disclosing Party or on its behalf under an obligation of confidence; or
1.1.1.8 which is hereafter made generally available by the Disclosing Party or on its behalf or is
furnished to the Receiving Party by the Disclosing Party without restriction on confidentiality
with a waiver of such restriction being provided in writing by the Disclosing Party to the
Receiving Party; or
1.1.1.9 which is lawfully received by the Receiving Party without restriction on disclosure or use from
a third party which the Receiving Party in its best good faith judgment believes is free to make
such disclosure on such terms, provided always that the foregoing exceptions shall not apply
to information relating to any combination of features or any combination of items of
information merely because information relating to one or more of the relevant individual
features or one or more of the relevant items (but not the combination itself) falls within any
one or more of such exceptions;
1.1.2 “Party” means a party to this Agreement (as the context may require) and Parties shall be construed
accordingly;
1.1.3 “Purpose” shall mean, in relation to the Receiving Party, an evaluation of the prospects, financials,
assets and business relative to a Transaction and any discussions and/or negotiations between the
Parties in each case concerning or in connection with such Transaction;
1.1.4 “Representatives” means in relation to a Party that Party’s directors, officers, employees and
consultants and the professional advisers or other persons authorised by that Party to represent that
Party in connection with the Purpose; and
1.1.5 “Transaction” means the financing of various projects of TEMIC ENERGY LIMITED and the expression
“Transaction” shall be construed accordingly.
1.2 Unless the context otherwise requires, in this Agreement:
1.2.1 references to law, any statute or statutory provision shall include any law, statute or statutory provision
which amends or replaces, or has amended or replaced, it and vice versa and shall include any
subordinate legislation made under the relevant statute;
1.2.2 the definition of any document (including this Agreement) shall be deemed to be a reference to such
document as from time to time amended, varied, modified or replaced (in whole or in part) but
disregarding any amendment, variation, modification or replacement taking place in breach of such
document or this Agreement;
1.2.3 words denoting the singular number shall include the plural and vice versa and a reference to the
masculine gender includes a reference to the feminine gender and neuter gender and vice versa;
1.2.4 references to Sections, clauses and sub-clauses, unless otherwise provided, are to be construed as
references to the sections, clauses and sub-clauses of this Agreement;
1.2.5 references to writing shall include any mode of reproducing words in a legible and non-transitory form;

1.2.6 references to indemnifying any person against any circumstances include indemnifying and keeping
him harmless from all actions, claims and proceedings from time to time made against that person
and all loss or damage and all payments, costs or expenses made or incurred by that person as a
consequence of or which would not have arisen but for that circumstance;
1.2.7 the word “tax” shall be construed so as to include any tax, levy, impost, assessment, duty or other charge
of a similar nature (including, without limitation, value added tax, stamp duty and any penalty or interest
payable in connection with any failure to pay or any delay in paying any of the same) and “taxation”
shall be construed accordingly;
1.2.8 the expression “person” includes a natural person, trust, joint venture, body corporate, unincorporated
body or association of persons, state agency, governmental authority or partnership; and
1.2.9 costs, charges, expenses or remuneration shall be deemed to include, in addition, references to any
tax charged or chargeable in respect thereof.
1.3 Section headings are for convenience only and shall not affect the construction of this Agreement.
1.4 If a definition of a particular term or expression in this Agreement imposes substantive rights and
obligations on a Party, such rights and obligations shall be given effect and shall be enforceable
notwithstanding that they are contained in a definition.
1.5 Where any term is defined within the context of any particular clause in this Agreement the term so
defined, unless it is clear from the clause in question that the term so defined has limited application
to the relevant clause, shall bear the meaning ascribed to it for all purposes in this Agreement
notwithstanding that that term has not been defined in this Section 1.
1.6 Any covenant by a Party not to do an act or thing shall be deemed to include an obligation not to
permit or suffer such act or thing to be done by another person so far as this is within its power or
control.
2. HANDLING OF CONFIDENTIAL INFORMATION
2.1 In consideration of the Disclosing Party disclosing or agreeing to disclose the Confidential Information
to the Receiving Party and/or its Representatives, the Receiving Party undertakes for itself and on
behalf of its Representatives the following:
2.1.1 to maintain the Confidential Information in confidence and to use it only for the Purpose and for no
other purpose and in particular but without prejudice to the generality of the foregoing:
2.1.1.1 not to make any commercial use thereof; and
2.1.1.2 not to use the same for the benefit of itself or of any third party other than pursuant to a further
agreement in respect of the particular Transaction;
2.1.2 not to copy, reproduce or reduce to writing any part of the Confidential Information except as may
be reasonably necessary for the Purpose and that any copies, reproductions or reductions to writing
so made shall be the property of the Disclosing Party;
2.1.3 not directly or indirectly disclose the Confidential Information to any person except in confidence to
such of its employees, directors or professional advisers (including its Representatives) who need to
know the same for the Purpose provided always that such employees, directors or professional
advisers are obliged by their contracts of employment service or engagement not to disclose the
same;
2.1.4 to be responsible for the performance of the obligations in clause 2.1.1 on the part of the Receiving
Party’s Representatives to whom the Confidential Information is disclosed;

2.1.5 to apply to the Confidential Information no lesser security measures and degree of care than those
which the Receiving Party applies to its own confidential or proprietary information and which the
Receiving Party warrants as providing adequate protection of such information from unauthorised
disclosure, copying or use; and
2.1.6 to maintain a list of all persons to whom any Confidential Information is disclosed and to make
available such list to the Disclosing Party upon request.
2.2 The Receiving Party agrees, warrants, acknowledges and undertakes with and to the Disclosing Party
that:
2.2.1 other than as set out in Section 3, no contact (direct or indirect) in connection with the Purpose will
be made by the Receiving Party or on its behalf with any customer or supplier of the Disclosing Party
or with any governmental body or regulatory authority or with any other person connected with the
Disclosing Party without in any such case the prior written consent of the Disclosing Party;
2.2.2 documents whether containing Confidential Information or otherwise made available to the
Receiving Party or to its Representatives prior to or in the course of or for the purposes of the Purpose
will not constitute any offer by any other party nor will such documents or the information contained
therein form (save to the extent expressly provided therein) the basis of any contract; and
2.2.3 the Receiving Party will be solely responsible for making its own decision on the Confidential
Information and any other documentation or data supplied to the Receiving Party or its
Representatives in relation to the Purpose.
2.3 The Disclosing Party represents and warrants that it has or will have at the time of disclosure the legal
right and authority to disclose the Confidential Information pursuant to this Agreement.
Notwithstanding anything in this Agreement, the nature and extent of the Confidential Information
to be disclosed shall be at the sole discretion of the Disclosing Party, and no representation or
warranty is made by the Disclosing Party regarding the completeness, fitness for a particular purpose
or accuracy of the Confidential Information or any such other information which the Disclosing Party
furnishes to the Receiving Party for the Purpose.
3. DISCLOSURE REQUIRED BY LAW
3.1 Notwithstanding anything hereinbefore set out, the Receiving Party shall be entitled to make any
disclosure required by law of any Confidential Information provided always that it shall:
3.1.1 promptly notify the Disclosing Party of the existence, terms and circumstances surrounding the
proposed disclosure;
3.1.2 consult with the Disclosing Party on the advisability of taking legally available steps to resist or narrow
such request; and
3.1.3 assist the Disclosing Party in seeking to limit or oppose such disclosure.
3.2 In the event such disclosure is not successfully limited or opposed:
3.2.1 the Receiving Party may disclose only that portion of the Confidential Information that it is advised by
legal counsel is legally required to be disclosed, and shall exercise its best efforts to obtain assurance
that confidential treatment will be accorded to the Confidential Information by the recipient; and
3.2.2 the Receiving Party shall not be liable for such disclosure unless it was caused by or resulted from a
previous disclosure by the Receiving Party’s employees, directors or professional advisers (including its
Representatives) not permitted by this Agreement.

4. NOTICE OF BREACH
4.1 Upon discovery of any unauthorised disclosure or suspected disclosure of Confidential Information,
the Receiving Party shall:
4.1.1 promptly provide a written report to the Disclosing Party of such unauthorised disclosure or suspected
disclosure (including to whom such disclosure was made or possibly made, the time in which it
occurred or may have occurred, the purpose or suspected purpose of the disclosure and what
specific aspect of the Confidential Information was disclosed or possibly disclosed); and
4.1.2 immediately return to the Disclosing Party, if requested by the Disclosing Party, all such Confidential
Information, in whatsoever form, including any and all copies thereof in accordance with Section 5
below.
5. RETURN OF CONFIDENTIAL INFORMATION
5.1 The Receiving Party shall procure that its Representatives shall:
5.1.1 within thirty (30) days of completion of the Purpose relative to a Transaction or receipt or receipt of a
written request from the Disclosing Party return to the Disclosing Party (or as it shall direct) or destroy all
documents and materials (and all copies thereof) containing the Confidential Information and will
delete and expunge from any computers and other like devices for storage of information in the
possession or control of the Receiving Party or any of its Representatives all Confidential Information
without retaining any copies thereof and certify in writing to the Disclosing Party that it and its
Representatives have complied with the requirements of this sub-clause 5.1.1; and
5.1.2 notwithstanding completion of the Purpose relative to a Transaction or return of documents and
materials as aforesaid, continue to be bound by the undertakings set out in Section 2.
6. CONFIDENTIALITY
6.1 Neither Party shall disclose, publicize or advertise in any manner the discussions or negotiations
contemplated by this Agreement or the existence of this Agreement without the prior written consent
of the other Party, except as may be required by law.
7. NON-CIRCUMVENTION
7.1 The Parties and/or their affiliates of what so ever nature shall not in any manner solicit and/or accept
any business from sources that have been made available by and through the Parties, nor in any
manner shall access, contact, solicit and/or conduct any Transaction with such said sources, without
the express and specific permission of the Party that made such sources available.
7.2 The Parties shall maintain complete confidentiality regarding each other’s business and/or their
affiliates and shall only disclose knowledge pertaining to these specifically named Parties as permitted
by the concerned Party, unless agreed and granted and expressed written permission of and by the
Party that made the source available.
8. IMMEDIATE OBLIGATION
8.1 Each Party acknowledges and confirms that the provisions of this Agreement are intended to impose
an immediately binding legal obligation and save to the extent otherwise expressly provided are to
continue indefinitely unless and until a Party relieves the other of its respective obligations in this
Agreement. Notwithstanding the above or the return of the Confidential Information to the other
Party, the obligations imposed by this Agreement on the Parties in relation to the Confidential
Information, including but not limited to non-disclosure and non-use, shall endure so long as the
Confidential Information does not become part of the public domain through no breach or
unauthorised act or omission on the part of either Party or of its obligations hereunder.

9. NOTICES
9.1 All notices under this Agreement shall be in writing and shall be sent by hand delivery registered post
or facsimile to the party being served at its address specified below or at such other address of which
such party shall have given notice as aforesaid and marked for the attention of that person referred
to below.

9.2 The date of service shall be deemed to be the day following the day on which the notice was
delivered or transmitted (in the case of hand delivery or facsimile) or seventy-two (72) hours after
posting if delivered by registered post.
10. NON-ASSIGNMENT
10.1 This Agreement is personal to the Parties and shall not be assigned or otherwise transferred in whole
or in part by either Party without the prior written consent of the other Party.
11. SEVERABILITY
11.1 Each provision of this Agreement (including each undertaking and part thereof) shall be construed
separately and independently from each other provision and notwithstanding that such provision
and/or undertaking (or any part thereof) may prove to be illegal or unenforceable the remaining
provisions and undertakings of this Agreement shall continue in full force and effect.
12. GOVERNING LAW
12.1 The interpretation, construction and effect of this Agreement shall be governed by and construed in
all respects in accordance with the laws of Kenya.
13. JURISDICTION
13.1 The parties hereby submit to the non-exclusive jurisdiction of the courts of Kenya.
14. ENTIRE AGREEMENT
14.1 This Agreement constitutes the entire Agreement and understanding between the Parties in respect
of the Confidential Information and supersedes all previous agreements, understandings and
undertakings in respect thereof and all obligations implied by law to the extent that they conflict
with the express provisions of this Agreement and the provisions of this Agreement may be amended

only in a writing, signed by the Parties hereto.
15. GENERAL
15.1 No failure or delay to exercise any right, power or remedy by either Party shall operate as a waiver of
that right, power or remedy, and no single or partial exercise by either Party of any right, power or
remedy shall preclude its further exercise or the exercise of any other right power or remedy.
15.2 This Agreement is in the English language only, which language shall be controlling in all respects. No
translation, if any, of this Agreement into any other language shall be of any force or effect in the
interpretation of this Agreement or in the determination of the intent of the Parties.
15.3 This Agreement may be executed in any number of counterparts, all of which taken together shall
constitute one and the same agreement.

AFFORDABLE HOUSING & MIXED USE DEVELOPMENTS

If the group is requested to submit Technical and Financial Proposals for any Projects, during the tendering
stage more detailed information about task assignments and work plan as well as the sub-contractor
companies for electrical and mechanical works will be given as a part of the Technical Proposals.
The group has formed an organisation structure that ensures the effective communication, coordination and
integration of efforts for any project, and those teams are defined below. They have structured basically ten

Consulting and Supervisory Group (CSG) is responsible on providing their multidisciplinary expertise on the
works assigned in the project and will provide direction to the nature and requirements of the works that will
be used in the completion of the construction works outputs.
They envisage that any Project needs a team of specialists in disciplines of construction Management,
architectural Design, Electrical works, Mechanical works, Structure Works, as well as Financial Management,
who will all contribute to the construction works with their respective disciplines and improve the value of the
outputs of the construction works. There is no vertical linkages within this group instead there are horizontal
linkages between different disciplines in order to provide opportunity for coordination among our experts to
achieve unity of consulting efforts of each.
The Projector Director & Coordinator; besides his functional duties as a Director of the Project, also carries the
liaison role between supervisory and consulting specialists.
Project Coordination Unit (PCU) is a full time integrator in the works of all groups. As an integrator, PCU is
responsible on achieving the coordination between each team as well as within each team, confronting
problems, and providing logistic services and support. PCU is responsible for the successful implementation of

Technical Management Group (TMG) is responsible for preparing shop drawings and as built drawings, as well

account holder to complete his transaction with our client. This instrument shall be sent via swift MT-542 upon
receipt of your conditional terms for advising the same and the verbiage that you will accept in the swift.
Once you respond to this email with a confirmation of your readiness to proceed, with a conditional term
sheet and the acceptable verbiage for the MT-542, we will send you a stamped confirmation of verbiage
from the sending bank.
Your acceptance of the transmitted MT-542 along our receipt of the conditional term sheet will act a binding

The collateral commitments (MTNS) that they are "assigned" to trade by IMF and World Bank come with
defined and specific program allocations specifically connected to each collateral allocation / program.
We commit to provide (along with the issuing bank) a pre negotiated program participation cost connected
to each issue. Proceed to client's are allocated and derived from our placement activities.
It is our preference to work with client funds of $100M+ cash or instruments of $150M held in First World Banks.
We will accept second and third world banks on a case by case basis.
For clients with cash in First World Banks, our methodology for blocking is simple and painless. We use an
administrative hold/reservation which is confirmed in a number of different ways depending on which bank
the asset / account is in. It can be as simple as an E-mail between officers, it maybe by swift MT799 (in the
case of cash or C. D. ) or MT542 ( in the case of a B. G. or SBLC ). In some cases it can be as simple as a 'Bank
Draft Letter' by courier delivery confirming the blocked / reserved status of the account.
For cash or instruments held in Asian or second and third world banks, we use a MT760 blocking. This protocol
will vary based on the bank & location. In all cases we reimburse the client all banking fees associated with
these blocking protocols within three-five banking days of delivery and confirmation.
There are non-swift blocking methods available for most all HSBC accounts worldwide.
On occasion there just is a bullet program available now until the end of this month that can pay an
accelerated return within 10 to 15 banking days. These bullet programs are normally to "clean up" batches of
collateral from platform's that failed to meet 'program fees' and were suspended by ECB.,IMF or the FED
through "reasons of non-compliance", usually regarding proceeds activities on the part of the client or
platform. These batches of collateral are offered to us by our trade bankers within the trade banks, and are
'flash traded' in large quantities in short periods of time which allow for the larger than normal returns.

We are to be on hand to do whatever else the Most High Almighty God requires, Having been purged from all sin to become the righteousness of God (I Corinthians 5:21), we must cultivate all the gifts of the Holy Spirit within us and stir up those not yet stirred up in order to accomplish His purpose, plan and program on earth as it is in heaven. We are to build an exceedingly magnificent house for the Lord made up of Saints of Apostolic Prophetic Fire (Sapphire) – as the foundations of the New Earth. We are to stand over the Last Age ensuring that the earth is a pleasant habitation – with beautiful gardens and orchards as Heaven would only have it – Acts 3:21. We are here to have established Shammah – the attraction of all ages; the excellence of all eras; the perfection of all posterities; and the seal of all seasons – for the love of God and the perpetuation of eternal life (Romans 2:7) We are to be a banner to the nations – leaders par excellence in every sphere of life on earth as it is in heaven and thereby become a name of joy, praise, honour and renown before all nations of the earth that hear all the good that He has done to us (Jeremiah 33:9 cf. TEMIC ENERGY LIMITED, a private company incorporated with limited liability in the Republic of Kenya for the purposes hereof of Post Office Box Number 22350-00400 Nairobi, Kenya (referred to as the “Disclosing Party” which expression shall where the context so requires include the Disclosing Party’s successors in title and permitted assigns); and 2. ………………………………………………………………………………………………………………………… (referred to as the “Receiving Party” which expression shall where the context so requires include the Receiving Party’s successors in title and permitted assigns); WHEREAS: (A) The Parties have agreed to enter into discussions concerning the TEMIC ENERGY LIMITED transactions (as hereinafter defined). (B) In order to assist the Parties in evaluating a Transaction, the Disclosing Party agrees to make available to the Receiving Party certain Confidential Information (as hereinafter defined), subject to the terms of this Agreement. In consideration of the mutual covenants hereinafter set out and other valuable consideration the receipt and sufficiency of which is hereby acknowledged IT IS HEREBY AGREED as follows: 1. DEFINITIONS AND INTERPRETATION 1.1 In this Agreement (including its recitals) unless otherwise expressly provided or the context otherwise requires the following expressions shall have the following meanings: 1.1.1 “Confidential Information” shall include all information or data (including analyses, compilations or studies made by the Disclosing Party or by any of its Representatives) disclosed in oral, documentary, magnetic, electronic, graphic or digitised form or by way of models or other tangible forms or by demonstrations or observations made by the Disclosing Party or its Representatives and shall include without limitation the following: 1.1.1.2 information relating to the financial position, marketing policies, organisational structures, taxation and accounting position, contracts, litigation and disputes, trading position and trading prospects relative to a Transaction and/or the sponsors thereof including without limitation and without prejudice to anything hereinafter contained details of customers, suppliers, debtors or creditors and any other information relating to the business, operations processes, plans, intentions, product information, know-how, design rights, trade secrets, new business opportunities, market opportunities and affairs relative to a Transaction and/or the sponsors thereof; 1.1.1.3 technical information relating to any products handled or services rendered by the sponsors of a Transaction, including, without limitation, any patentable and non-patentable works and designs, any formulae, practices, instruments, patterns, specifications, methods of analysis, performance descriptions, quality control, compilations of information and any other technical information relative to a Transaction; 1.1.1.4 information relating to the officers, directors or employees of the sponsors of a Transaction including their terms and conditions of employment or engagement; and 1.1.1.5 any other information which may be from time to time identified by the Disclosing Party as being of a confidential nature and subject to the provisions of this Agreement;

TEL: +254-729-252856 / +254-728-141741 / +254-722-335410 EMAIL: INFO@TEMICENERGY.COM, INFO@THEREPUBLIC.CO.KE, WEBSITE: WWW.TEMICENERGY.COM, WWW.THEREPUBLIC.CO.KE, SKYPE: TEMIC.ENERGY but shall exclude any part of such disclosed information or data: 1.1.1.6 which is or becomes in the public domain in any way otherwise than in consequence of breach of this Agreement by the Receiving Party or of its Representatives; or 1.1.1.7 which the Receiving Party can show was in its possession or known to the Receiving Party by being in its use or being recorded in its files or computers or other recording media prior to receipt from the Disclosing Party or on its behalf and was not previously acquired by the Receiving Party from the Disclosing Party or on its behalf under an obligation of confidence; or 1.1.1.8 which is hereafter made generally available by the Disclosing Party or on its behalf or is furnished to the Receiving Party by the Disclosing Party without restriction on confidentiality with a waiver of such restriction being provided in writing by the Disclosing Party to the Receiving Party; or 1.1.1.9 which is lawfully received by the Receiving Party without restriction on disclosure or use from a third party which the Receiving Party in its best good faith judgment believes is free to make such disclosure on such terms, provided always that the foregoing exceptions shall not apply to information relating to any combination of features or any combination of items of information merely because information relating to one or more of the relevant individual features or one or more of the relevant items (but not the combination itself) falls within any one or more of such exceptions; 1.1.2 “Party” means a party to this Agreement (as the context may require) and Parties shall be construed accordingly; 1.1.3 “Purpose” shall mean, in relation to the Receiving Party, an evaluation of the prospects, financials, assets and business relative to a Transaction and any discussions and/or negotiations between the Parties in each case concerning or in connection with such Transaction; 1.1.4 “Representatives” means in relation to a Party that Party’s directors, officers, employees and consultants and the professional advisers or other persons authorised by that Party to represent that Party in connection with the Purpose; and 1.1.5 “Transaction” means the financing of various projects of TEMIC ENERGY LIMITED and the expression “Transaction” shall be construed accordingly. 1.2 Unless the context otherwise requires, in this Agreement: 1.2.1 references to law, any statute or statutory provision shall include any law, statute or statutory provision which amends or replaces, or has amended or replaced, it and vice versa and shall include any subordinate legislation made under the relevant statute; 1.2.2 the definition of any document (including this Agreement) shall be deemed to be a reference to such document as from time to time amended, varied, modified or replaced (in whole or in part) but disregarding any amendment, variation, modification or replacement taking place in breach of such document or this Agreement; 1.2.3 words denoting the singular number shall include the plural and vice versa and a reference to the masculine gender includes a reference to the feminine gender and neuter gender and vice versa; 1.2.4 references to Sections, clauses and sub-clauses, unless otherwise provided, are to be construed as references to the sections, clauses and sub-clauses of this Agreement; 1.2.5 references to writing shall include any mode of reproducing words in a legible and non-transitory form;

TEL: +254-729-252856 / +254-728-141741 / +254-722-335410 EMAIL: INFO@TEMICENERGY.COM, INFO@THEREPUBLIC.CO.KE, WEBSITE: WWW.TEMICENERGY.COM, WWW.THEREPUBLIC.CO.KE, SKYPE: TEMIC.ENERGY 1.2.6 references to indemnifying any person against any circumstances include indemnifying and keeping him harmless from all actions, claims and proceedings from time to time made against that person and all loss or damage and all payments, costs or expenses made or incurred by that person as a consequence of or which would not have arisen but for that circumstance; 1.2.7 the word “tax” shall be construed so as to include any tax, levy, impost, assessment, duty or other charge of a similar nature (including, without limitation, value added tax, stamp duty and any penalty or interest payable in connection with any failure to pay or any delay in paying any of the same) and “taxation” shall be construed accordingly; 1.2.8 the expression “person” includes a natural person, trust, joint venture, body corporate, unincorporated body or association of persons, state agency, governmental authority or partnership; and 1.2.9 costs, charges, expenses or remuneration shall be deemed to include, in addition, references to any tax charged or chargeable in respect thereof. 1.3 Section headings are for convenience only and shall not affect the construction of this Agreement. 1.4 If a definition of a particular term or expression in this Agreement imposes substantive rights and obligations on a Party, such rights and obligations shall be given effect and shall be enforceable notwithstanding that they are contained in a definition. 1.5 Where any term is defined within the context of any particular clause in this Agreement the term so defined, unless it is clear from the clause in question that the term so defined has limited application to the relevant clause, shall bear the meaning ascribed to it for all purposes in this Agreement notwithstanding that that term has not been defined in this Section 1. 1.6 Any covenant by a Party not to do an act or thing shall be deemed to include an obligation not to permit or suffer such act or thing to be done by another person so far as this is within its power or control. 2. HANDLING OF CONFIDENTIAL INFORMATION 2.1 In consideration of the Disclosing Party disclosing or agreeing to disclose the Confidential Information to the Receiving Party and/or its Representatives, the Receiving Party undertakes for itself and on behalf of its Representatives the following: 2.1.1 to maintain the Confidential Information in confidence and to use it only for the Purpose and for no other purpose and in particular but without prejudice to the generality of the foregoing: 2.1.1.1 not to make any commercial use thereof; and 2.1.1.2 not to use the same for the benefit of itself or of any third party other than pursuant to a further agreement in respect of the particular Transaction; 2.1.2 not to copy, reproduce or reduce to writing any part of the Confidential Information except as may be reasonably necessary for the Purpose and that any copies, reproductions or reductions to writing so made shall be the property of the Disclosing Party; 2.1.3 not directly or indirectly disclose the Confidential Information to any person except in confidence to such of its employees, directors or professional advisers (including its Representatives) who need to know the same for the Purpose provided always that such employees, directors or professional advisers are obliged by their contracts of employment service or engagement not to disclose the same; 2.1.4 to be responsible for the performance of the obligations in clause 2.1.1 on the part of the Receiving Party’s Representatives to whom the Confidential Information is disclosed;

TEL: +254-729-252856 / +254-728-141741 / +254-722-335410 EMAIL: INFO@TEMICENERGY.COM, INFO@THEREPUBLIC.CO.KE, WEBSITE: WWW.TEMICENERGY.COM, WWW.THEREPUBLIC.CO.KE, SKYPE: TEMIC.ENERGY 2.1.5 to apply to the Confidential Information no lesser security measures and degree of care than those which the Receiving Party applies to its own confidential or proprietary information and which the Receiving Party warrants as providing adequate protection of such information from unauthorised disclosure, copying or use; and 2.1.6 to maintain a list of all persons to whom any Confidential Information is disclosed and to make available such list to the Disclosing Party upon request. 2.2 The Receiving Party agrees, warrants, acknowledges and undertakes with and to the Disclosing Party that: 2.2.1 other than as set out in Section 3, no contact (direct or indirect) in connection with the Purpose will be made by the Receiving Party or on its behalf with any customer or supplier of the Disclosing Party or with any governmental body or regulatory authority or with any other person connected with the Disclosing Party without in any such case the prior written consent of the Disclosing Party; 2.2.2 documents whether containing Confidential Information or otherwise made available to the Receiving Party or to its Representatives prior to or in the course of or for the purposes of the Purpose will not constitute any offer by any other party nor will such documents or the information contained therein form (save to the extent expressly provided therein) the basis of any contract; and 2.2.3 the Receiving Party will be solely responsible for making its own decision on the Confidential Information and any other documentation or data supplied to the Receiving Party or its Representatives in relation to the Purpose. 2.3 The Disclosing Party represents and warrants that it has or will have at the time of disclosure the legal right and authority to disclose the Confidential Information pursuant to this Agreement. Notwithstanding anything in this Agreement, the nature and extent of the Confidential Information to be disclosed shall be at the sole discretion of the Disclosing Party, and no representation or warranty is made by the Disclosing Party regarding the completeness, fitness for a particular purpose or accuracy of the Confidential Information or any such other information which the Disclosing Party furnishes to the Receiving Party for the Purpose. 3. DISCLOSURE REQUIRED BY LAW 3.1 Notwithstanding anything hereinbefore set out, the Receiving Party shall be entitled to make any disclosure required by law of any Confidential Information provided always that it shall: 3.1.1 promptly notify the Disclosing Party of the existence, terms and circumstances surrounding the proposed disclosure; 3.1.2 consult with the Disclosing Party on the advisability of taking legally available steps to resist or narrow such request; and 3.1.3 assist the Disclosing Party in seeking to limit or oppose such disclosure. 3.2 In the event such disclosure is not successfully limited or opposed: 3.2.1 the Receiving Party may disclose only that portion of the Confidential Information that it is advised by legal counsel is legally required to be disclosed, and shall exercise its best efforts to obtain assurance that confidential treatment will be accorded to the Confidential Information by the recipient; and 3.2.2 the Receiving Party shall not be liable for such disclosure unless it was caused by or resulted from a previous disclosure by the Receiving Party’s employees, directors or professional advisers (including its Representatives) not permitted by this Agreement.

NOTICE OF BREACH 4.1 Upon discovery of any unauthorised disclosure or suspected disclosure of Confidential Information, the Receiving Party shall: 4.1.1 promptly provide a written report to the Disclosing Party of such unauthorised disclosure or suspected disclosure (including to whom such disclosure was made or possibly made, the time in which it occurred or may have occurred, the purpose or suspected purpose of the disclosure and what specific aspect of the Confidential Information was disclosed or possibly disclosed); and 4.1.2 immediately return to the Disclosing Party, if requested by the Disclosing Party, all such Confidential Information, in whatsoever form, including any and all copies thereof in accordance with Section 5 below. 5. RETURN OF CONFIDENTIAL INFORMATION 5.1 The Receiving Party shall procure that its Representatives shall: 5.1.1 within thirty (30) days of completion of the Purpose relative to a Transaction or receipt or receipt of a written request from the Disclosing Party return to the Disclosing Party (or as it shall direct) or destroy all documents and materials (and all copies thereof) containing the Confidential Information and will delete and expunge from any computers and other like devices for storage of information in the possession or control of the Receiving Party or any of its Representatives all Confidential Information without retaining any copies thereof and certify in writing to the Disclosing Party that it and its Representatives have complied with the requirements of this sub-clause 5.1.1; and 5.1.2 notwithstanding completion of the Purpose relative to a Transaction or return of documents and materials as aforesaid, continue to be bound by the undertakings set out in Section 2. 6. CONFIDENTIALITY 6.1 Neither Party shall disclose, publicize or advertise in any manner the discussions or negotiations contemplated by this Agreement or the existence of this Agreement without the prior written consent of the other Party, except as may be required by law. 7. NON-CIRCUMVENTION 7.1 The Parties and/or their affiliates of what so ever nature shall not in any manner solicit and/or accept any business from sources that have been made available by and through the Parties, nor in any manner shall access, contact, solicit and/or conduct any Transaction with such said sources, without the express and specific permission of the Party that made such sources available. 7.2 The Parties shall maintain complete confidentiality regarding each other’s business and/or their affiliates and shall only disclose knowledge pertaining to these specifically named Parties as permitted by the concerned Party, unless agreed and granted and expressed written permission of and by the Party that made the source available. 8. IMMEDIATE OBLIGATION 8.1 Each Party acknowledges and confirms that the provisions of this Agreement are intended to impose an immediately binding legal obligation and save to the extent otherwise expressly provided are to continue indefinitely unless and until a Party relieves the other of its respective obligations in this Agreement. Notwithstanding the above or the return of the Confidential Information to the other Party, the obligations imposed by this Agreement on the Parties in relation to the Confidential Information, including but not limited to non-disclosure and non-use, shall endure so long as the Confidential Information does not become part of the public domain through no breach or unauthorised act or omission on the part of either Party or of its obligations hereunder.

SEVERABILITY 11.1 Each provision of this Agreement (including each undertaking and part thereof) shall be construed separately and independently from each other provision and notwithstanding that such provision and/or undertaking (or any part thereof) may prove to be illegal or unenforceable the remaining provisions and undertakings of this Agreement shall continue in full force and effect. 12. GOVERNING LAW 12.1 The interpretation, construction and effect of this Agreement shall be governed by and construed in all respects in accordance with the laws of Kenya. 13. JURISDICTION 13.1 The parties hereby submit to the non-exclusive jurisdiction of the courts of Kenya. 14. ENTIRE AGREEMENT 14.1 This Agreement constitutes the entire Agreement and understanding between the Parties in respect of the Confidential Information and supersedes all previous agreements, understandings and undertakings in respect thereof and all obligations implied by law to the extent that they conflict with the express provisions of this Agreement and the provisions of this Agreement may be amended

We commit to provide (along with the issuing bank) a pre negotiated program participation cost connected to each issue. Proceed to client's are allocated and derived from our placement activities. It is our preference to work with client funds of $100M+ cash or instruments of $150M held in First World Banks. We will accept second and third world banks on a case by case basis. For clients with cash in First World Banks, our methodology for blocking is simple and painless. We use an administrative hold/reservation which is confirmed in a number of different ways depending on which bank the asset / account is in. It can be as simple as an E-mail between officers, it maybe by swift MT799 (in the case of cash or C. D. ) or MT542 ( in the case of a B. G. or SBLC ). In some cases it can be as simple as a 'Bank Draft Letter' by courier delivery confirming the blocked / reserved status of the account. For cash or instruments held in Asian or second and third world banks, we use a MT760 blocking. This protocol will vary based on the bank & location. In all cases we reimburse the client all banking fees associated with these blocking protocols within three-five banking days of delivery and confirmation. There are non-swift blocking methods available for most all HSBC accounts worldwide. On occasion there just is a bullet program available now until the end of this month that can pay an accelerated return within 10 to 15 banking days. These bullet programs are normally to "clean up" batches of collateral from platform's that failed to meet 'program fees' and were suspended by ECB.,IMF or the FED through "reasons of non-compliance", usually regarding proceeds activities on the part of the client or platform. These batches of collateral are offered to us by our trade bankers within the trade banks, and are 'flash traded' in large quantities in short periods of time which allow for the larger than normal returns.
