MTN TRANSACTION PROCEDURES
(No Sovereign Guarantee Required)
❑ Based on Republic’s Name request, Temic Energy Limited will instruct its
bank, USCPB to create and issue a Gold-backed 10 Year MTN of 10000M€,
with a fixed coupon rate of 8.8% p.a., to be Monetized for Sovereign Project
Financing of Republic’s Name
❑ Price Guide: The Valuation of this 10 Year MTN is €14,947,517,645 (Present
Value), approx. €15,000M. Its Safe Keeping Receipt (SKR) will be provided
at delivery
❑ Republic’s Name will register with us and upload all relevant KYC and
project/s documentation (see page 5 & 6 and follow this guide) and will be
responsible for the arrangement & 3rd party service charges (see
breakdown on page 3).
❑ USCPB will register the MTN with ISIN & provide Bloomberg, Euroclear
Screenshots
❑ RWA & Hard Copy of MTN + Coupons + SKR will be sent to Monetization
Bank – Delivery Vs. Payment
❑ After receiving the Hard Copy of MTN + Coupons + SKR, Monetization
Bank will deposit the fund (Loan) into each party’s account in the
Monetizing Bank.
❑ USCPB will immediately Transfer Title by sending SWIFT MT542 to
Monetization Bank, through HSBC Bank Plc, London as the Corresponding
Bank
❑ USCPB will trade its 10000M€, and payout coupons of 8.8% p.a. for 10
Years; Total Annual Payments: 8,800M€
❑ USCPB will undertake to service the Loan, on behalf of Republic’s Name
❑ TEMIC will hold the % of the SPV Project/s. The exit plan will be finalized
between Republic’s Name and TEMIC.
❑ The SPV Project initially receives Non-Recourse Project Finance of 4948M€,
less monetization costs, arrangement fees & commissions
