Remuneration Policy for Directors
A) Non – executive directors
1) Sitting Fees - Every non – executive directors of the Company may receive
such amount as sitting fees may be decided by the Board for attending every
Board Meeting and Committee Meeting in which such director is a member.
2) Re – imbursement of travelling and hotel expenses – The non – executive
directors shall be entitled to reimbursement of expenses on account of
travelling and hotel expenses for attending board and / or committee
meetings and / or visit to any place on Company’s business.
B) Executive Directors
As fixed from time to time by the Nomination & Remuneration Committee,
Board of Directors and shareholders within the overall ceiling mentioned
under Companies Act, 2013.
In case of loss or inadequate profits, the Executive Directors shall receive
remuneration as per the limits prescribed under Section II, Part II of Schedule
V as minimum remuneration.”

  • 1.
