Building Crisis-Ready Board Secretaries: How Ready are You?
When crisis looms, board members are exposed in ways that may be unfamiliar
and board secretaries are drawn into an active role to help aid the board in
navigating through these crises. In this scenario analysis stimulation, delegates
are encouraged to address challenges inherent and propose potential solutions in
responding to the situation.
Scenario I
One of Africa’s largest, most successful travel businesses is declining under its own
weight. The two founders hold all the equity, are themselves the board, and have
trouble delegating. You are one of the top staffers - how would you advise them to
refresh their governance?
Scenario II
Some current financial numbers do not look good, but the CEO is sure he can fix the
problem in short order, and tells the company secretary ‘do not tell the board about
this’ – how do you respond?

The New General Counsel: Helping the Board Tackle Crises!
Every board needs a well-informed strategic legal advisor with a holistic view
across all aspects of emerging governance risks and issues. In this scenario analysis
stimulation, delegates are encouraged to address challenges inherent and propose
potential solutions in responding to the situation.
Scenario I
Hidden risk: Crises that suddenly explode into view, such as serious frauds or
ongoing ethical breaches. These risks take a similar path to the major physical
events, but their onset is concealed until they spring up.
Scenario II
Strategic crisis: It is a long-term crisis that builds up slowly over time to the point
where the organisation’s very operating model is challenged and sometimes
tipped over the edge. Think Kodak’s camera film business or Blockbuster’s video
rental store.

Staying Ahead: Distinguishing Regulators’ Shifting Focus in Africa to Uphold Strong Compliance Standards in the Boardroom
Known to be irregular and uncertain, the regulatory landscape in Africa is prone to amendments to its laws and regulations. All regulator developments will significantly influence many
boardrooms in the region. To avoid being liable for non-compliance, it is crucial for board secretaries and legal counsels to stay in the loop for these updates that could lead to irreversible
consequence for the company, and ultimately, themselves. In this session, the speaker will share his inputs on new regulatory developments and discuss its impact on your role.

It is increasingly clear that just because something is ‘legal’ does not mean it is

how you can go beyond legal requirements and exhibit values focused on ‘doing

Today’s legal counsels need the ability to look beyond legal compliance and
grasp the ethical and reputational implication of a legal action. Share your best

Responding and Handling Conflict of Interest and Other Inappropriate Actions by Board Members
At the best of times, there can be tension, conflict and misunderstandings between board members as they bring to the boardroom their different backgrounds, expectations and needs.
How do you as the board’s corporate governance expert cope with such situations?
In this session, participants imagine they are faced with a range of scenarios. You will brainstorm, to explore in what ways you might respond to and address each scenario, recognising
there is often no simple black and white answer. We aim to channel the content to emulate the circumstances and best course of actions to be taken under emulated conditions.
Scenarios:
• One of your non-executive board member also sits on the board of another organisation that is entering into a legal dispute with your group
• A board member sits on the board of another organisation which has just tendered to try to win a large supplier contract with your group
• You hear that your board’s chairman wife is a partner at a law firm that is marketing its services to your firm’s legal counsel department
• One long serving non-executive director attends few meetings and never seems to read the board packs sent to him before each meeting

POST CONFERENCE WORKSHOP - DAY THREE
wednesday 19th
October 2016
BRAIN-BASED TECHNIQUE WORKSHOP
Recharging Yourself to Excel in the Boardroom and Beyond
“Leadership is not about a title or designation. It is about impact, influence and
inspiration’ – Robin S. Sharma
How can you be more successful in your company secretarial and legal counsel
roles and careers? It starts with knowing and leading yourself. To explore your
blind spots, habits and unconscious ways of interacting with others through
developing excellent self-awareness, presence, focus and attention. These
practices will enable you to be more passionate about what you care about,
focus on and want to achieve. They also help you to know your true worth,
purpose and values you wish to live by as a leader.
Through effective and collaborative conversations, an effective company
secretary or legal counsel can influence and optimally work with any Chairman
or board members, learning to appreciate what drives and motivates them,
what they fear and what distracts them from achieving shared strategies,
visions and goals. With an appreciation of the diversity of their fellow board
members, you can help the entire board and its Chairman to utilise their best
strengths to coordinate and collaborate to create the desired strategic and
corporate governance results.
Nigel Cumberland will draw on leading edge thinking in the science and
art of leadership and communication behaviour. You will also gain insights
from your peers. You will stretch beyond your comfort zone to embrace fresh
perspectives and new approaches to handle your challenges and to create
the best solutions. The workshop is designed to be fun and to recharge
you. You will participate in a range of activities including self-reflection and
paired conversations. Nigel invites you to be curious, listen deeply, share your
experiences, ask questions and suspend your preconceived opinions and
judgements to get the most from this one day workshop.
Part 1
Know Yourself to Connect With and Inspire Others : What is Holding
You Back?
Faced by the stresses of challenging economic conditions and demanding
stakeholders, executives tend to revert to old habits and to “the way we always
do things around here”. Yet at these times, precisely the opposite is necessary.
In this session you will take stock to uncover what gets in the way of your
success. What no longer serves you and what attitudes, behaviours and beliefs
you could adopt and practice to be more effective.
Part 2
Becoming Influential : Turning Your Emotions from a Saboteur into
an Ally
In the corporate world, we tend to dismiss emotions as getting in the way of
rational decisions. Yet as human beings, we are continuously triggered by
emotions. Learn to recognise and gain valuable clues about how to engage
with your emotions and those of your colleagues. As a leader, it is up to you
to set the mood and tone to inspire possibility to allow creativity and new
solutions to flourish.
Part 3
Avoiding Conflict – Language, Listening and Powerful Questioning
Boards and their stakeholders are networks of thousands conversations
– written, spoken, formal and informal. How often do you assume that
your Chairman and board members share your own understanding, aims,
expectations, practices and experiences? How often do such assumptions lead
to breakdowns in communication, wasting time and resources and leading to
the loss of value? By improving your listening and questioning skills you will
become more skillful in authentically getting to the heart of what truly matters.
Part 4
It Is Not “One Size Fits All”: Flexibility is Key to Your Board Interactions
Exploring the value of being a situational leader varying your style depending
on the situation you are facing. When do you speak up and be more directive?
And when do you simply sit back and allow others to lead? To what degree with
your Chairman do you have an understanding of your role at board meetings
and in promoting and upholding best practice corporate governance?

Why You Cannot Miss This Event
Many business critical decisions are from the boardroom and effective boards
will have the dynamic duo of board secretaries and general counsels being
part of the exciting push for strategy-driven and high-performing boards. In
today’s increasingly transparent business environment, there is a clarion call
for a well-informed strategic advisor with a holistic view across all aspects of
governance. Yet in many companies, there is a yawning gap in this area and it
is one that either the board secretary or general counsel is often best-placed
and qualified to fill.
By seizing this role, the duo can act as the conscience of the organisation
and the board’s key source of information on emerging risk and issues. As
a conduit and enabler, you stand in an enviable position as the interface
between the board, shareholders and the business units. This interaction will
enable you to gather intelligence and become a strategic tool in influencing
policy directions and business decisions.
Invest in our upcoming 3-day conference ‘Board Secretaries &
General Counsels Africa’ that provides you a wealth of intelligence on
‘Strengthening Your Governance Chapter’ and ‘Commercial Awareness of
Board Wide Issues’ in our sunrise plenary sessions. We also present to you a
regulatory dialogue and directors’ box of insights session that engages you in
high-level discussions on regulator’s shifting focus in Africa and building the
right synergy with board members. Do not miss our spotlight thought leader
keynote on ‘King IV Report – Bolder than Ever!’ by Professor Mervyn King.
You will also get access to participate in our customised boardroom banter
emulation on conflict of interest, scenario analysis stimulation on crises and
best practice think-tank that challenges you to think outside the box.
Our conference will help you build your commercial muscle and prep you on
what to look out for next. Bring these essential aspects to bear in our one-day
post-conference brain-based technique workshop on ‘Play to Your Strength
and Recharge Your Thinking in the Boardroom’.
Follow your own agenda with a choice of the following streams
over two days:
Stream 1
Board & Company Secretaries
In a boardroom landscape where compliance and staying on the right
side of the law are considered core competencies alongside reputation
management, sustainability and cyber awareness, the ability of board
secretaries will fall under much scrutiny any day now if it has not done so
already. Boards of directors increasingly need your input and expertise
brought to bear for complex issues that impact across departments and
seniorities in your organisation, and regional authorities have begun to
recognise the additional requirements for this role. This stream will function
as an information centre to equip you with the knowledge and techniques
you need to triumph through two main themes on ‘Securing Your Seat of
Power in the Boardroom’ and ‘Catalyst to an Effective Board’.
Stream 2
General & Legal Counsels
If you are a general counsel reading this, you know how much your legal
advice and training is leant upon for commercial health checks and corporate
governance insight today compared to the old days. Compliance season is
in full swing across Africa, creating major paradigm shifts for boardrooms,
and the time to play your role in this process tomorrow is today. You can
look forward to a series of discussions on ‘Gaining Your Voice in the
Boardroom’ and ‘Forefront of Your Regulatory Frontier’ that are
deliberately designed to make the most of your valuable time as a key
confidant and navigator in board decision making.

When crisis looms, board members are exposed in ways that may be unfamiliar and board secretaries are drawn into an active role to help aid the board in navigating through these crises. In this scenario analysis stimulation, delegates are encouraged to address challenges inherent and propose potential solutions in responding to the situation. Scenario I One of Africa’s largest, most successful travel businesses is declining under its own weight. The two founders hold all the equity, are themselves the board, and have trouble delegating. You are one of the top staffers - how would you advise them to refresh their governance? Scenario II Some current financial numbers do not look good, but the CEO is sure he can fix the problem in short order, and tells the company secretary ‘do not tell the board about this’ – how do you respond? Moderators: Mayuri Naidoo, Head of Legal & Company Secretary, SANDOZ, SOUTH AFRICA Elsabé Kirsten, Group Company Secretary, OLD MUTUAL, SOUTH AFRICA GENERAL COUNSELS: GAINING YOUR VOICE IN THE BOARDROOM 1345 Chairperson’s Opening Remarks 1400 Expert Insight Courtroom to Boardroom : Bringing More to The Table Beyond Your Legal Pedigree and Capacity • Supercharging general counsel’s prowess as a strategic minded and learning agile advisor • Becoming business savvy by participating in leadership discussions of complex problems and energised boardroom strategies • Enhancing the functional relationship of general counsels with the boards Michael Edem Akafia, Vice President & Head of Legal & Compliance, GOLD FIELDS, WEST AFRICA 1445 Expert Insight Key Resource for Corporate Boards: Heightening General Counsel’s Influence and Value in The Boardroom • Finding your legal foothold in adding value to the business • Ensuring the right team of people are doing the right task for the board and business • Finding alternatives to demonstrate your legal function’s value to the business RebotileBopape,GeneralManagerofLegalSouthernAfrica,MULTICHOICE,AFRICA 1530 Coffee and Networking Break 1545 Boardroom Scenario Analysis Stimulation The New General Counsel: Helping the Board Tackle Crises! Every board needs a well-informed strategic legal advisor with a holistic view across all aspects of emerging governance risks and issues. In this scenario analysis stimulation, delegates are encouraged to address challenges inherent and propose potential solutions in responding to the situation. Scenario I Hidden risk: Crises that suddenly explode into view, such as serious frauds or ongoing ethical breaches. These risks take a similar path to the major physical events, but their onset is concealed until they spring up. Scenario II Strategic crisis: It is a long-term crisis that builds up slowly over time to the point where the organisation’s very operating model is challenged and sometimes tipped over the edge. Think Kodak’s camera film business or Blockbuster’s video rental store. All regulator developments will significantly influence many boardrooms in the region. To avoid being liable for non-compliance, it is crucial for board secretaries and legal counsels to stay in the loop for these updates that could lead to irreversible consequence for the company, and ultimately, themselves. While we acknowledge that most boards suffer from regulation fatigue, we welcome this new version of the King Code as it not only provides a more practical, principle based approach to good corporate governance, but also incorporates both global public sentiment and international regulator change since King III. In this session, we have Professor Mervyn King himself to guide us through the development of this report and its implications on your roles moving forward. Professor Mervyn King, Chairman, KING COMMITTEE, SOUTH AFRICA 1130 Boardroom Banter Emulation Responding and Handling Conflict of Interest and Other Inappropriate Actions by Board Members At the best of times, there can be tension, conflict and misunderstandings between board members as they bring to the boardroom their different backgrounds, expectations and needs. How do you as the board’s corporate governance expert cope with such situations? In this session, participants imagine they are faced with a range of scenarios. You will brainstorm, to explore in what ways you might respond to and address each scenario, recognising there is often no simple black and white answer. We aim to channel the content to emulate the circumstances and best course of actions to be taken under emulated conditions. Scenarios: • One of your non-executive board member also sits on the board of another organisation that is entering into a legal dispute with your group • A board member sits on the board of another organisation which has just tendered to try to win a large supplier contract with your group • You hear that your board’s chairman wife is a partner at a law firm that is marketing its services to your firm’s legal counsel department • One long serving non-executive director attends few meetings and never seems to read the board packs sent to him before each meeting Facilitator: Nigel Cumberland, Executive Coach, Facilitator, Business Author and Co-Founder, SILK ROAD PARTNERSHIP, UAE 1230 Networking Luncheon 1630 Power of the Peers Part II Delegates are encouraged to participate in the brainstorming of answers together to the post-it questions posed yesterday by their peers. • 4. p a g e 4large scale events POST CONFERENCE WORKSHOP - DAY THREE wednesday 19th October 2016 BRAIN-BASED TECHNIQUE WORKSHOP Recharging Yourself to Excel in the Boardroom and Beyond “Leadership is not about a title or designation. It is about impact, influence and inspiration’ – Robin S. Sharma How can you be more successful in your company secretarial and legal counsel roles and careers? It starts with knowing and leading yourself. To explore your blind spots, habits and unconscious ways of interacting with others through developing excellent self-awareness, presence, focus and attention. These practices will enable you to be more passionate about what you care about, focus on and want to achieve. They also help you to know your true worth, purpose and values you wish to live by as a leader. Through effective and collaborative conversations, an effective company secretary or legal counsel can influence and optimally work with any Chairman or board members, learning to appreciate what drives and motivates them, what they fear and what distracts them from achieving shared strategies, visions and goals. With an appreciation of the diversity of their fellow board members, you can help the entire board and its Chairman to utilise their best strengths to coordinate and collaborate to create the desired strategic and corporate governance results. Nigel Cumberland will draw on leading edge thinking in the science and art of leadership and communication behaviour. You will also gain insights from your peers. You will stretch beyond your comfort zone to embrace fresh perspectives and new approaches to handle your challenges and to create the best solutions. The workshop is designed to be fun and to recharge you. You will participate in a range of activities including self-reflection and paired conversations. Nigel invites you to be curious, listen deeply, share your experiences, ask questions and suspend your preconceived opinions and judgements to get the most from this one day workshop. Part 1 Know Yourself to Connect With and Inspire Others : What is Holding You Back? Faced by the stresses of challenging economic conditions and demanding stakeholders, executives tend to revert to old habits and to “the way we always do things around here”. Yet at these times, precisely the opposite is necessary. In this session you will take stock to uncover what gets in the way of your success. What no longer serves you and what attitudes, behaviours and beliefs you could adopt and practice to be more effective. Part 2 Becoming Influential : Turning Your Emotions from a Saboteur into an Ally In the corporate world, we tend to dismiss emotions as getting in the way of rational decisions. Yet as human beings, we are continuously triggered by emotions. Learn to recognise and gain valuable clues about how to engage with your emotions and those of your colleagues. As a leader, it is up to you to set the mood and tone to inspire possibility to allow creativity and new solutions to flourish. Part 3 Avoiding Conflict – Language, Listening and Powerful Questioning Boards and their stakeholders are networks of thousands conversations – written, spoken, formal and informal. How often do you assume that your Chairman and board members share your own understanding, aims, expectations, practices and experiences? How often do such assumptions lead to breakdowns in communication, wasting time and resources and leading to the loss of value? By improving your listening and questioning skills you will become more skillful in authentically getting to the heart of what truly matters. Part 4 It Is Not “One Size Fits All”: Flexibility is Key to Your Board Interactions Exploring the value of being a situational leader varying your style depending on the situation you are facing. When do you speak up and be more directive? And when do you simply sit back and allow others to lead? To what degree with your Chairman do you have an understanding of your role at board meetings and in promoting and upholding best practice corporate governance? • 5. p a g e 5 MORE ABOUT THE EVENT large scale events Why You Cannot Miss This Event Many business critical decisions are from the boardroom and effective boards will have the dynamic duo of board secretaries and general counsels being part of the exciting push for strategy-driven and high-performing boards. In today’s increasingly transparent business environment, there is a clarion call for a well-informed strategic advisor with a holistic view across all aspects of governance. Yet in many companies, there is a yawning gap in this area and it is one that either the board secretary or general counsel is often best-placed and qualified to fill. By seizing this role, the duo can act as the conscience of the organisation and the board’s key source of information on emerging risk and issues. As a conduit and enabler, you stand in an enviable position as the interface between the board, shareholders and the business units. This interaction will enable you to gather intelligence and become a strategic tool in influencing policy directions and business decisions. Invest in our upcoming 3-day conference ‘Board Secretaries & General Counsels Africa’ that provides you a wealth of intelligence on ‘Strengthening Your Governance Chapter’ and ‘Commercial Awareness of Board Wide Issues’ in our sunrise plenary sessions. We also present to you a regulatory dialogue and directors’ box of insights session that engages you in high-level discussions on regulator’s shifting focus in Africa and building the right synergy with board members. Bring these essential aspects to bear in our one-day post-conference brain-based technique workshop on ‘Play to Your Strength and Recharge Your Thinking in the Boardroom’. Follow your own agenda with a choice of the following streams over two days: Stream 1 Board & Company Secretaries In a boardroom landscape where compliance and staying on the right side of the law are considered core competencies alongside reputation management, sustainability and cyber awareness, the ability of board secretaries will fall under much scrutiny any day now if it has not done so already. Boards of directors increasingly need your input and expertise brought to bear for complex issues that impact across departments and seniorities in your organisation, and regional authorities have begun to recognise the additional requirements for this role. This stream will function as an information centre to equip you with the knowledge and techniques you need to triumph through two main themes on ‘Securing Your Seat of Power in the Boardroom’ and ‘Catalyst to an Effective Board’. Stream 2 General & Legal Counsels If you are a general counsel reading this, you know how much your legal advice and training is leant upon for commercial health checks and corporate governance insight today compared to the old days. Compliance season is in full swing across Africa, creating major paradigm shifts for boardrooms, and the time to play your role in this process tomorrow is today. You can look forward to a series of discussions on ‘Gaining Your Voice in the Boardroom’ and ‘Forefront of Your Regulatory Frontier’ that are deliberately designed to make the most of your valuable time as a key confidant and navigator in board decision making.
