limited partnership (SLP) to leverage its many advantages.
An SLP is a type of company that can be incorporated in Luxembourg. The aim is
to enable Luxembourg to compete with other attractive common law structures
such as those found in the Cayman Islands, Ireland, and Scotland. It only takes
one limited partner and one general partner to form an SLP. The partnership can
be established in only a few weeks, and does not need prior regulatory
approval.
An SLP is also an unregulated alternative investment fund under the Alternative
Investment Fund Managers Law of 2013. SLP managers are only regulated when
the asset under management is over €100 million, or over €500 million if it’s a
closed-end fund. Without a minimum legal capital requirement, an SLP may be
of unlimited or limited duration. Investment is allowed in all types of assets,
including bonds, loans, equities, cars, hedge fund strategies, real estate, and
more. It is tax-exempt in Luxembourg, and requires no audit, prime broker, or
custodian.
