Our oil and gas experience includes advising on all

We have an unrivalled depth of experience of upstream
debt financings and Reserve Based Lending (RBL) in
particular. We estimate that our team has advised on most
of the RBL financings arranged in the London market over
the last decade.
We regularly advise on the full range of reserve based
financing products from single field project financings
through to multi-field borrowing base facilities. We have
also been involved and in many cases instrumental in the
development of, more unconventional debt products for
the upstream sector including contingent resource backed
facilities such as pre-development sanction facilities.
As independent E&P companies have sought to broaden
and diversify their funding sources we have advised on
the growing number of cases where different bank debt
products and capital market debt products intersect and
the intercreditor issues arising.
Outside of the pure “reserve based” area we advise on
the full range of other debt products seen in the upstream
sector including pre-export financings, prepayment
financings and corporate debt facilities for E&P companies.
We believe our team has not only the knowledge of exactly
where the upstream debt market is but also, whether
acting for lenders or borrowers, where the “envelope” can
successfully be pushed.

FEDERAL AND STATE TAX ADVICE
Our Tax Group helps our clients plan and achieve their
financial objectives while maximizing their tax advantages

all aspects of local, state, federal and international taxation,
including structuring project ownership and transactions
to utilize the federal Section 45 production tax credit, the
federal Section 48 investment tax credit and the grant-in-
lieu of the investment tax credit as enacted under Section

REAL ESTATE AND LAND USE
Our Real Estate Group plays an integral role in our clients’

Bracewell has represented numerous clients in connection
with the construction and operation of Liquefied Natural Gas
(LNG) liquefaction terminals, LNG regasification terminals, the
acquisition of capacity in LNG terminals – whether through
tolling arrangements or title transfers, arrangements to ship
and market LNG, including sales and purchase agreements,
and arrangements to market regasified LNG.
Our experience also includes upstream gas work that supplies
LNG facilities. This experience involves projects in the United
States and around the world. In the United States, our
firm’s regulatory expertise, coupled with our transactional
expertise make us uniquely situated to handle the complex
arrangements and approvals necessary to develop LNG
facilities and to export or import LNG.
Our firm was instrumental in the adoption of the Federal
Energy Regulatory Commission’s (FERC) seminal Hackberry
policy. We are currently advising Kinder Morgan as the
developer of two LNG export projects as well as numerous
participants playing various roles in several other LNG
projects. We recently represented Centrica in its announced
transaction to enter into a long-term LNG purchase agreement

BRACEWELL EXPERIENCE
OIL AND GAS
Bracewell has a team of lawyers dedicated to upstream oil and gas law and
transactions, principally transactions involving the acquisition and divestiture of oil and
gas producing assets, joint development of existing assets and the day-to-day operation
of such assets. In acquisitions and divestitures, we have been involved in large, complex
transactions, such as multibillion dollar transactions involving leveraged partnerships,
asset swaps or public company tender offers, and smaller routine asset transactions.
Our consistent involvement allows us to understand both historical practices and
current market trends. Our oil and gas team helps negotiate and draft all documents
necessary for the exploration and production of oil and gas, including joint operating
agreements, leases, and other forms of joint ventures designed to minimize risks and
tax consequences. We also handle all other exploration and production contractual
matters. In addition, our lawyers are skilled in addressing the special problems and
issues presented by lending on the basis of oil and gas collateral. Our upstream focus
helps us understand our clients and their goals and allows us to quickly get up to speed
regarding any transaction.
MIDSTREAM
Bracewell is experienced in all aspects of the midstream oil and gas business, including
transactions involving natural gas storage, terminal facilities, processing plants,
gathering systems and interstate and intrastate pipelines. Bracewell attorneys have
extensive experience representing clients in connection with the acquisition and
divestiture of pipelines and gas storage facilities as well as the greenfield development,
financing, construction and operation of pipelines and natural gas storage facilities.
Our experience includes state and federal permitting, environmental assessments,
project financing, the sale and acquisition of capacity in gas storage facilities and other
transactions. We are members of the Interstate Natural Gas Association of America
(INGAA) Foundation and work with participants in the natural gas industry on a regular
basis. Bracewell is highly attuned to current developments in gas markets.
LNG MARKET EXPERIENCE
Bracewell has represented numerous clients in connection with the construction and
operation of Liquefied Natural Gas (LNG) import terminals, the acquisition of capacity
in LNG terminals, arrangements to ship and market regasified LNG and in connection
with LNG supplies. Our firm was instrumental in the adoption of the Federal Energy
Regulatory Commission’s (FERC) seminal Hackberry policy. We work with large,
sophisticated international participants in and economic consultants to the LNG
industry on a regular basis and are highly attuned to developments in LNG markets.
