FEI Colorado holds a monthly Chapter Meeting on the third Thursday of the month from September through
June (unless otherwise noted). The Chapter Meeting includes two Professional Development sessions,
networking, and a dinner presentation. You may earn up to 3 CPE hours at each meeting.

Mergers and acquisitions continue to play a significant role in corporate growth strategy, particularly in the
middle market. Join us as we hear experiences from two middle market deals that recently closed in the Denver
market: the sale of Noosa Yoghurt, LLC to Advent International (advised by Integris Partners), and the
acquisition of Applejack Wine and Spirits by Mantucket Capital. Topics covered will include:
• Current state of markets for M&A activity in mid-market sector
• Key negotiating points from both buy and sell side
• Value creation and strategies of M&A and strategic versus financial buyers
• Best practices of buy and sell side M&A
Panel Biographies:
Patrick Seese has been an owner and a Managing Director of Integris Partners, a middle-
market investment banking firm, since February 2008. Prior to this, Mr. Seese was a
Managing Director at Headwaters, MB, a middle-market investing banking firm, from 2003
to 2008, worked in Credit Suisse First Boston’s Mergers and Acquisitions Group and served
as Head of Corporate Development for Katy Industries, a publicly traded industrial and
consumer products company. Mr. Seese began his career as a CPA with Deloitte & Touche,
LLP. Mr. Seese is a graduate of the University of Colorado and earned an MBA from The
University of Chicago Booth School of Business. He is one of the founders of The Mile High Five Foundation
(MH5), a charity dedicated to funding youth/health-related organizations. Finally, Mr. Seese has been serving as
Independent Trustee of the ALPS Series Trust since October 30, 2012 based on his business, financial services
and accounting experience.
Dave Bacek is the Chief Financial Officer for Noosa Yoghurt. Dave joined Noosa in June of 2013 and is
responsible for the financial strategy and reporting of the Company. He oversees all Company accounting
practices, including budget preparation, financial reporting, tax and audit functions. Dave is a tenured CFO who
has a consistent record of reducing costs, increasing profitability, and improving cash flow for medium and
large corporations. Dave has over 20 years of CFO experience after also having worked in the audit group for
Coopers & Lybrand. Dave has a BS in accounting from Rider University and is a licensed CPA.
Brian Mankwitz leads the investment efforts for Mantucket Capital and has led the firm’s participation in over
$1 billion of transactions. Prior to joining Mantucket Capital in early 2008, Mr. Mankwitz was an investment
banker at St. Charles Capital, a middle market investment bank focused on mergers and acquisitions, private
capital formation and related advisory services. Previously, Mr. Mankwitz led private equity investments for
Mankwitz Kurtz Investments, a family office private equity investment firm and independent sponsor. Mr.
Mankwitz received a Master's in Accounting and Finance from the London School of Economics and a Bachelors
in Science from Vanderbilt University. He is actively involved and holds Director positions in multiple Mantucket
portfolio companies and community organizations.
Timothy R. Woods, CPA, MBA, MSF, is a Shareholder of MHM P.C. and a Managing Director
of CBIZ MHM, LLC. He has worked in public accounting, consulting, and private industry for
the past 20 years, focusing on financial statement audits for both privately held and
publicly traded companies. As a member of the firm’s National Professional Standards
Group, Tim is a subject matter expert in the areas of fair value measurement, derivatives
and hedging activities, complex debt and equity transactions, including stock based
compensation, and foreign exchange.
